PNC is a large US bank holding company. In 2025 it earned $7.0 billion ($16.59 per diluted share, up 18%) on revenue of $23.1 billion, about 62% from the spread between what it earns on loans and securities and what it pays for funding and 38% from fees (payments, capital markets and advisory, asset management, brokerage). It has $331.5 billion of loans ($232.5 billion to businesses, $99.0 billion to consumers), funded mainly by customer deposits. Return on common equity was 12.9%, the net interest margin widened to 2.83% from 2.66% in 2024 as older fixed-rate assets repriced and funding costs fell, and the common equity tier 1 capital ratio was 10.6%. Tangible book value was $112.51 per share and nonperforming loans were 0.67% of loans. On January 5, 2026 PNC closed its purchase of Colorado-based FirstBank ($26.4 billion of assets, $16.0 billion of loans, $23.1 billion of deposits) for about $4.3 billion of consideration; diluted shares rose from 396 million in 2025 to 404 million in the first half of 2026. How we measure earnings. For a bank we count the cash the business produces for its owners: cash from operations, with swings in trading positions, loans held for sale and other balance-sheet timing removed (a $4.9 billion outflow in 2025 alone), less the loan losses actually written off (not the accounting provision, which swings with reserve estimates), less an allowance for equipment and software spending, which PNC does not report separately, so we use the annual depreciation on premises, equipment and software (about $1.0 billion in 2025). Stock compensation has not been itemized by PNC since 2017 (about $0.2 billion a year then); it sits in a line of unitemized operating items that we remove entirely, so it is charged once. We could not reconcile what that line contains ($0.7 to $1.6 billion a year recently), so we excluded it rather than rely on it. This gives cash earnings per share of $14.52 (2019), $12.72 (2021), $13.58 (2022), $12.58 (2023), $12.30 (2024) and $17.36 (2025). 2020 ($6.90) is set aside because PNC sold its BlackRock stake that year and booked a $3.2 billion pandemic-year credit provision, and 2021 holds BBVA USA (acquired June 1, 2021 for $11.5 billion in cash) for only seven months. We anchor on the median of the four full years 2022 to 2025, $13.08. 2024 is low on this measure partly because about $1.6 billion of that year's reported operating cash flow sat in the unitemized items we remove. Growth check. Cash earnings per share grew 41% in 2025 against that low 2024; the base case assumes about 19% in year one (from $13.08 to $15.50), below the trailing rate. The rise is anchored in the filings: the margin gain came from fixed-rate assets repricing, first-half 2026 net income was $3.8 billion against $3.1 billion a year earlier, and on our measure the first half of 2026 ran about 8% above the first half of 2025 (roughly $8.6 against $7.9 per share; our estimate, since the half-year report gives no capital spending line). The second half of 2025 ran at about $9.40 per share. Base case ($282.78 per share). Cash earnings move to about $15.50 in year one and $16.60 in year two, still below the $17.36 earned in 2025 and the roughly $17 pace of the first half of 2026, then grow 2% a year for four years and taper to zero by year ten, reaching about $18.50. The only growth credited is profit retained and reinvested in lending at PNC's demonstrated 12.9% return on equity, capped at 3% a year, with the retained portion deducted from what owners can take out. After year ten we hold earnings flat with no further growth; the persistence rests on PNC's deposit franchise, which kept earning through the 2009 and 2020 stress periods (net income of $2.4 billion in 2009). We deduct $0.20 per share a year for credit losses running above 2025's low level. Left out: share gains, new products, margin expansion beyond the repricing already visible, and FirstBank cost savings. Buybacks are not counted as growth, since they spend the same earnings. Roughly $110 of the value comes from the first ten years and $173 from the years after. A bank's borrowing is its raw material, so no debt is subtracted separately; leverage is charged in the bear case. Legal proceedings include USAA patent suits (a 2022 jury verdict of about $218 million, since undercut by a 2025 appeals ruling upholding the invalidation of one of the asserted patents); even a full loss is small against a year of earnings and is not modeled. Bear case ($153.92). Earnings start at the 2024 level of $12.30, less the $0.20, with no growth. In years three to six we apply a credit cycle sized from PNC's own record: net charge-offs of about 2.1% of loans in 2009 ($3.2 billion) and 1.43% in 2010 ($2.1 billion) (per PNC's 2010 earnings release), against about 0.23% in 2025. Applied to roughly $347 billion of loans after FirstBank, net charge-offs of 1.0%, 2.1%, 1.43% and 0.8% of loans in four successive years, above today's rate, cost about $12 billion after tax, about $30 a share; the office-property book ($5.1 billion, 11.1% nonperforming, 11.0% reserved, about 46% of it maturing through the end of 2026) is part of that. Margins also compress 12% in years three to seven, as cash earnings per share fell 12% from 2019 to 2021 when short-term rates were cut to near zero. Earnings dip to about $2 below zero per share in the worst year but stay positive across the cycle, and capital would stay well above the 6.5% well-capitalized level, so we assume no stock sale; dividends would likely be cut. After year ten we assume that cycle recurs about every fifteen years, taking $2.00 a share off the lasting level, to about $10.10. The bear value is 1.4 times tangible book value; it exceeds book because the franchise still earns roughly $10 to $12 per share on $112.51 of tangible book through and after the cycle. Bull case ($331.02). Earnings hold at about $18.50, just under the $18.80 annualized pace of the second half of 2025 (about $18.30 after the $0.20), and grow 3% a year for three years, then taper to about $21.80 by year ten, then flat. This is the pace the last two half-years already show, with FirstBank and the repricing continuing; credit losses stay near current low levels. What would make us wrong. Earnings could settle at the 2022-2024 level of about $12 to $14 if the 2025 margin gain fades; the FirstBank customer conversion (expected summer 2026; completion not verified) could cost more than assumed; and a recession harsher than 2009 would break the bear case. The previous estimate (bear $124, base $204, bull $290) was prepared on a different basis and is not comparable. Margin-of-safety price ($130). We are fairly sure the business earns at least its 2022-2024 level of about $12.30 to $13.60 a share, reasonably sure of about $17 given 2025 and the first half of 2026, and not sure that margin holds. The worst plausible event is a credit cycle like 2009-2010 together with an office-property loss larger than reserves; PNC's structure (10.6% common equity tier 1 capital, 0.67% nonperforming loans) would survive that, though dividends would likely be cut and the shares could trade near or below tangible book value of $112.51 during it. The two things we are most likely to be wrong about are the margin level (if earnings stay near $13 with no growth the shares would be worth roughly $210 before any credit cycle, and the bear case is $153.92) and the timing of the credit cycle. The price assumes a three-to-five-year holding period, during which PNC pays dividends: it declared $2.6 billion of common dividends in 2025, roughly $6.65 a share and about 38% of cash earnings, about 5% a year on $130. For a 20% annual return over four years from $130 the shares must reach about $245 including those dividends, well below the $282.78 base value and above the bear value; if only the bear case plays out, dividends continue and the bear value of $153.92 sits above $130. At about $160 the price needed would exceed even the base value, so $130 is where a margin of safety against the credit-cycle and margin risks exists.

Sales geography
United States: Northeast (Pennsylvania, New Jersey, New York, Delaware, Maryland, Washington DC), Midwest (Ohio, Illinois, Michigan, Indiana, Wisconsin, Missouri, Kentucky), South (Texas, Florida, Georgia, North Carolina, South Carolina, Virginia, Alabama, Tennessee, West Virginia) and West (Arizona, California, Colorado, New Mexico). Nearly all sales are booked in the United States.
Historical growth strategy
Growth by acquiring regional banks and franchises (National City in 2008, RBC Bank USA in 2012, BBVA USA in 2021 for $11.5 billion in cash, FirstBank of Colorado in January 2026), then converting them onto PNC systems and expanding into new markets in the South, Texas and West; organic investment in corporate banking, treasury management and capital markets fees; and returning capital through dividends and buybacks (diluted shares fell from 500 million in 2016 to 396 million in 2025).
Chart analysis
A chartist would see a large-cap bank stock in a wide trading range. The 52-week range runs from about $176.88 to $258.96, and the latest close of about $221 sits in the lower-middle of it, roughly 25% above the yearly low and about 15% below the high. The stock peaked near $258 in mid-August 2026 and then slid through September, a pattern of a failed attempt at the $259 high followed by lower highs. Over the past six months it has traded roughly between $220 and $260, so $220 is the nearby support line and a close below it would open a retest of the low $200s and ultimately the $177 yearly low. Holding $220 and reclaiming the mid-$240s would restore the uptrend and put the $259 high back in play. Moving averages and momentum readings were not available for this review.
