Fifth Third Bancorp is a Cincinnati-based bank holding company with about $214 billion of assets at the end of 2025 and 1,130 branches across Ohio, Kentucky, Indiana, Michigan, Illinois, Florida, Tennessee, West Virginia, Georgia, North Carolina, South Carolina and Alabama. It earns money from the spread between what it pays for deposits and what it charges on loans (about $6.0 billion of net interest income in 2025) and from fees (about $3.0 billion), across commercial banking, consumer and small business banking, and wealth management. The biggest change is the all-stock purchase of Comerica, completed on February 1, 2026 (about $12.7 billion, 1.8663 Fifth Third shares per Comerica share). Diluted shares rose from about 673 million (2025 average) to about 916 million (second quarter of 2026), and preferred stock ahead of common shareholders rose from $1.77 billion to $2.18 billion. We previously valued the company on its pre-merger share count and on net income; this update rebuilds the estimate from cash flow, applies one uniform 6% required return, and deducts the preferred stock. That is why the range moved: the bear value rises from $29.60 to $38.10, the base from $57.27 to $59.97, and the bull falls from $89.89 to $85.38. How we measured earnings. For a bank, deposits and borrowings are the raw material of the business and interest is an operating cost, so no debt is subtracted; we value earnings after interest. We start with operating cash flow, remove swings in mortgage loans held for sale, trading securities and other assets and liabilities, and subtract stock compensation and maintenance capital spending. One bank-specific judgement matters: cash flow adds back the provision for credit losses because it is a non-cash accrual, but it is the expected cost of loans that go bad, so we deduct it. Owner earnings per share on this basis: 2018 $2.92, 2019 $2.60, 2020 $2.26 (pandemic loan-loss provisions of $1.1 billion), 2021 $3.64 (reserve release), 2022 $3.28, 2023 $3.34, 2024 $3.67, 2025 $4.11. Earlier years were lower ($1.59 in 2016, $1.31 in 2017) and are not used. We anchor on the median of 2018-2025, $3.31, because that window contains a full credit cycle: the 2020 stress, the 2021 recovery and the 2022-2023 rate shock. These figures are before preferred dividends, which is why the preferred stock is deducted at the end. Growth check. Owner earnings per share grew 12.0% in 2025 ($4.11 versus $3.67). The base case assumes only 2% in year one, below that pace, so no reversal of a slowdown is being assumed. The merger has no full year of results yet. Second-quarter 2026 net income was $801 million, or about $0.87 per diluted share ($3.50 annualized), versus about $0.93 per share in the second quarter of 2025 ($628 million on 674 million shares). Per-share earnings are therefore not yet higher because of the deal, so we keep the pre-merger per-share level and give no credit for the deal. Management's cost-savings target is a goal rather than something already secured, and the annual report itself warns the expected revenue and cost benefits may not be realized, so none is included. Base case ($59.97 per share). Owner earnings of $3.31 per share grow 2% a year for five years and 1% a year for the next five, reaching $3.84 in year ten, and then stay flat. The business is worth $62.35 per share; the preferred stock is $2.38 per share; the difference is $59.97. The credited growth comes from earnings retained in the business: in 2025 the bank paid out about $1.16 billion in dividends and spent about $0.53 billion on buybacks against $2.52 billion of net income, so roughly a third was kept to grow the loan book. Owner earnings per share grew about 5% a year from 2018 to 2025, and we credit less than half of that. After year ten we hold the level flat: deposit relationships and the banking charter are structural features, and the bank earned at least $2.26 per share in every year from 2018 to 2025, including the pandemic. We leave out growth from wider margins, market share gains, lower interest rates and share buybacks (paused until the merger closed). Bear case ($38.10 per share). A credit shock like 2020 hits for two years ($2.26 per share a year), then earnings settle at $2.45, about 6% below the 2019 level of $2.60, the size of the shortfall seen so far in per-share earnings after the merger. The business is worth $40.48 per share; less $2.38 of preferred stock, the difference is $38.10. The evidence for this case is that credit costs are real: pandemic provisions were $1.1 billion against $0.66 billion in 2025, and 2025 net charge-offs of $738 million already exceeded the $662 million provision. Nothing beyond that is assumed. Bull case ($85.38 per share). The bank earns what it appears to be earning now, about $3.85 per share (second-quarter 2026 annualized net income per share of $3.50, multiplied by 1.10, the ratio of owner earnings to net income in 2024 and 2025), and grows 4% a year for ten years to $5.70, then flat. That growth is below the roughly 5% it achieved from 2018 to 2025. The business is worth $87.76 per share; less $2.38 of preferred stock, the difference is $85.38. What could make this wrong. We tested the largest assumption, the treatment of loan losses. If 2025 net charge-offs of $738 million were deducted instead of the $662 million provision, 2025 owner earnings would fall by about $0.11 per share (roughly 3%), which does not change the conclusion. The bigger uncertainties are that the enlarged bank has only one full quarter of combined results, that Comerica's own earnings history is not part of the series we used, and that a deeper credit downturn than 2020 would push results below the bear case. Margin-of-safety price. A bank with a recent large merger and exposure to credit cycles deserves a large margin of safety, so the margin-of-safety price is about $37, roughly 38% below the base value and just under the bear case.

Chart analysis
This description is based on the bank's general trading history as disclosed rather than a detailed price series. A chartist would note a bank stock that fell sharply in the early-2020 pandemic sell-off, recovered strongly through 2021, and dipped again in the March 2023 regional-bank stress before rebuilding, and would treat those lows as support zones. The trend since then has been constructive, with the shares moving in step with bank indices. The February 2026 share issuance for Comerica adds roughly a third more shares outstanding, which chartists would watch for supply pressure and for whether earlier support levels hold. Confirmation would be sustained trading above prior highs; failure would be a break below the 2023 lows.
