M&T Bank is a Buffalo-based regional bank, operating since 1856, that serves consumers and small and mid-size businesses through branches in New York, Maryland, New Jersey, Pennsylvania, Delaware, Connecticut, Massachusetts, Maine, Vermont, New Hampshire, Virginia, West Virginia and the District of Columbia. It earns mostly from the gap between what it charges on loans and what it pays for deposits (about $6.95 billion of net interest income in 2025, a 3.67% net interest margin) plus about $2.7 billion of fee income. Its April 2022 purchase of People's United lifted revenue from about $6.0 billion in 2021 to $9.6 billion by 2023. HOW WE MEASURED EARNINGS. For a bank, interest paid to depositors and lenders is a normal cost of doing business, so we value the cash left for shareholders after that interest and do not subtract the bank's borrowings a second time. Starting from operating cash flow, we removed the year-to-year swings in loans held for sale, trading positions and accrued items, deducted stock compensation ($136 million in 2025) and the part of capital spending needed to keep the branches and systems running (about $134 million), and deducted the full provision for credit losses as a real cost, because a bank's loan losses do not show up in operating cash flow. On that basis owner earnings were $2.99 billion in 2025, $2.75 billion in 2024 and $2.55 billion in 2023, against roughly $2.0 billion a year in 2018, 2019 and 2021 for the smaller pre-merger bank and $1.39 billion in the 2020 credit shock. We anchor on the middle result of 2023 to 2025, $2.75 billion. We left out 2022 because People's United only joined on April 1 of that year, so it holds a part-year of the enlarged bank plus merger effects, and earlier years describe a smaller business. First-half 2026 net income of $1.48 billion (second quarter $818 million) versus $1.30 billion ($716 million) a year earlier confirms the level has not slipped, but two quarters are not enough to lift the anchor. Owner earnings grew 8.9% in 2025; our base case assumes no growth from the $2.75 billion anchor, which is itself about 8% below the 2025 result. WHAT WE CREDITED AND WHAT WE LEFT OUT. We credit no growth in any case. Loan and deposit growth, interest-rate moves, more acquisitions and share buybacks (14.3 million shares for $2.66 billion in 2025) all depend on markets or future decisions rather than something already locked in, so they are excluded. We value the whole bank and divide by today's smaller share count of about 145 million (144.4 million shares outstanding at July 31, 2026, plus a small allowance for dilution), which already reflects the buybacks done. Holding earnings flat is supported by the record: owner earnings held near $2.0 billion from 2018 to 2021 outside the 2020 credit shock and stepped up with the acquisition. Nothing we can name suggests the deposit franchise stops earning, so each case runs its level forward at 6% without a fade. M&T's own disclosure shows net interest income moving by less than $100 million for a 200-basis-point shift in rates either way, so rates alone do not drive a case. BASE CASE. Owner earnings of $2.75 billion a year, held flat, are worth about $45.8 billion at a 6% discount rate. The bank owes $2.43 billion of preferred stock that ranks ahead of common shareholders (June 30, 2026). Its deposits and $13.6 billion of long-term debt are already paid for through interest in the earnings, so they are not subtracted again. The difference is about $43.3 billion, or roughly $299 per share. BEAR CASE. The named risk is a credit cycle. Commercial real estate loans were $23.8 billion at the end of 2025, of which $3.45 billion (14.5%) were flagged as criticized, down from $6.03 billion a year earlier; office loans were $3.4 billion with $765 million criticized. Losses on recreational finance loans (0.80% of balances) and other consumer loans (4.34%) are already elevated. In 2020 the provision reached $800 million and owner earnings fell to $1.39 billion from $2.08 billion. The bear case has two years of provisions near $1.35 billion versus the recent $587 million average (about $580 million a year less after tax), so owner earnings of about $2.17 billion in each of those years, $2.3 billion in the third, and then a permanent $2.3 billion. That is the weakest full year since the merger (2023, $2.55 billion) less about $255 million a year for continued deposit-margin pressure like the one that cut Retail Bank net interest income by $341 million in 2025. The business is worth about $38.1 billion; the bank owes $2.43 billion of preferred; the difference is $35.7 billion, or about $246 per share. No debt maturity or covenant materially affects the outcome, funding is mostly deposits, and the annual report discloses no regulatory order restricting the bank. BULL CASE. Owner earnings of about $3.1 billion held flat: the 2025 result of $2.99 billion, plus the roughly 4% by which first-half 2026 net income annualizes ($2.96 billion) above 2025 ($2.85 billion). The levers are already visible: criticized commercial real estate loans fell by $2.6 billion in 2025, and the net interest margin widened 9 basis points in 2025 as the cost of interest-bearing liabilities fell 51 basis points. The business is worth about $51.7 billion; less $2.43 billion of preferred leaves $49.2 billion, or about $340 per share. TESTING THE CASE. The 2025 profit was not flattered by releasing reserves: the provision of $505 million was below net charge-offs of $553 million, but only by $48 million, and across 2023 to 2025 the average provision ($587 million) exceeded average charge-offs ($516 million). The commercial real estate concentration also fell to 124% of Tier 1 capital plus the loan-loss allowance from 136%. WHAT CHANGED SINCE OUR LAST VIEW (August 2026). The base value is essentially unchanged ($298 then, $299 now), but it now rests on a fixed 6% discount rate and the actual 2023 to 2025 earnings record, including the 2021 and 2022 figures that were previously missing, rather than a mix of 8.75% to 12% rates and an estimated $17.8 per share of surplus capital that we no longer add. The bear value rises ($158 to $246) because we now build it from named credit and margin risks instead of a higher discount rate. The bull value falls ($423 to $340) because we no longer credit 7% annual growth that depends on the market. WHAT WOULD MAKE THIS WRONG. Credit losses much worse than 2020 on a loan book now larger, deposit margins compressing well beyond 2025's decline, or regulators requiring more capital would push value toward or below the bear case. A faster fall in credit costs and further margin gains would move it toward the bull case.

Chart analysis
The performance graph in the latest annual report shows $100 invested in M&T stock at the end of 2020 growing to about $124 at the end of 2021, then drifting to $121 in 2022 and $119 in 2023, before jumping to $168 in 2024 and $186 in 2025. A chartist would read that as a long, flat base from 2021 through 2023 followed by a decisive breakout in 2024 and a further higher high in 2025, an established uptrend of higher highs and higher lows since the 2023 bottom. During the 2022-2023 regional-bank stress the stock held up better than the KBW bank index (index at 109 in 2022 versus 121 for M&T), which technicians treat as relative strength, though it lagged the index in 2021 (124 versus 138). The old 2022-2023 range is the natural support zone if the uptrend fails, and after a gain of roughly 56% over two years the stock is extended and prone to consolidation or a pullback toward the breakout area.
