Lazard is an independent investment bank and asset manager. Its Financial Advisory business earns fees for advising companies and governments on mergers, restructurings and raising capital. In 2025 it had 346 clients that each paid more than $1 million in fees, up from 299 in 2023, and no single client made up more than 10% of the segment's revenue. Its Asset Management business managed $254 billion at the end of 2025, about 78% of it in equities. Net revenue was $3.10 billion in 2025. By where it was booked, 52% came from the Americas, 42% from Europe, the Middle East and Africa (mainly the United Kingdom and France) and 6% from Asia Pacific (mainly Australia). How we measured earnings. Pay is Lazard's biggest cost: compensation and benefits were $2.09 billion in 2025, or 67% of net revenue. Much of that pay is granted as restricted stock or deferred cash. It is expensed over several years and paid out later. The cash-flow statement adds that expense back, which makes cash flow in any one year look better than it is. We count all of it as a real cost ($460 million in 2025), and we also count office rent as a cost. We leave out one-time non-cash items, such as the $114 million gain on selling an owned office building in 2024 and the write-down of tax assets after the 2017 US tax reform. On that basis, owner earnings per share over the last ten years were: 2016 $3.48, 2017 $4.30, 2018 $3.94, 2019 $2.64, 2020 $3.49, 2021 $5.65, 2022 $3.67, 2023 -$1.87, 2024 $1.33 and 2025 $2.20. The pattern matters. Revenue in 2024 and 2025 ($3.05 billion and $3.10 billion) was close to the 2021 peak, but earnings per share were less than half the 2021 level. The reason is cost. Pay took 54-60% of net revenue from 2016 to 2022, and 66-67% in 2024 and 2025. The diluted share count also rose from 101 million in 2022 to 106 million in 2025, because stock granted to employees ($360 million expensed in 2025) far exceeded buybacks ($91 million). 2023 was both an advisory downturn (net revenue fell to $2.52 billion) and a year of heavy restructuring ($182 million of cost-saving charges in pay). The firm now runs at a higher cost level than before 2023, so we base our valuation on 2021-2025. Those five years cover a boom, a bust and a recovery under today's cost structure, and their median is $2.20 per share. The older, lower-cost years appear only in the bull case. Base case: $41.08 per share. Earnings grow 10% in 2026, well below the 65% rebound in 2025. Early 2026 supports some growth: first-quarter net revenue rose 17% to $757 million, and pay fell to 65.0% of revenue from 66.4% a year earlier. After that, growth is 4% a year through 2030, as the rising number of large advisory clients feeds through. From 2031 to 2035 it is 2.5% a year, close to Lazard's roughly 3% yearly net revenue growth from 2016 to 2025 less ongoing dilution from stock awards. That puts owner earnings at about $3.20 per share in 2035, still below the 2016-2022 median. After 2035 we hold earnings flat for twenty more years, on the strength of the advisory franchise's client relationships, and count nothing beyond that. Bear case: $15.46 per share. A downturn like 2023 hits advisory in 2027 and cuts earnings to near zero for a year. Asset Management keeps losing money to withdrawals at its recent pace, and that segment's profit roughly halves over the decade. Net outflows were $3.5 billion in 2023, $35.7 billion in 2024 and $18.1 billion in 2025, and the top ten clients hold 24% of assets. Pay stays at about 66% of revenue. Lazard has $1.69 billion of senior notes due in 2028, 2029, 2031 and 2035. Refinancing the 4.5% and 4.375% notes at rates like its recent 5.625% and 6.0% issues would raise interest costs, and that is included here. Earnings settle near $1.35 per share by 2035 and then shrink 5% a year for twenty years. Bull case: $64.55 per share. As recent hires mature, pay falls back to about 62% of revenue, still above the 2016-2022 range, and advisory revenue grows about 5% a year. Earnings reach $4.40 per share by 2030 and about $5.35 by 2035, still below the 2021 peak of $5.65. They then hold flat for twenty years. What the shares appear to be worth. Our central estimate is about $41 per share, within a range of roughly $15 to $65. Owner earnings are measured after interest on debt, so we make no separate deduction for debt. The margin-of-safety price of $24, about 42% below the base case, reflects three things: revenue swings with deal activity and markets, the asset-management client base is shrinking, and employees take most of the profit before shareholders do. What would make this wrong. If the higher pay ratio is permanent rather than a phase of investment, the base case is too high and the bear case is more likely. If Lazard gets back to the cost discipline it showed from 2016 to 2022, value moves toward the bull case. One small item could not be matched to its year with certainty: a roughly $10 million payment under a tax agreement shown in the 2016 cash-flow statement. Its effect is under $0.10 per share for that year.
