AllianceBernstein Holding is a publicly traded partnership whose only asset is a minority stake in AllianceBernstein L.P., the investment manager behind roughly $867 billion of client assets at the end of 2025 (Institutional $354 billion, Retail $356 billion, Private Wealth $156 billion). Equitable Holdings controls the business with about a 68% economic interest. The Holding partnership has no employees, no property and no debt of its own: each quarter it receives its share of AllianceBernstein's cash distribution, pays a 3.5% federal tax on gross income plus New York City business tax, and passes the rest to unitholders. Holders receive a K-1, and distributions vary every quarter with earnings. What we measured. Because the partnership simply passes cash through, owner earnings are essentially the cash distributed per unit. On that basis they were $1.74 in 2016, $2.12 in 2017, $2.88 in 2018, $2.31 in 2019, $2.79 in 2020, $3.56 in 2021, $3.57 in 2022, $2.61 in 2023, $2.97 in 2024 and $3.50 in 2025. The cash arrives with roughly a one-quarter lag, so 2023 reflects the 2022 market decline and 2024 reflects the recovery. The first half of 2026 produced $1.78 per unit, in line with 2025. We anchor on $3.50, the middle of 2021-2025, a window that contains a full market decline and recovery and reflects today's business (after the 2022 CarVal acquisition and the 2024 move of the Bernstein Research brokerage into a joint venture). Earlier years describe a smaller asset base and are not used for the level. AllianceBernstein carries a small amount of short-term borrowing from Equitable ($810 million at year end, at about 3.7%) almost fully offset by $779 million of corporate cash; the unitholders' share of the interest and of the net debt is about $0.05 and $0.11 per unit respectively, so the business before lenders earns about $3.55 per unit and debt barely matters here. Why we do not credit growth. Client assets grew $74.7 billion in 2025, but $86 billion of that was market gains while clients withdrew a net $11.3 billion (Retail -$9.1 billion, Institutional -$4.6 billion, Private Wealth +$2.4 billion). Retail redemptions rose to $87.5 billion from $71.7 billion. Market gains are not something we can name and evidence in advance, so none of our cases assumes them. Owner earnings rose 18% in 2025; the base case starts below that, because the rise came from market levels rather than from clients. Base case ($50 per unit): earnings start at $3.55 and drift down about 1% a year as net outflows from active mutual funds and institutional mandates continue at roughly their recent pace, partly offset by Private Wealth and private alternatives (where Equitable's $20 billion of permanent capital is now substantially deployed and no further commitment has been made). Beyond year ten, the same slow 1% erosion continues; the franchise, brand and Equitable's insurance assets keep it going. The business owes essentially nothing net, so the business value and the unit value are both about $50. Bear case ($30 per unit): a market downturn of the kind AllianceBernstein actually went through in 2008-2009, when client assets fell 42% (from $800 billion to $462 billion) and the quarterly distribution fell 57% year on year by mid-2009. We model the cash payout falling to about $1.50 in year two, recovering only to about $2.20 by year five because some clients leave for good, then declining 2% a year thereafter as fee pressure on active management continues. Net debt is negligible, so the debt does not threaten the partnership in this case; the risk is lost income, not insolvency. Bull case ($75 per unit): Private Wealth keeps the inflows it has shown, private alternatives continue to grow, and the cost cuts from the Nashville move and the Bernstein Research joint venture hold, so earnings rise about 3% a year for ten years and then hold flat. We do not assume a return to positive net flows in Retail, because nothing in the filings shows that is happening. Risks that no case fully models. The partnership keeps its tax status only as a grandfathered publicly traded partnership; it cannot enter a substantial new line of business, and a change in tax law that removed that status would cut the payout materially. Equitable controls the general partner and has used that control to reshape the structure: it tendered for Holding units in early 2025 (the independent committee declined to recommend), and in July 2025 it swapped 19.7 million Holding units for units in the operating partnership, which were retired. These moves did not reduce value per unit, but unitholders depend on a controlling owner whose interests may differ from theirs. Margin-of-safety price. We are fairly confident in the level: owner earnings have stayed between $2.61 and $3.57 for five years through a bear market, and every dollar is paid out. The worst plausible event is a 2008-style crash that halves the payout for a year or two; the business carries no meaningful debt and would survive it, and its income recovers with markets. If we are wrong about the pace of outflows and about the next decline, the units are worth roughly $30, and in that case the payout would be about $2 a year over an assumed three-year holding period. At $21 the distribution alone is about 16-17% of that price on today's payout; from that price the bear case implies roughly 20% a year over three years from the payout plus a move toward $30, and the base case implies considerably more. Above about $24, the bear case no longer implies the required return over a reasonable holding period, so the margin-of-safety price is $21. Change since our previous analysis: we now remove a small working-capital timing item from each year's cash, which moves the yearly figures by a cent or two, and we now model the downturn explicitly on AllianceBernstein's own 2008-2009 record rather than a gentle decline. The previous figures are not directly comparable. The business itself changed little: 2025 payouts rose on higher markets while client outflows continued.

Sales geography
United States (Northeast, South, Midwest, West), Europe, Asia-Pacific including Japan, Taiwan, Hong Kong and Australia, and other international markets
Historical growth strategy
Grows mainly through market appreciation of client assets, supplemented by building out private wealth management and private alternatives (anchored by $20 billion of permanent capital committed by parent Equitable Holdings since 2021), occasional acquisitions such as CarVal Investors in 2022, and cost discipline including the 2021 headquarters relocation to Nashville and the 2024 move of Bernstein Research into a joint venture.
Chart analysis
A chartist would describe the units as a long, wide sideways range rather than a trend: roughly $20 to the mid-$40s over the past decade, with a 2021 spike toward the low $50s that fully reversed in the 2022 market decline, followed by a grinding recovery into the upper half of the range through 2024-2025. Because holders are paid out nearly all cash every quarter, price momentum is muted and the line tends to track the broad stock market and quarterly distribution changes; support has repeatedly formed in the high $20s to low $30s and resistance near the low-to-mid $40s.
