T. Rowe Price is one of the largest independent asset managers, running mutual funds, target-date retirement portfolios, ETFs and institutional accounts, plus private credit through Oak Hill Advisors, acquired in 2021. Roughly two-thirds of its $1.90 trillion under management (August 2026) is retirement-related. It earns a percentage fee on assets, so its income rises and falls with markets and with whether clients add or withdraw money. Clients have been withdrawing. Net outflows were $56.9 billion in 2025 and $36.3 billion in the first eight months of 2026, concentrated in actively managed U.S. growth equity, the firm's historic core. The average fee earned has slipped from 41.9 basis points in 2023 to 39.4 in 2025 as money moves to cheaper products. Against that, the target-date lineup grew from $561 billion at the end of 2025 to $631 billion by August 2026, and fixed income and alternatives have kept attracting money. One accounting point matters. T. Rowe consolidates certain funds it seeds, and those funds' own securities trading runs through the company's reported operating cash flow, swinging it by up to $1.5 billion a year without any cash reaching shareholders. We remove that trading and check the result against net income. Owner earnings then run from about $6.80 to $9.55 per share over 2022-2025, with an unusual $12.73 in the strong 2021 market. We use the middle of 2019-2025, a period that includes a boom and the 2022 bear market: about $8.31 per share, or roughly $1.74 billion a year. Current results run above that because markets are high, and we do not capitalize market levels. Amortization of Oak Hill's acquired client contracts is added back because the platform keeps raising new funds. The company has no meaningful debt. It holds about $3.8 billion of cash and short-term bond funds plus $1.1 billion of seed money in its own funds. After keeping $1 billion for operations, about $18.60 per share is surplus and is added to each case below. Base case: the outflow pace of 2024-2026 continues, and fees keep drifting lower. Earnings decline about 3% a year for five years, then 1.5% a year as the mix tilts toward stickier retirement assets. After that they fade slowly, held up by the target-date and retirement-plan relationships that have kept growing through the equity outflows. Business worth about $103 per share, plus $18.60 of surplus cash: about $122. Bear case: outflows run faster, at about 5% a year, and one full market downturn hits in years two and three. The downturn is sized from the company's own history: net income fell about 35% from 2007 to 2009, and owner earnings fell nearly half from 2021 to 2023. Earnings bottom near $1.1 billion, recover to a shrinking trend, and fade about 3% a year after the tenth year. With no debt the company comes through intact. Business worth about $72 per share, plus surplus cash: about $90. Bull case: retirement, fixed-income and alternatives inflows fully offset equity outflows, as they nearly did in 2025, holding earnings near $2.0 billion a year. No market gains or new products are assumed. Business worth about $156, plus surplus cash: about $174. Compared with our previous estimate, the bear case now includes a full market downturn, and per-share growth from share repurchases is no longer counted as added value, while the company's surplus cash is now included; the previous figures are not directly comparable. What would make this wrong: an outflow rate climbing well above 5%, fee cuts outpacing the recent one basis point a year, or target-date money moving to cheaper collective trusts and index competitors faster than its recent record suggests. On price: we are fairly sure of the earnings level, because it covers a full cycle including the 2022 drawdown. The plausible worst outcome, a deep bear market on top of accelerating withdrawals, would cut earnings sharply but not threaten the company, which has no borrowings and holds billions in surplus cash. If we are wrong on outflows and fees together, the shares are worth roughly $90. The dividend of $5.20 a year, paid from earnings, provides a substantial part of the return in the meantime. The margin-of-safety price is $78. At that price the cash dividend yields about 6.7%. Net of surplus cash, that price values the business itself at under $60 a share against normal earnings of about $8. From that price, a move toward the base case within about three years, plus dividends, implies roughly 20% a year. The bear case also implies a positive return.

Sales geography
About 91% of assets under management come from United States clients nationwide across the Northeast, Midwest, South and West; the remainder from clients in the United Kingdom, Europe, Japan, Australia, Hong Kong, Singapore and Canada.
Historical growth strategy
Organic growth through in-house actively managed funds sold directly and through advisers; expansion into defined-contribution retirement and target-date portfolios since 2002; international distribution; and private credit via the 2021 acquisition of Oak Hill Advisors, all funded from cash with no borrowing.
Chart analysis
A chartist would see a long uptrend peaking around $220 in late 2021, a collapse to the $90s in 2022, and a multi-year range of roughly $90-$125 since, with rallies repeatedly failing below the old breakdown zone. They would want a decisive close above that range before calling the trend turned.
