Wingstop franchises and operates chicken-wing restaurants. At December 27, 2025 the system had 3,056 restaurants (2,586 in the United States, 470 abroad), almost all owned by franchisees. Wingstop earns royalties and fees on their sales, collects and spends an advertising fund, and runs a small number of its own restaurants. 2025 revenue was $696.9 million, of which royalties, franchise fees and other were $321.8 million. What we count as earnings. We start from operating cash flow, remove swings in working capital, and deduct stock compensation and the part of capital spending that maintains the business rather than expands it. On that basis owner earnings per share ran $0.83, $0.82, $0.26, $1.35, $0.86, $1.52, $1.67, $2.94 and $3.59 for 2017 through 2025. We anchor on the middle of the last three years, about $2.94 a share, and then treat 2025 with care for two reasons. First, 2025 cash flow includes deferred tax on a $92.5 million gain from selling the stake in the United Kingdom master franchisee; the gain itself is excluded, but the tax on it has not yet been paid in cash, and the company's own reconciliation shows about $18.9 million of net tax effect from one-time items. Second, cash interest more than doubled, from $22.7 million to $52.2 million, after $500 million of notes were issued in December 2024. Adjusting for both, current earning power is roughly $80 million a year, about $2.90 per share on 27.5 million shares outstanding. Growth from that level: reported owner earnings rose about 22% in 2025, but on a cleaned basis they were slightly below 2024. The new interest cost is now fully in the numbers and no further step-up is scheduled until the 2027 refinancing, so we start the base case at about 11% growth, below the reported 22%. What growth we credit. Franchisees fund new restaurants from their own money, and net unit growth has risen every year since 2017 (1,133 restaurants then; net additions of 119, 133, 153, 193, 228, 255, 349 and 493 through 2025), including through 2020. In 2025 there were 509 openings and only 16 closures. We credit new restaurants at a pace at or below what has been demonstrated, fading to zero additions by year ten because we cannot point to evidence of how many more locations the market holds, and we assume earnings grow in step with restaurant count, with no margin gain. We do not credit same-store sales growth, price increases, new markets or management targets. In 2025 US same-store sales fell 3.3% and average sales per restaurant fell from $2.138 million to $2.0 million; that fall cut royalties by about $8.3 million. Debt. Wingstop owes $1.22 billion: $472.8 million at 2.84% due for refinancing in December 2027, $248.1 million at 3.734% in March 2029, and $500 million at 5.858% in December 2031. Refinancing the first two at the 5.858% rate already paid would add roughly $19.5 million a year of interest, about $14 million after tax. We deduct that from every case beginning 2028. Bear case, $46 per share. Net additions fall back to the 255 of 2023 for five years and then fade to zero, and US same-store sales fall 3.3% a year for three years. Because much of the cost base is fixed, we cut earnings about 10% for each of those years, based on how 2025 royalties responded. Refinancing costs apply. Earnings then hold flat. Base case, $73 per share. 350 net additions a year for five years (in line with 2024's 349 and below 2025's 493), fading to zero by year ten, same-store sales flat, refinancing costs applied. Earnings rise from about $80 million to about $130 million and then hold flat, because the royalty stream on existing restaurants continues under franchise agreements. Bull case, $87 per share. Net additions stay at 2025's 493 for five years, then fade to zero. Same-store sales are flat and refinancing costs apply. What could make this wrong. All three cases treat the existing royalty stream as lasting; a lasting decline in same-store sales beyond the three years in the bear case would lower it. Nearly half of US restaurants are in four states, and all US restaurants rely on one food distributor. Growth is assumed to bring earnings in proportion to restaurants, though newer restaurants have opened with lower average sales. Buybacks funded partly by debt ($221.9 million in 2025) reduce the share count but raise interest costs. The margin-of-safety price is $34, about 27% below the bear case, because the company is leveraged and recent same-store sales have turned negative.
