Domino's is the world's largest pizza company, with more than 22,100 stores in over 90 markets at the end of 2025, about 99% of them owned by independent franchisees. Domino's earns royalties and fees on franchisee sales, makes a profit supplying dough, food and equipment to stores in the United States and Canada through its supply chain centers (most of reported revenue, but at thin margins), and runs a small number of company stores. Stores across the system sold $20.1 billion in 2025, up 5.4% excluding currency; U.S. same-store sales rose 3.0%, international 1.9%, and the system added 776 net new stores. How we measure earnings. We start from operating cash flow, strip out timing swings in working capital (including the advertising fund, which collects 6% of U.S. franchise sales and spends it on marketing), deduct stock-based pay as a real cost, and deduct the capital spending needed to keep the business running. Nearly all of the roughly $120 million a year of capital spending, which goes to ordering technology, supply chain centers and company stores, is treated as maintenance, because revenue growth is modest relative to it. On that basis owner earnings per share grew from $3.13 in 2016 to $13.06 in 2023, $14.82 in 2024 and $16.94 in 2025. Part of that per-share growth came from buybacks: diluted shares fell from 49.9 million to 34.2 million over the decade, largely funded by borrowing. Owner earnings sit below reported earnings per share ($17.57 in 2025) because we deduct stock compensation and because the cash flow statement strips out non-cash gains on Domino's minority stake in DPC Dash, its master franchisee in China, and excess tax benefits from stock awards. There are no material acquired intangibles, so no wasting asset needed special treatment. Starting point. We use $14.82 per share, the median of 2023 to 2025. We set aside 2020 and 2021 because pandemic delivery demand temporarily inflated sales, and 2022 because the unwinding of that surge, a spike in food costs and a delivery driver shortage depressed it. We do not start from 2025's $16.94: part of that jump reflects 2024 cash flow being reduced by investment gains, and the first half of 2026 shows revenue up about 4% but net income down about 2% from a year earlier. Debt. Domino's carries about $4.8 billion of securitized debt, roughly five times its cash operating profit. Our earnings figure is already after interest, so we do not subtract the debt again, but it shapes every case. $1.32 billion of notes paying 4.1% to 4.3% come due in 2027, $827 million at 2.66% in 2028, $648 million at 3.67% in 2029 and $973 million at 3.15% in 2031. The company refinanced its 2025 maturities with new notes at 4.93% and 5.22%. Replacing the older notes at similar rates adds roughly $64 million a year of pre-tax interest by 2031, about $1.45 per share after tax, and we deduct that cost in every case as each series rolls over. If a series is not refinanced by its expected repayment date, its interest rate steps up by at least 5 percentage points; the 2025 refinancing shows the market remains open to Domino's, so we treat this as a risk rather than an expectation. Base case, about $407 per share. Owner earnings grow 3% in 2026. That is well below the 12% growth in total owner earnings (14% per share) in 2025, because the first half of 2026 shows that pace has not carried forward. Growth is 4% in 2027 and then 5.5% a year through 2035, in line with the 5.4% to 5.9% annual growth in system sales from 2023 to 2025, which drives royalties and supply chain volume, less the higher interest cost above. After 2035 we assume 3% growth for another decade, supported by the brand's long record of adding stores each year, particularly overseas, and no growth at all after that. All cash flows are discounted at 6%. Bull case, about $522 per share. Store additions and same-store sales run at the pace of 2019 to 2025, when total owner earnings grew about 8% a year: 5% growth in 2026, 7.5% a year through 2035, refinancing at somewhat lower rates of around 4.8%, 4% growth for the following decade, then flat. Bear case, about $238 per share. U.S. delivery keeps losing ground to competitors reached through third-party delivery apps. Domino's Pizza Enterprises, the largest franchisee with 3,524 stores in 12 markets (16% of all Domino's stores), keeps trimming weak markets; the annual report acknowledges closures in certain international markets in recent years from opening stores too densely. Owner earnings fall 3% in 2026 and 2% in 2027, similar to the dip in 2022, then grow 2% a year through 2035 with debt refinanced at about 6.2%, and do not grow after 2035. Even here the business remains well able to service its debt, so the equity keeps substantial value. What the shares appear to be worth. Roughly $240 to $520, with a central estimate near $407. The margin-of-safety price is $270: about a third below the base case and modestly above the bear case. That discount reflects a very steady franchise royalty business offset by heavy borrowing and a run of refinancings from 2027 to 2031. The main ways this could prove wrong are a sustained run of falling U.S. same-store sales, franchisee profits deteriorating enough to stop store openings, or a failure to refinance the debt on schedule.
