Business condition attached to the margin of safety Two consecutive reported quarters of positive Jack in the Box system same-store sales, together with the February 2027 securitization notes fully repaid or refinanced without a rise in total debt.
Jack in the Box franchises about 2,115 burger restaurants (149 company-run, 1,966 franchised as of July 5, 2026), mostly in California, Texas and the rest of the West and South. Del Taco, bought in 2022 for about $585 million, was sold on December 22, 2025 for $115 million, so what remains is the original Jack in the Box brand alone. Its value rests on royalties, rents it collects as landlord to franchisees, and margins at the remaining company restaurants. Earnings level. We measure the cash the business produces before paying its lenders: operating cash flow with working-capital swings removed, less stock compensation and capital spending, with interest added back. It was about $218 million in fiscal 2021, then $199 million, $165 million, $131 million, and $107 million in fiscal 2025 (that year still included Del Taco). Every year has been lower than the one before. In the first 40 weeks of fiscal 2026, operating cash flow from the remaining business was $56.6 million against $118.1 million a year earlier. Part of that drop is temporary, including $23.3 million of payments to franchisees for store improvements and incentives (versus $4.7 million). The trend still points down: same-store sales fell about 7% in the third quarter of fiscal 2025 and another 1.1% a year later, and franchise royalties are down 6% year to date. Each closed franchise restaurant removes roughly $80,000 of franchise profit, and management expects 50 to 60 closures this year with more in 2027 and possibly 2028. We start from the fiscal 2025 level and do not use the strong 2020 to 2022 years, which reflected pandemic drive-through demand and a larger business. Cash flow fell 18% in the last full year, so the central case cannot assume a rebound in year one. We start it at about $88 million, below fiscal 2025, and do not treat the weak 2026 run rate as permanent. Real estate sales and insurance-policy cash used to repay debt are treated as one-time asset sales, not earnings. Debt. The company owes about $1.47 billion of securitized notes, plus $39 million drawn on its revolver. Cash, excluding restricted cash, is about $46 million. In June 2026 it issued $500 million of new notes expected to be repaid by May 2031. It used that money, insurance-policy proceeds and cash to repay all of the notes due August 2026 and most of those due February 2027. The remaining older notes, expected to be repaid by August 2029 (about $430 million) and February 2032 (about $550 million), carry fixed rates of about 4.1% to 5.3%. That is cheaper than market and is worth about $45 million to shareholders while it lasts. Debt is about 6.3 times the company's own earnings measure. Above 5 times, the notes require scheduled principal repayments, so cash goes to lenders first. The dividend and share buybacks have stopped. Expected interest is about $81 million a year. Central case. Business cash flow of about $88 million in fiscal 2026–27, then about $86 million and $85 million. After that it falls about 1% a year as the closure program and soft traffic continue, with nothing assumed to replace the lost units. The only growth credited is none: the brand has not added units over time, and remodel and refresh plans are not yet proven. The business is worth about $1.24 billion against about $1.43 billion of net debt, a deficit of about $187 million, or roughly -$9.63 per share. On this path, cash flow barely covers interest, the debt is never meaningfully reduced, and shareholders hold an option rather than equity value. Downside case. A consumer downturn like 2008–2010, when quick-service traffic and franchisee profitability fell together across the industry. Cash flow falls to about $84 million, then $70 million and $62 million. Franchisee distress speeds up closures. It recovers only partly to about $68 million and then declines about 3% a year. The 2029 and 2032 notes would need refinancing at roughly 9% instead of 4–5%. The business would be worth about $0.84 billion against an effective debt burden of about $1.71 billion. That case leaves the company owing roughly $865 million more than it is worth, about -$44.58 per share, and in practice ends in restructuring or heavy dilution. Upside case. The levers already under way work: the closure program removes the weakest units, the franchise refresh signed up about 25% of franchisees within weeks, and same-store sales improve from the 7% decline of a year earlier. Cash flow recovers to about $95 million, then $105 million and $114 million, and holds at about $120 million, still well below the 2021–2023 levels. The business is worth about $1.96 billion against $1.43 billion of debt, about $27.37 per share. What matters most. Value here comes almost entirely from the debt. A $20 million change in sustained annual cash flow moves the business value by about $300 million, or roughly $15 per share. We are moderately confident about the direction of earnings and much less confident about the level. Fiscal 2026 cash flow is muddied by Del Taco separation costs and the franchise incentives, so it cannot be cleanly reconciled. The worst plausible outcome is the downside case plus a refinancing market closed to restaurant securitizations at the 2029 and 2032 repayment dates. A whole-business securitization protects lenders, not shareholders, so in that outcome the shares are worth nothing. If we are wrong and the cash flow decline has already bottomed near $107 million, the shares are worth roughly the high single digits. If the decline continues, they are worth nothing. Nothing is paid out during the holding period. Margin-of-safety price. Price alone does not support a margin-of-safety price, because the central case shows no value for shareholders. If same-store sales turn positive for two straight quarters and the February 2027 notes are retired without adding debt, the earnings level would have stopped falling and the near-term refinancing risk would be gone. In that case the business is worth roughly $20 per share, with cash flow of about $110 million a year held flat. To allow for 20% a year over an assumed three-to-four-year holding period while still carrying a credible downside to zero, the margin-of-safety price is no more than $8 per share, and it applies only once that condition is met. Because a zero outcome is possible, the price has to be low enough that a few years of recovery more than offset that risk. Previous estimates were made on a different basis and are not comparable.

Sales geography
United States, mainly the West (California, Arizona, Washington, Oregon, Nevada) and the South (Texas, Louisiana, Tennessee), with a smaller presence in the Midwest (Illinois, Chicago market); small franchise presence in Mexico.
Historical growth strategy
Grew historically by opening company and franchise restaurants in the western and southern United States, then shifted to refranchising (now about 93% franchised) and to large debt-funded share buybacks through a whole-business securitization; bought Del Taco in 2022 for about $585 million and sold it in December 2025 for $115 million. The current plan is to shrink by closing weak restaurants, sell real estate and repay debt.
Chart analysis
A chartist would see a long downtrend: the shares peaked above $100 in 2018 and again in 2021, then made a series of lower highs and lower lows through 2024 and 2025 and fell to multi-decade lows near the high teens to $20s. Any rallies since the Del Taco sale and the June 2026 refinancing have been short and have failed below falling moving averages. The pattern reads as a stock still in a downtrend, and a chartist would want to see a base form and the price hold above its 200-day average before calling a turn.
