Shake Shack operates and licenses fast-casual burger restaurants. At the end of 2025 there were 659 Shacks: 373 Company-operated (which produce about 95% of revenue of $1.45 billion) and 286 licensed (royalty income). Company-operated Shacks opened at a steady pace (45 in 2025 alone), funded from the company's own operating cash flow. How we measure earnings. We start from cash from operations, remove the swing in working capital, and deduct stock compensation (a real cost, $19.5M in 2025). We deduct capital spending except the portion that supports revenue growth (estimated from the company's 10-year average capital spending of about 15% of revenue). On that basis the business earned about $48M ($1.16 per share) in 2025 and $42M ($0.94) in 2024, versus roughly break-even in 2023 and losses in every year from 2018 to 2022, when the company was spending heavily to build Shacks. Because the earlier years reflect a much less profitable business, we anchor on 2023-2025 (median $0.94 per share), the period since restaurant margins and overhead leverage improved. Depreciation ($107M) is not added back separately; it is already inside the cash figure, and the heavy build-out is why so little is left after capital spending. Base case ($15 per share). Owner earnings grow about 10% a year for three years, 8% for three years, then slow to 5% and 3%. Actual growth in 2025 was about 23%, so starting below that is deliberate. We credit only unit growth, because Shake Shack has opened Company-operated and licensed Shacks every year since its 2015 IPO, including through the 2020 downturn, at roughly 12-14% of its base. We do not credit sales gains at existing Shacks, price increases, margin improvement or new formats. After year ten, we assume existing Shacks keep earning at that level and gradually fade to half over a further decade, since leases and the brand are what demonstrably persist. Bear case ($3). Earnings stay near $0.45 per share for ten years with no growth and nothing afterward. This reflects how thin the cushion is: 2023 was break-even on our measure, so a return of food and labor cost pressure would erase most earnings, and the business has a record of closures and impairments ($32M in 2024). The $250M 0% convertible notes due March 2028 are covered by $360M of cash. Bull case ($23.50). Earnings start from the 2025 level ($1.16) and grow 12% a year for five years (roughly the recent pace of new Shack openings), then 8% and 5%, with the same fade after year ten. What could make this wrong. Our capital spending treatment charges most of the $166M annual build-out as a cost of staying in business; if a much smaller portion is truly needed to maintain existing Shacks, true earnings power is materially higher. Conversely, licensee concentration (one licensee runs 30% of domestic and one 30% of international licensed Shacks) and beef and labor costs could push results toward the bear case. Some early-year working-capital signs in the filings were ambiguous and were treated consistently; the effect is small relative to the total.
