Mesa Laboratories, based in Lakewood, Colorado, makes four groups of quality-control and measurement products: sterilization and disinfection monitoring (single-use biological and chemical indicators, plus testing services, $101.6 million of fiscal 2026 revenue, up 8.7%), biopharmaceutical development instruments and consumables ($48.6 million, flat), calibration instruments and services ($53.6 million, up 3.5%) and clinical genomics (the Agena MassARRAY platform, $45.4 million, down 3.6% after a 10.5% decline the year before). Total revenue for the year to March 2026 was $249.1 million; about 53% was earned outside the United States and about 8% in China. The sterilization and calibration lines are the core: customers in hospitals, dental offices, medical-device plants and pharmaceutical factories must test and re-test routinely, so much of this revenue comes back every year. How we measured earnings. We start from operating cash flow, strip out the swings in receivables, inventory, payables and accruals, subtract stock compensation in full, and subtract only the part of capital spending needed to stand still. Because lenders are paid before shareholders, we then add back cash interest to get the cash the business itself produces, and subtract the debt afterward. On that basis the business produced $32.1 million in fiscal 2023, $28.3 million in 2024, $34.0 million in 2025 and $36.9 million in 2026. We anchor on the median of those four years, $33.1 million (about $5.74 per share on 5.76 million diluted shares), because fiscal 2023 was the first full year with the large Agena acquisition; earlier years describe a smaller, different company. Fiscal 2026 stock compensation of $17.9 million includes about $3.7 million of one-time costs from the former CEO's departure; we did not adjust for it, and the median keeps it from setting the level. Removing working-capital movements raised the four-year average by about $2.3 million a year, mostly because inventories rose by about $10.9 million net. Non-cash charges, including the $274.5 million fiscal 2024 write-off of Agena goodwill and intangibles, are added back automatically because that money was spent long ago; the wearing-out of acquired intangibles (amortization falls from $17.2 million in fiscal 2027 to $11.3 million in fiscal 2030) is instead reflected in the paths below, not in the earnings level. Growth. Last year the business's cash flow grew 8.3% in total. Year one of the base case assumes none: it holds the anchor level flat, which is below fiscal 2026's $36.9 million. We credit no growth in any case beyond a modest 3% a year in the optimistic case. Mesa's growth has come from acquisitions that were large, debt-funded and in the case of Agena and Gyros largely did not earn their cost; that is not a repeatable process we can count on. New products, a Clinical Genomics recovery in China and further sterilization share gains are all left out of the base case because none is contracted or has a multi-year record behind it. Base case: the business is worth about $403 million ($70.0 per share), it owes about $112.6 million of net debt ($19.57 per share), leaving $50.39 per share. The story: $33.1 million a year for ten years, then declining 5% a year as the acquired customer relationships and technology, which are amortized through roughly fiscal 2031 and are not renewed without acquisition spending we do not credit, age out. Bear case: $20.80 per share. The business is worth about $245 million ($42.5 per share) after a downturn and after a $40 million acquisition that earns nothing, matching Mesa's record of paying $596 million for deals over ten years and writing off $274.5 million. It owes $125.1 million ($21.73 per share), including $12.5 million of extra interest if the credit agreement, which matures in April 2029 with a $48.75 million term-loan balloon due in fiscal 2030, is refinanced at wider spreads after a weak year. The downturn is twice the depth of fiscal 2024, when organic revenue fell about 5.6% and cash flow fell about 12%: cash flow falls to $23 million in year three and recovers only to $27 million, 18% below the anchor, then declines 10% a year after year ten as customers and franchises are lost to larger competitors. Debt stays serviceable but the covenant cap of 3.5 times leverage becomes tight if a debt-funded acquisition is made at the bottom. Bull case: $87.17 per share. The business is worth about $615 million ($106.7 per share), it owes $19.57 per share. Cash flow resumes at $38 million, a bit above fiscal 2026, as the one-time CEO costs fall away (first-quarter fiscal 2027 stock compensation was $2.4 million against $3.9 million a year earlier) and sterilization continues to grow; it then rises 3% a year for ten years, below the 4.7% and 8.7% growth that division delivered in the past two years, before declining 3% a year. Debt. At June 30, 2026 Mesa owed $66.1 million on a term loan (final payment fiscal 2030) and $77.25 million on a revolver, against $30.7 million of cash. The converts that were outstanding in 2025 are repaid, and borrowing costs of about 5.9% are close enough to our yardstick that no adjustment is made in the base and bull cases. What changed since our previous analysis. The prior estimates were made on a different basis and are not comparable. The business itself: Mesa announced a new CEO, Dr. Siddhartha Kadia, effective fiscal 2027; first-quarter fiscal 2027 (reported August 2026) showed revenue of $60.1 million (up 1%), operating cash flow of $14.7 million versus $1.9 million a year earlier, and debt reduced by about $9 million since March. What could prove this wrong. We tested the flat base case against the most recent quarter and it held: after the same working-capital strip, quarterly cash flow improved from about $5.0 million to $8.9 million. The weak spots are Clinical Genomics, where China demand has fallen two years running and the company expects the pressure to persist at a smaller scale; tariffs, which cut biopharma margins; and the company's history of acquisitions that destroyed value. Accrued liabilities rose $13 million over fiscal 2025 and 2026; we remove that as working-capital timing, but the filing does not explain it and we could not reconcile it from the text. Margin-of-safety price: $21. We are fairly sure of the earning power, since owner earnings have been positive for ten straight years and stayed between $23 and $34 million for the last four, but not sure of its direction, because about 18% of revenue is in a declining business and the owner has twice paid up for acquisitions. The worst plausible result is a demand downturn, a bad acquisition and a tighter credit market arriving together; with a debt load of about 2 times annual cash flow and covenant limits, that would hurt but the business would survive, and we put the equity at about $21 in that case. If we are wrong about the earnings level by a quarter, or if the old customer relationships fade faster, the shares would be worth around $30 to $33. The price assumes a holding period of three to five years; over that period the company pays a $0.64 annual dividend and uses the rest of owner earnings, about $4.80 a share last year, to repay debt. At $21 the equity is priced at about $121 million: roughly the bear outcome, so the bear case implies roughly recovering that price with the dividend and debt paydown, while the base case implies well above 20% a year.

Sales geography
United States (about 47% of revenue, spread across the Northeast, Midwest, South and West); Europe (the largest non-U.S. region, with major operations in Germany and sales also in France and Sweden); China (about 8% of revenue); other Asia-Pacific and international markets. Roughly 53% of revenue is earned outside the United States.
Historical growth strategy
Serial acquisition of niche instrument and consumables businesses funded with debt, convertible notes and stock: Gyros (2020), Agena Bioscience (2021, about $301 million) and GKE (2023, about $79 million) on top of many smaller deals, with limited organic growth. The Agena purchase was largely written off in fiscal 2024 ($274.5 million impairment), and since then the company has made no acquisitions and used cash flow to repay debt.
Chart analysis
A chartist would see a stock in a long, damaged downtrend from a speculative peak. Shares topped near $324 in late December 2021, then fell roughly half in 2022 and slid again in 2023 and 2025, putting in a sequence of lower highs and lower lows with the 2021 peak far overhead. The 52-week low near $55 marked a capitulation-style base; since then the stock has roughly doubled to the low $110s by mid-2026, breaking the downtrend of the past two years and approaching resistance around the $114 52-week high and the $130 area where it closed 2024. A close above that zone would confirm a multi-year bottom; failure there would leave a wide trading range between about $55 and $115. The price remains about two-thirds below its all-time high.
