Business condition attached to the margin of safety Two consecutive half-years in which cash from operations plus interest paid, less stock compensation and capital spending, runs at or above roughly $450 million a year, showing the one-time costs of separating from 3M are rolling off, and no adverse outcome in the first Bair Hugger trials.
Solventum is the healthcare business 3M spun off in April 2024. It sells advanced wound care (including V.A.C. negative-pressure therapy) and infection prevention and surgical products (MedSurg, 58% of 2025 sales), dental and orthodontic products (Dental Solutions), and hospital coding and documentation software (Health Information Systems). About 56% of sales are in the United States and 44% abroad. It sold its Purification and Filtration unit to Thermo Fisher in September 2025 for about $4 billion, used most of that to cut debt from roughly $8 billion to about $5 billion, and bought Acera Surgical for about $0.7 billion in December 2025. WHAT THE CASH ACTUALLY LOOKS LIKE. We measure what owners can take out: operating cash flow, less working-capital swings, less stock compensation, less the part of capital spending needed just to stand still. Because the company carries about $5 billion of debt, we value the business before its lenders (adding back interest paid) and then subtract the debt. Only two years are comparable, 2024 and 2025. Earlier years were carved out of 3M and exclude interest, most cash taxes and the separation costs 3M absorbed. Owner earnings were $3.47 per share in 2024 and -$1.39 in 2025. Before interest, the business produced about $889 million in 2024 and $199 million in 2025 (roughly $5.12 and $1.13 per share). The 2025 figure absorbed transaction costs on the Purification and Filtration sale and extra receivables and other assets tied to the transition agreements that came with it. The standalone story so far is one of costs, not earnings power: the corporate and separation cost line went from about $77 million in 2023 to $387 million in 2024 and roughly $850 million in 2025 (excluding the sale gain). MedSurg segment operating income fell from $1,107 million in 2023 to $887 million in 2024 and $810 million in 2025 on stand-alone operating costs. Amortization of acquired intangibles ($312 million in 2025, mostly from 3M's Acelity purchase) is added back as a non-cash charge, so we carry that wasting asset by giving no growth credit anywhere. The most recent half-year (first half of 2026) did not show a rebound: operating cash flow was $38 million, receivables absorbed $286 million, operating income was $262 million versus $367 million a year earlier, and the company bought back $355 million of stock. BASE CASE, about $12 per share. Business value of about $7.2 billion, less net debt of about $5.1 billion (roughly $5.08 billion of notes and term debt, a $207 million lease on the new Eagan, Minnesota headquarters that began in 2026, less about $150 million of surplus cash), leaves about $2.1 billion, or $12.04 per share. Cash before lenders is taken as $350 million in the next year (tracking the weak first half), $450 million the year after, then $544 million, the middle of the two comparable years, held flat for 30 years and then zero. Trailing growth was sharply negative (2025 owner earnings fell versus 2024), so the step up is not assumed for growth: it rests on dated items that end, namely the Purification and Filtration transaction costs (closed September 2025) and transition agreements that run up to 24 months from that closing. Nothing is credited for market growth, share gains, new products, margin recovery or the Acera acquisition. The flat 30 years rests on recurring consumables and software renewals, seventy-plus years of franchises, and $739 million of annual R&D; we assume nothing lasts beyond that. BEAR CASE, about -$12.50 per share. Business value of about $3.0 billion against net debt of about $5.1 billion: the company would owe roughly $2.2 billion more than the business is worth. Cash before lenders stays near $300 million (the first-half 2026 pace) and erodes 2% a year for 20 years, consistent with the MedSurg profit decline above. That barely covers interest of about $285 million a year on notes averaging about 5.6%, leaving nothing to repay $506 million falling due within a year and the rest by 2029 to 2064. Solventum also agreed to cover 3M's uninsured Bair Hugger warming-blanket liabilities; federal bellwether and state trials are expected in 2026 and the company says it cannot estimate a loss beyond what is recorded. That is not priced into any figure here, and an adverse verdict would make this case worse. BULL CASE, about $33.90 per share. Business value of about $11.0 billion, less $5.1 billion of net debt, leaves about $5.9 billion. Here the one-time separation costs the company itself labels as such (manufacturing relocation, system builds, transition agreements ending by about September 2027) roll off and cash before lenders climbs from $400 million to $600 million, $800 million, and settles at $850 million, no better than the $889 million actually produced in 2024, held flat for 30 years. WHAT WOULD MAKE THIS WRONG. In a business with about $5 billion of debt, small changes in cash flow swing the share value a lot: every $50 million a year of sustained cash flow is worth about $1.7 per share. We tested the assumption that separation costs are temporary. The filings classify them as one-time and give end dates for the transition agreements, but do not quantify what remains, so we credit the recovery only in the bull case and partly in the base. The debt is priced close to our 6% rate, so no adjustment was made for financing cost. Two figures could not be fully reconciled from the filings: the 'all other operating activities' line swung from +$67 million to -$194 million, and the first-half 2026 receivable build of $286 million is unexplained beyond the 2025 transition-service commentary. We treated both as real operating cash costs rather than working-capital timing.

Chart analysis
Solventum has traded publicly only since April 2024, when 3M distributed its shares, so its price history is short and dominated by the spin-off. Newly spun-off companies often see forced selling by holders who received shares they did not choose, followed by a base-building phase; a chartist would look for a defined multi-month base and rising volume on advances before calling a trend, and would treat the stock as lacking the long history needed for reliable support and resistance levels. Divestiture and acquisition news in 2025 and the heavy debt load would be expected to show up as wider swings around earnings dates. No specific price levels are asserted here.
