bear $9.50 base $17.60 bull $27.40 margin of safety $10.50 market price* $54.80
Business condition attached to the margin of safety No further goodwill/intangible impairments in the next one or two quarterly filings beyond the $152 million taken in 2025 and the additional ~$135 million already recorded in the first half of 2026, and organic (ex-acquisition) revenue positive for at least two consecutive quarters.
Bruker is a global maker of scientific and analytical instruments - nuclear magnetic resonance (NMR) systems, mass spectrometers, X-ray and optical instruments, and, following recent acquisitions, spatial biology and molecular diagnostics tools. Its four business groups sell primarily to academic and government research labs, pharmaceutical and biotech companies, and industrial and clinical customers. Manufacturing is concentrated in the Northeast United States (Massachusetts), Germany, Switzerland, Austria, France, Israel and the UK, and sales are global, with a meaningful share tied to U.S. academic and government research funding (NIH, NSF, DOE grants), a large European base (particularly Germany), and demand from China's research and industrial markets alongside the rest of Asia. 2025 was a difficult year. Revenue grew only 2.1% on a reported basis - and actually declined 3.7% on an organic basis once last year's acquisitions (NanoString, ELITechGroup and Chemspeed Technologies, all closed in 2024) are stripped out. The company has said plainly that reduced U.S. academic and government research funding is hurting demand for its instruments and expects that to continue. New tariffs on imports from Germany and Switzerland, where much of Bruker's manufacturing sits, pushed up costs. GHz-class NMR system sales, a high-value product line, fell from four units in 2024 to two in 2025. On top of that, the company took $152 million of impairment charges in 2025 against goodwill, intangible assets and other assets tied to recent acquisitions, and has already recorded another roughly $135 million of goodwill impairment in the first half of 2026 - a second consecutive year of writing down deals it only recently made. Restructuring costs more than tripled to $77 million as the company works through a specific cost-reduction program in its cellular-analysis unit. All of this pushed reported operating income down from $253 million to $68 million, though the swing in cash generation year to year mostly reflects the timing of working-capital items (inventory, receivables, tax payments) rather than a change of that magnitude in the underlying business. We build our estimate of value from owner earnings - cash the business throws off after covering the investment needed just to keep it running, not to grow it. Bruker's owner earnings have been unusually volatile over the past decade because of large swings in inventory (a heavy build during 2021-2022's supply shortages, now unwinding). Looking at the seven most recent years, which cover a full cycle from pre-pandemic through the supply shortage and its unwind, the middle (median) result is about $1.12 of owner earnings per share, close to where 2025 actually landed. We use that as our starting point rather than any single year. Because 2025's actual owner-earnings growth was sharply negative (roughly -31% versus 2024), and we have no specific, dated evidence that this reverses quickly - if anything, the additional impairment already booked in the first half of 2026 argues for continued softness - our base case assumes a further step down in 2026 before the business stabilizes as the restructuring program completes and the newly acquired diagnostics business (ELITechGroup), which is not dependent on academic research grants, continues to grow as it did in 2025. From there we assume only modest, low-single-digit growth, in line with a mature instruments franchise with a large recurring service and consumables base, and no assumption that government research funding recovers. That base case is worth about $17.60 per share today. Our bear case assumes the funding pressure and acquisition write-downs continue for longer, without the stabilization the base case expects, and it reflects the roughly $1.85 billion of long-term debt Bruker is carrying following its 2024 acquisition spree - debt that leaves the company much less room to absorb a longer downturn. That case is worth about $9.50 per share. Our bull case assumes the cost cuts and tariff relief (the U.S. Supreme Court struck down certain of the tariffs in February 2026) work as intended, the diagnostics and applied-markets business keeps growing, and no further impairments follow the two already taken - worth about $27.40 per share. Given the size of that range and the real financial leverage in the business, the margin-of-safety price carries a significant discount to our base-case estimate - around $10.50 per share, near the bottom of our range - and ideally assumes confirmation that the string of impairments has ended and organic revenue has turned positive again.

Sales geography
Global. Manufacturing concentrated in the Northeast United States (Billerica, Massachusetts) plus Germany, Switzerland, Austria, France, Israel and the United Kingdom. Sales skew toward U.S. academic and government research institutions dependent on NIH/NSF/DOE funding, a large European customer base (notably Germany and Switzerland), and meaningful demand from China's academic, government and industrial research markets and the rest of Asia; the 2024 ELITechGroup acquisition added applied and clinical-diagnostics customers globally, diversifying away from pure academic-research end markets.
