Business condition attached to the margin of safety For at least two consecutive quarters, the combined company shows operating cash flow (adjusted for one-time integration and financing costs) running at or above roughly $700 million annualized — evidence that the acquired BD businesses are net contributors rather than a drag once integration costs and added leverage are stripped out.
Waters Corporation makes the laboratory instruments that pharmaceutical, biotech, food-safety, and environmental labs rely on to identify and measure what's in a sample: liquid chromatography and mass spectrometry systems, plus a growing base of the consumables (columns, reagents) and service contracts that keep those instruments running day to day. That recurring consumables-and-service revenue is the core of the company's economics: once an instrument is installed, it keeps generating cash for years. On February 9, 2026, Waters closed a roughly $17.5 billion combination with Becton Dickinson's Biosciences and Diagnostic Solutions businesses — BD's flow cytometry franchise (used to analyze and sort cells) and its diagnostic testing instruments (molecular diagnostics, microbiology). BD shareholders received about 39% of the combined company's stock plus $4 billion in cash, while Waters shareholders retained about 61%. Shares outstanding rose from roughly 60 million to roughly 98 million, and the company took on meaningful new debt to fund the cash portion. This is a genuinely new business, only about seven months old as of this analysis, and we've valued it that way. Waters' standalone owner earnings — cash the business generates after real running costs, stock compensation, and the capital spending needed just to maintain the existing instrument base (as opposed to spending aimed at growing it) — grew steadily from about $7.67 per share in 2020 to about $12.22 per share in 2025, the company's last full year on its own. That decade-long record is solid evidence of a high-quality, recurring-revenue business, but it now describes only part of the combined company, spread over more shares. The first reported results under the combined structure are a caution, not a green light. In the six months to July 2026, revenue nearly doubled versus a year earlier as the acquired BD businesses were folded in, but cash generated from operations actually fell versus the same period a year ago, and the company reported a net loss. Management has pointed to one-time integration and financing costs, softer-than-expected performance in the newly acquired diagnostics business (weak China demand tied to regulatory reforms there, a mild flu season reducing point-of-care testing volumes, and export-approval delays into China), and higher interest expense on the new debt. Three of those four headwinds were expected to fade by early 2026; the China-related one was expected to persist into the third quarter of 2026. Management has also targeted $200 million of cost synergies within three years of closing. Because of that, our base case assumes owner earnings per share start below the pre-deal trend in 2026 and 2027, reflecting the real, disclosed integration and financing drag, before recovering as those headwinds lap and synergies phase in through 2028-2029, then settling into mid-single-digit annual growth from the combined installed base of instruments, consumables, and diagnostic testing volume. Our bear case assumes the integration proves harder than management expects: the China-related headwind persists past 2026, synergies only half-materialize, and the added debt continues to weigh on cash flow for several years — a meaningfully leveraged, still-unproven combination. Our bull case assumes management's own disclosed timeline holds, synergies land ahead of the three-year target, and the combined sales force succeeds in selling Waters' analytical service and consumables into BD's large installed base of flow cytometry and diagnostic instruments. In all three cases, a large share of the estimated value rests on what this business earns many years from now rather than on the next few years alone. That's appropriate for a company whose revenue is tied to a long-lived, recurring installed base, but it's worth stating plainly: this is a bet on durability more than on near-term results. We could not independently verify the newly acquired diagnostics business's own profitability, since it was never reported as a stand-alone public company; our figures rely on the combined company's early disclosures and reported cash flow, which we've treated cautiously given how recent and still-unsettled the integration is.
