Medtronic is the world's largest pure-play medical device maker (about $36.4 billion of fiscal 2026 revenue): heart rhythm devices and pacemakers, structural heart and coronary products, surgical robotics and instruments, neuromodulation, spine, and diabetes pumps. Its earning power comes from installed bases, surgeon training and hospital purchasing relationships that repeat every year. How we measured earnings. We use owner earnings: operating cash flow, less stock compensation (a real cost), less the capital spending needed just to stay in place, and with swings in receivables, inventory and other working capital stripped out. On that basis Medtronic earned about $3.90 to $5.06 per share in each of the last eight fiscal years (fiscal 2019 $4.93, 2020 $4.19, 2021 $3.91, 2022 $4.87, 2023 $3.90, 2024 $4.02, 2025 $4.55, 2026 $5.06). Fiscal 2018 ($2.53) is left out because a one-time U.S. tax-reform charge depressed cash flow. We anchor on the eight-year median of $4.37, not the latest figure. Fiscal 2026 grew 11% over 2025, but part of that is a large working-capital swing (other operating assets and liabilities have absorbed cash every year, $865 million in 2026), so we do not extrapolate it. If those recurring outflows were treated as permanent costs, earnings would be roughly 8% lower; we flag this rather than bake it in. Large acquired-intangible amortization (part of $2.96 billion of depreciation and amortization) is added back as sunk cost, so we carry decay through the fade in later years rather than assuming permanence. Base case: about $71 per share. Owner earnings start at $4.37 and grow 2% a year for ten years (year 1 is well below the 11% recent print). That rate is below Medtronic's 2.5% revenue growth since fiscal 2019, a period that included the pandemic, funded from its own cash flow, and modest share repurchases (share count down from 1,357M to 1,288M). Earnings then stay flat for fifteen years on the strength of the installed base and roughly $2.7 billion a year of R&D that has continually refreshed the portfolio, and fade to zero over the following fifteen years because nothing we can evidence runs beyond that. Discounted at 6%. We do not credit new-product launches, robotics adoption, or margin expansion, since none is contracted or a proven repeatable process. Bear case: about $37. Owner earnings fall back to the low end of the recent range ($3.90) and lose about 8% for the diabetes business (MiniMed), which Medtronic took public in March 2026, owns 90% of, and says it intends to divest within the next fiscal year; we credit no sale proceeds here. No growth for ten years, then earnings fade to zero over the next fifteen as pricing pressure and competing devices erode the portfolio; ongoing EU medical-device regulation compliance costs and debt service are already in the cash flows. Bull case: about $90. Fiscal 2026's $5.06 proves to be the durable level, growing 3.2% a year (2.5% revenue growth plus continued buybacks) for ten years, flat for fifteen more, then fading over fifteen years. MiniMed: the effect of the eventual divestiture on value could not be fully reconciled from the filing; the diabetes unit is roughly 8% of revenue and is aggregated with other segments, and the stake's sale price is unknown, so base and bull leave it in unchanged on the assumption that proceeds roughly offset lost earnings. What would make this wrong: a divestiture at a price well below the value of its cash flow, cash-flow pressure from a permanent rise in tax and litigation payments, or hospital-pricing pressure that outruns the 2% growth assumed. The margin-of-safety price is set well below the base case, reflecting a margin of safety of roughly a third.
