Edwards Lifesciences makes replacement and repair devices for heart valves. Since September 2024 it is a purer business than it used to be: it sold its entire Critical Care product group (patient-monitoring devices) to Becton Dickinson for $4.2 billion, and in December 2025 sold a small remaining non-core unit. What's left is Structural Heart: transcatheter aortic valve replacement (TAVR, the SAPIEN family — about 74% of 2025 sales), transcatheter mitral and tricuspid repair (TMTT, the PASCAL clip and the newly launched SAPIEN M3 — about 9% of sales but growing fast), and traditional surgical heart valves (about 17% of sales). 2025 was the first full year of this leaner company, with sales of $6.1 billion, up 11.5%. In valuing the business we started from cash actually generated (operating cash flow), backed out the swings caused by inventory and receivables timing and by stock-based pay, and set aside only the capital spending needed to maintain the current business — not the extra spending tied to growth. On that basis, per-share owner earnings for 2025 were about $1.81, and that figure — the median of the last five years — is our starting point. We treated the $3.3 billion accounting gain on the Critical Care sale as what it is: a one-time item tied to a business Edwards no longer owns, not ongoing earning power. The base case assumes TAVR keeps growing at a high-single-digit pace (Edwards just won FDA approval to treat patients with severe aortic stenosis who don't yet have symptoms, widening the eligible population) and TMTT keeps ramping off a small base as PASCAL and the newly approved SAPIEN M3 gain adoption, with growth naturally moderating over the decade as both franchises mature. Heavy, sustained research spending (18% of sales, and rising in dollar terms every year) supports a modest pace of new approvals continuing beyond the ten-year window. This produces a value of roughly $70 a share. The bear case centers on a real, live risk: in January 2026, a company called Cardiovalve sued Edwards alleging its PASCAL device infringes their patents and is seeking to block sales. TMTT is Edwards' fastest-growing franchise, so an adverse outcome would remove a real growth engine, and we've also assumed intensifying competition in the more mature TAVR market and continuing elevated legal costs (litigation reserves jumped from about $10 million to $146 million in 2025). That combination points to a value of roughly $34 a share. The bull case assumes the growth already visible today keeps executing well — TMTT continuing to scale rapidly on real, already-launched products, TAVR benefiting from the newly widened treatment population, and the ongoing patent litigation resolving without significant damage. That points to roughly $120 a share. Weighing the range of outcomes against the risk of a bad outcome, the margin-of-safety price is near $45 a share, set to allow for the litigation and competitive risks to resolve unfavorably.

Note: transition year - Edwards sold its Critical Care product group to Becton Dickinson on 9/3/2024 for $4.2B (a $3.3B pretax gain, excluded here since it is an investing-activity item not reflected in CFO); CFO/capex/WC above are consolidated totals including ~8 months of Critical Care operations, while the revenue figure is continuing-operations-only (restated to exclude Critical Care throughout), a basis inconsistency that affects only the growth-capex estimate, not the core CFO-based OE figure. Flagged as a distorted, non-representative year for anchor purposes given heavy one-time transition costs and this basis mismatch.

Note: Edwards sold its Critical Care product group to Becton Dickinson on 9/3/2024; FY2022 figures here use the as-then-reported total company basis (Critical Care still owned), not the later discontinued-operations restatement, for internal consistency since cash flow/capex were never split by continuing vs. discontinued operations.
