Dine Brands franchises three restaurant chains: IHOP (1,824 US restaurants at the end of 2025), Applebee's (1,579 US restaurants) and Fuzzy's Taco Shop (106). Almost all are run by franchisees who pay royalties and advertising fees, and Dine also earns rent on 521 IHOP sites it leases and sublets to franchisees. That makes it a royalty business with modest capital needs. The weak spot is Applebee's, which has been shrinking for years: net US closures were 35 in 2024 and 29 in 2025, and same-restaurant sales rose 1.3% in 2025 but fell 1.8% in the second quarter of 2026. IHOP's unit count is close to flat (down 10 net in 2025); its same-restaurant sales fell 1.5% in 2025 and then rose 1.5% in the second quarter of 2026. Fuzzy's is small and shrinking, with same-restaurant sales down 7.0% in 2025. A newer drag is the 72 company-owned restaurants, most bought back from franchisees in late 2024 and 2025. They lost money in 2025 (revenue of $104.6M against $112.6M of costs) and are absorbing remodel spending. Cash generation. Before paying its lenders, the business produced about $182M in 2016, $191M in 2019, $174M in 2023, $158M in 2024 and $125M in 2025. These figures are after stock compensation and the capital spending needed to keep the business going. After interest, owner earnings were $6.57 a share in 2023, $5.31 in 2024 and $2.91 in 2025. The 2025 drop came from losses at the company-owned restaurants, larger cash incentives paid to franchisees for remodels and dual-brand conversions, and $35.6M of capital spending, mostly on remodelling and building company restaurants. We added back the $40M of 2025 closure and impairment charges because they did not cost cash that year. We kept lease-related cash, franchisee incentive payments and the run-off of upfront franchise fees as ongoing costs rather than timing swings, because they recur every year. Amortization of the franchise rights bought with Applebee's in 2007 is also added back. The slow wearing-out of those rights is reflected instead in the declining cash-flow paths below. The first half of 2026 was weaker again: operating cash flow was $19.9M versus $53.1M a year earlier and capital spending was $23.2M versus $9.3M. Net income fell from $22.0M to $11.7M, a smaller drop than cash flow, so part of the cash decline appears to be timing and remodel spending. We treat it as a warning, not a new baseline. We anchor on the 2022-2025 median of about $148M a year before interest. That window covers the business as it now stands, with Fuzzy's and the repurchased restaurants. Because cash flow fell 21% in 2025, the base case starts below that anchor. Debt is the central issue. Dine owes about $1.2B: $500M of 7.824% notes due to be repaid in June 2029, $600M of 6.72% notes due in June 2030 and about $100M drawn on a $325M revolving facility. It also has about $34M of finance leases and holds $97.5M of unrestricted cash. The notes are backed by nearly all US franchise income. If they are not refinanced by their due dates, their interest rate rises by at least 5 percentage points. Leverage was about 4.8 times at year-end, below the 5.25 times level at which quarterly principal repayments resume. Including about $40M for the cost of coupons above 6% until those dates, we count net debt at about $1.17B. Debt is nearly three-quarters of the business's value in our base case, so small changes in cash flow cause large changes in what is left for shareholders. Per-share figures use about 12.1 million diluted shares. Base case: cash flow before interest of $117M in 2026, slightly below 2025's $125M to reflect the weak first half of 2026. It recovers to $123M by 2028 as remodel spending on the company-owned restaurants ends. After that it shrinks 1.5% a year as Applebee's keeps closing restaurants, and 2% a year beyond 2035. The business is worth about $1.62B and owes about $1.17B, leaving about $451M, or $37.25 a share. Bear case: Applebee's closures and weak same-restaurant sales continue, and the company-owned restaurants keep losing money. Cash flow starts at $110M and falls 3% a year, then 4% a year after 2035. The 2029 and 2030 notes are refinanced at about 8.5%, which adds about $123M to what is effectively owed. The business is worth about $1.17B but owes about $1.29B, so the company would owe roughly $127M more than it is worth, about -$10.52 a share. Cash flow would also fall below the interest bill around 2030, leaving lenders effectively in control. Bull case: the company-owned restaurants are remodelled and stop losing money, capital spending returns to its long-run level, and dual-brand conversions (28 opened in the US in 2025) plus steady IHOP sales offset Applebee's closures. Cash flow returns to $150M by 2028, in line with what the business earned in 2022-2024, stays flat through 2035 and then fades 1% a year. The business is worth about $2.25B and owes about $1.17B, leaving about $1.08B, or $89.49 a share. No new brands, acquisitions or market recovery are assumed. Our previous estimate used a higher, risk-adjusted discount rate. We now value every business at the same 6% and carry the risk in the bear case instead. That raises the base case. The bear case is now below zero because it explicitly prices refinancing in 2029-2030 at higher rates. The estimate would be wrong if Applebee's closures accelerate well beyond 2% a year, if the company-owned restaurants never return to profit, or if the notes cannot be refinanced on reasonable terms. Any of these would push the outcome toward the bear case, where shareholders are left with little or nothing.

Sales geography
United States nationwide (Northeast, Midwest, South and West), with Fuzzy's Taco Shop concentrated in Texas; under 2% of revenue from international franchisees in 20 countries and two US territories
Historical growth strategy
Growth by acquiring established restaurant brands (IHOP bought Applebee's in 2007 and Fuzzy's Taco Shop in 2022), then refranchising company restaurants to run an almost fully franchised, asset-light model financed with securitized debt. Further growth has come from franchisee unit development, international and non-traditional sites, dual-branded IHOP/Applebee's restaurants, and debt-funded share buybacks and dividends.
Chart analysis
A chartist would see a long-term downtrend: the shares peaked near $100 in 2018-2019 and again in 2021, then made a series of lower highs and lower lows, falling back toward the pandemic-era lows during 2025. Any rallies since have been short-lived moves within that downtrend. A chartist would want a sustained break above the declining long-term moving averages before calling a trend change, and would watch whether the 2025 lows hold as support.
