CRACKER BARREL OLD COUNTRY STORE, INC (CBRL) stock intrinsic value fair value estimate & owner earnings analysis

Business condition attached to the margin of safety At least two consecutive quarters of comparable-store guest traffic that is flat or positive (not merely comparable-store sales driven by menu price increases), confirming the recent sales improvement reflects real demand stabilization rather than price increases alone.
Cracker Barrel Old Country Store operates roughly 660 combination restaurant-and-retail stores, mostly along interstate highway corridors, plus a small but growing chain of Maple Street Biscuit Company fast-casual locations. Guests come for a specific kind of country-cooking experience and for the attached gift shop, and the business has historically converted a large share of its cash earnings into free cash after fairly modest capital spending needs. The last several years have been a period of real strain. Same-store guest traffic has been declining industry-wide in casual dining, and Cracker Barrel has offset much of that with menu price increases rather than volume gains. In 2024 the company also rolled out an updated brand identity and tested new store remodel designs as part of a broader multi-year turnaround plan; guest reaction to the remodel testing was negative enough that the company has now suspended the remodel program. That is a meaningful admission that a discretionary growth initiative did not work, and capital spending in the most recent year was elevated by that now-abandoned program. Management has guided capital spending down to $135-150 million for the coming year with no further remodel spending, which is the basis for expecting owner earnings to recover from the recent trough rather than continuing to erode. We also note that in fiscal 2020 the company wrote off essentially all of a roughly $140 million investment in Punch Bowl Social, an entertainment-dining concept that went bankrupt; that year and the following year (with a one-time real-estate gain from a sale-leaseback transaction) were excluded from our earnings analysis as not representative of the ongoing business, as was the disrupted 2020-2021 period generally. Owner earnings - cash generated by the business after the reinvestment needed just to stay in place, and after adding back non-cash items like depreciation and share-based pay - have fallen from roughly $8 per share in the years just before the pandemic to about $1.60 per share in the most recently completed year, driven mostly by that elevated remodel-related capital spending and by working-capital swings, not by a collapse in underlying operating margins (restaurant and labor costs as a percentage of sales both improved slightly in the latest year). We used the median of the four most recent normal years (fiscal 2022 through 2025) as our starting point for value, about $3.80 per share, on the view that this window best reflects the business as it exists now rather than the stronger pre-pandemic years or the distorted 2020-2021 period. Our base case assumes a partial, gradual recovery toward that normalized level over the next two to three years as capital spending comes down per management's own guidance, followed by modest low-single-digit growth from continued (if slowing) price-led sales gains. Our bear case assumes the turnaround plan stalls - traffic keeps eroding, price increases run into customer resistance, and cost inflation outpaces pricing power - so owner earnings drift lower indefinitely rather than recovering. Our bull case assumes the non-remodel parts of the turnaround plan (menu changes, loyalty and off-premise sales, labor productivity) continue to work as they did in the latest year, capital spending normalizes at the low end of guidance, and modest per-share growth continues for the next decade. In each case, we valued a decade of that path plus a view of what the store base is worth beyond that: since restaurants don't have a fixed expiration date the way a patent does, and the ongoing maintenance spending needed to keep stores in shape is already charged against owner earnings before we get to this number, we treated the years beyond the decade as a going concern - growing slowly in the base and bull cases, and gradually shrinking in the bear case. In all three cases, more than half of the estimated value comes from that long tail beyond the ten-year forecast, which is typical for a mature, long-lived retail brand valued this way but is worth understanding: it means the estimate leans heavily on Cracker Barrel remaining a viable, going-concern business for a long time, not on any one near-term initiative. Putting these together, our bear case is worth about $23 per share, our base case about $61, and our bull case about $89, all as of today. The wide range reflects real uncertainty about whether this turnaround succeeds, not a lack of research. Given the size of that gap between our worst-case and typical-case outcomes, the margin-of-safety price sits at a meaningful discount to our base-case estimate, and it assumes confirmation that the recent same-store sales improvement reflects actual guest counts stabilizing - not just price increases.
