Wayfair is an online-only seller of furniture, decor and home goods, with roughly 21 million active customers and 80% of orders from repeat buyers. It sells mostly in the United States, with Canada, the United Kingdom and Germany making up the rest. It earns money on the spread between what shoppers pay and what suppliers are paid, minus delivery, advertising and technology costs. How we measure earnings. We start with operating cash flow, take out the swings caused by timing of payables, receivables and inventory, and then subtract stock-based pay and the capital spending needed to keep the business running (equipment plus capitalized website and software work, which is written off over only two years, so we treat it as an ongoing cost). Stock pay is a real cost to shareholders and is deducted in full. On that basis Wayfair has been a cash consumer for most of the last seven years: per-share owner earnings were about -$11.62 (2019), +$4.24 (2020, pandemic boom), -$0.62 (2021), -$13.45 (2022), -$6.61 (2023), -$2.63 (2024) and +$0.46 (2025, about $60 million in total). The company's own headline free cash flow of $329 million in 2025 looks far better only because it ignores $335 million of stock compensation. What changed. Stock compensation fell from $605 million (2023) to $335 million (2025) and capital spending from $351 million to $205 million, while revenue returned to growth ($12.46 billion in 2025, up 5%). The first half of 2026 (10-Q filed August 2026) extends this: on our basis, first-half owner earnings improved by roughly $100 million versus the first half of 2025, with sales up about 7%. We treat 2025 plus this half-year as the first two data points showing a business that now covers its costs, and we do not use the older loss years as the current earnings level because the cost base was restructured. Growth check. Owner earnings grew by roughly $380 million in 2025 (from -$323 million to +$60 million). For 2026 we assume roughly $130 million, only about half of what the first-half improvement would annualize to, and we hold it flat afterward. We credit no growth from market expansion, share gains, margin targets or new businesses: the customer count has been flat at 21 million and revenue growth has come from higher spend per customer, which is not something we can call secured. Bear case (about $5 per share): earnings stay near the 2025 level of roughly $50-60 million and never build on the first-half improvement. Wayfair carries $3.3 billion of debt (convertible notes due 2027-2028 and secured notes due 2029-2032) and paid $139 million of cash interest in 2025; it also booked a $233 million loss on debt extinguishment in 2025 from refinancing, showing refinancing is costly. Flat, thin cash generation on that structure is worth about $5 a share. Base case (about $15 per share): owner earnings of about $130 million (roughly $1 per share) sustained indefinitely, supported by the 80% repeat-order base, reduced compensation and capital spending, and the first-half 2026 improvement. Discounted at 6% with no further growth. Bull case (about $29 per share): the cost improvement seen in the first half of 2026 repeats once more, lifting annual owner earnings to about $250 million, held flat. What could make this wrong: a return of stock pay or spending toward 2023 levels, a downturn in home-goods demand, or a debt refinancing on worse terms. Upside beyond our cases would need customer growth or margin gains that are not yet demonstrated. The shares appear worth roughly $5 to $29 with a central value near $15; given leverage and only one year of positive owner earnings, the margin-of-safety price is set well under the central value, at $7.
