Lovesac designs and sells modular furniture, mainly through its own showrooms and its website. Sactionals, its modular couches, made up 91.1% of net sales in fiscal 2026 (year ended February 1, 2026), and the rest includes Sacs (foam beanbag chairs), the StealthTech sound system and accessories. The company ended fiscal 2026 with 278 showrooms (257 a year earlier), holds about $102 million of cash and has no borrowings on its credit line. Our estimates are per share and do not add that cash separately, because the interest it earns is already in the earnings we value. How we measure earnings. We start from cash generated by operations, remove the swings from inventory, receivables and payables, deduct stock-based pay as a real cost, and deduct the part of capital spending needed just to keep the business running (spending tied to sales growth is excluded). On that basis, owner earnings per share were $1.31 in fiscal 2021, $2.20 in 2022, $1.31 in 2023, $0.98 in 2024, $0.40 in 2025 and $0.19 in 2026. Fiscal 2024 had 53 weeks. Which years we rely on. Fiscal 2021 to 2023 were a period of very fast growth (sales rose 55% in fiscal 2022 and 31% in 2023) that no longer describes the business. We use fiscal 2024 to 2026 and take the middle value, $0.40 per share. Why earnings fell. Operating income dropped from $30.1 million in fiscal 2024 to $13.6 million in 2025 and $5.4 million in 2026. In 2026 gross margin fell 2.1 points to 56.4%, of which 1.8 points came from inbound freight and tariff costs. Sales grew only 2.4%, with comparable sales up just 0.5%. Showroom sales rose 9.9% on new openings, but internet sales fell 2.0% and other sales fell 37.1% after the end of the Best Buy shop-in-shop partnership in June 2025 and no barter transactions. Growth in showrooms has not yet produced growth in earnings, so we credit none. Year-one check. Earnings fell 52% in fiscal 2026 ($0.40 to $0.19), yet our base case holds earnings at $0.40 rather than continuing the decline. The reason is the latest quarterly filing: for the first half of fiscal 2027 the net loss narrowed to $3.7 million from $17.5 million a year earlier, with the second quarter earning $7.4 million against a $6.7 million loss, on sales that were flat at $299.4 million. This is one improving quarter, so it supports the anchor but we do not raise it above the middle of the recent range. Base case, $3.8 per share. Earnings stay at $0.40 for ten years and then fade evenly to zero over the following ten years. We credit no growth. Showroom expansion has not yet shown up as higher profit, and we cannot point to evidence that the earnings continue beyond about twenty years, so the fade ends at zero. Bear case, $1.0 per share. Fiscal 2026 earnings of $0.19 are the starting point and decline 10% a year for ten years, after which nothing is assumed to continue. Support: the company reports higher tariff and transportation costs, operating margin was only 0.8% in fiscal 2026, and a single product line supplies 91% of sales, made by suppliers in Vietnam, Malaysia, China, Indonesia, Taiwan and India. With operating income at 0.8% of sales, one more point of margin lost would push operating income below zero. Bull case, $8.4 per share. Earnings recover to $0.40 in year one, $0.70 in year two and $0.98 (the fiscal 2024 level, when gross margin was 57.3% and selling, general and administrative expenses were 37.7% of sales) from year three through year ten, then fade evenly to zero over ten years. This requires the cost cuts from the June 2025 plan and the narrowing losses to hold, and freight and tariff costs to ease. Items left out. In February 2026 the Supreme Court struck down certain tariffs, and Lovesac has filed a claim for a full refund of the tariffs it paid under them. The amount and timing are uncertain, so we assign no value. The administration then announced a new 10% global tariff. The company is also pursuing domestic manufacturing of some Sactionals to reduce tariff exposure, but it says benefits are not assured, so we do not count them. Any refund or cost relief would raise our estimates. What would prove this estimate wrong on the downside: owner earnings for fiscal 2027 coming in below the $0.19 of fiscal 2026. On the upside: gross margin sustained near 58% with selling, general and administrative expenses below 38% of sales. Margin-of-safety price. The margin-of-safety price is set at about half of the base value, because earnings are thin, have fallen sharply for two years, and depend on one product line and on tariffs. That gives $1.90 per share.
