Vince Holding sells Vince-brand women's and men's contemporary luxury apparel through two channels: wholesale to department and specialty stores (about 55% of fiscal 2025 sales of $300.0 million) and its own 43 full-price stores, 12 outlets and vince.com (the rest). Since May 25, 2023 the company no longer owns the Vince brand. It sold the brand's intellectual property to ABG Vince and licenses it back, paying a royalty on sales with a guaranteed minimum of $11 million a year. The initial license runs through fiscal 2032, and Vince holds the option to renew it for eight further ten-year terms unless it is terminated or in material breach. Vince also keeps a 25% interest in ABG Vince, which pays it cash distributions. The 51% majority owner is P180, whose chairman is Vince's CEO, Brendan Hoffman. How we measure earning power. We start from cash flow from operations, remove the swings in receivables, inventory and payables, and subtract share-based pay and the part of store and equipment spending needed to stand still. Fiscal 2025 also carries a $6.5 million charge for expected losses on receivables from Saks Global, which filed for Chapter 11 in January 2026. We treated that as a real cost rather than adding it back. The result is $0.67 per share in fiscal 2024 and $0.66 in fiscal 2025. Earlier years are not representative because the business then owned its brand, was still running Rebecca Taylor and Parker, and lost money through 2020 to 2022; fiscal 2023, the transition year, was about break-even. We therefore anchor on the two full years under the license, roughly $0.66 per share. Fiscal 2025 cash flow from operations was only $3.0 million, because inventory rose $7.0 million (partly higher tariff-related costs), payables fell $5.1 million and receivables rose. We stripped these timing effects out, but the same inventory build could keep absorbing cash if sales grow. Cash flow improved in the first half of fiscal 2026 to $9.2 million, against a cash outflow of $7.6 million a year earlier. Growth. Owner earnings slipped about 2% in fiscal 2025 ($0.668 to $0.656). We assume 0% in year 1 in the base case, at or above that trailing rate because the fiscal 2025 figure absorbed the one-time Saks charge, and the fiscal 2026 first-half results (net sales up 11% to $145.8 million; net income $8.5 million against $7.3 million) show the underlying business is not shrinking. We give no credit for the sales growth itself: it rests on marketing spend and wholesale demand, not on anything contracted, and the company has been closing stores (57 to 55 in fiscal 2025). Base case: $6.2 per share. Owner earnings hold at $0.66 for ten years, discounted at 6%. What supports continuing beyond that is the contractual renewal right on the license and a brand that dates to 2002; what does not is a long earnings record, since only two years exist under the current structure. So from year 11 we fade the earnings linearly to zero over ten more years, and add nothing beyond that. Bear case: $1.5 per share. Nordstrom is 26% of sales and Saks, another wholesale partner, is in reorganization, so we assume losing a large account or a sharp wholesale pullback. The $11 million minimum royalty, at least 45 stores and roughly $128 million of lease commitments do not shrink with sales, and the company's own 2020 to 2022 record shows losses when volume falls. Owner earnings are about minus $0.40 per share in years 1 and 2, then recover to only half the base level ($0.33) through year 10, and fade to zero by year 16. Losses are funded from the revolving credit line, which had $40.8 million of availability at year end against $10.7 million borrowed, plus about $8.8 million of subordinated debt that accrues interest in kind. Debt is small next to earnings power, so the bear case is driven by the operating downside. Bull case: $9.4 per share. The first-half fiscal 2026 sales and profit gains carry through and owner earnings settle at about $1.00 per share, held for ten years and then faded to zero over ten more, the same shape as the base case. What would make this wrong: a further wholesale-partner failure or lost account, tariffs that raise costs faster than prices, loss of the license (for example through a material breach), or continued cash drain into inventory. Distributions from the ABG Vince stake (about $3.6 million in fiscal 2025) are included in owner earnings and depend on the licensor's Vince royalties. We could not tie the timing of the tariff-related inventory build to a permanent versus temporary cost from the filing alone. This is a small, concentrated, fashion-cycle business under a license it does not own the brand for, so the margin-of-safety price is set with a wide margin of safety.
