VIAVI Solutions makes test, measurement and assurance equipment that telecom carriers, network-equipment makers, data-center operators and defense customers use to build and verify their networks (the Network and Service Enablement segment), plus a smaller Optical Security and Performance Products segment that supplies anti-counterfeiting pigments and 3D-sensing optical products. Demand for the testing business follows the capital-spending cycles of its customers, so earnings are cyclical: cash available to the business before paying its lenders ran about $118-138 million a year in fiscal 2019-2022, fell to about $84 million in fiscal 2023 and $55 million in fiscal 2024 during the industry-wide network-spending downturn, and was $65 million in fiscal 2025. Fiscal 2026 (ended June 27, 2026) changed the company. In October 2025 VIAVI paid $399.3 million for the high-speed Ethernet and channel-emulation testing business of Spirent Communications, which contributed $145.0 million of revenue in its first eight and a half months, and the Inertial Labs positioning-and-navigation business (bought in fiscal 2025) contributed $86.1 million. Revenue rose from $1,084.3 million to $1,518.3 million, NSE operating margin rose from 5.5% to 16.1%, and the company generated about $223 million of cash before interest. The acquisition was first financed with a $600 million term loan; by year-end the whole loan had been repaid, using a $557.7 million net share offering completed in May 2026 and a new $250 million convertible note. The share count rose from about 223 million to about 247 million as a result of the offering and the exchange of older convertible notes for stock. How we measured earnings. We start from operating cash flow, strip out working-capital swings, and subtract stock-based compensation (about $55 million a year) and the capital spending needed to maintain the business. Non-cash items such as the $67.9 million of acquired-intangible amortization, the $56.7 million loss on retiring debt and the $33.0 million increase in the expected Inertial Labs earn-out are added back by this method; the earn-out itself is treated as a debt-like obligation below. Fiscal 2026 capital spending rose only $3.3 million despite the 40% revenue jump, because the growth was acquired rather than built, so we treated all of it as maintenance spending. Because only eight and a half months of combined results exist and fiscal 2026 benefited from the post-acquisition volume surge, we do not use that year as the level; our base case starts slightly below it. Base case (the median outcome): cash before interest of about $200 million in fiscal 2027 with a full year of Spirent, about 10% below the fiscal 2026 figure of about $223 million (which itself was roughly 240% above fiscal 2025, mostly from the acquisitions), then a downturn of the kind seen in fiscal 2023-2024 that takes it to about $100 million by year four, recovery to about $145 million, a smaller dip in year nine, and about $140 million a year after year ten. That long-run level is supported by the company's continuing research spending of $262.7 million in fiscal 2026, which is how it replaces acquired technology as it ages; we credit no growth beyond that, because further growth would depend on market expansion or new acquisitions that have not happened. Business value: about $2,364 million; net debt about $204 million; equity value about $2,160 million, or $8.64 per share. Bear case (roughly a one-in-ten outcome): the 2023-2024 downturn repeats immediately and runs deeper, with cash before interest falling from about $150 million to $60 million for two years (a drop similar to the fall from $138 million in fiscal 2022 to $55 million in fiscal 2024), a second downturn later in the decade, and about $90 million a year thereafter, reflecting acquired technology wearing out faster than research replaces it. Business value about $1,506 million; equity about $1,302 million, or $5.21 per share. Interest on the remaining notes is roughly $17 million a year, so even the trough years cover it several times over. Bull case (roughly a nine-in-ten outcome): Spirent and Inertial Labs hold their fiscal 2026 contribution, a full year of Spirent lifts cash before interest to about $250 million, the next downturn is shallower (to about $190 million), and the business settles near $230 million before easing to about $215 million a year after year ten. Business value about $3,662 million; equity about $3,458 million, or $13.84 per share. Debt. At June 27, 2026 VIAVI owed $400 million of 3.75% notes due October 2029 and $250 million of 0.625% convertible notes due March 2031. We reduce the 2029 notes by about $26 million because their fixed coupon is well below current long-term rates, giving no similar credit to the convertible notes because holders were already entitled to convert them during July-September 2026. We also count the $76.9 million Inertial Labs earn-out and the $14.0 million paid in July 2026 for Direct Optical Research Company, and deduct about $11 million of tariff refunds received after year-end. Against this, the company held $649.8 million of cash and short-term investments, of which we treat about $500 million as surplus to operating needs. Net debt is therefore about $204 million and is subtracted equally in all three cases. If the share price stays above the $13.79 conversion price, conversion value above the notes' face amount can be settled in shares, adding dilution not counted here. The share count used is about 250 million, including roughly 3 million shares for employee awards. Margin-of-safety price: $5.00. Confidence in the earnings level is moderate: the pre-acquisition business has a ten-year cash record, but the combined company has only eight and a half months of history, and fiscal 2026 margins came during a demand surge. The worst plausible outcome is a long, deep spending downturn coinciding with poor retention of Spirent customers and engineers; the balance sheet would survive it, since cash comfortably exceeds the 2029 maturity, but earnings could stay near the bear case for years. The likeliest errors are the normal earnings level of the combined company and how quickly acquired technology loses value; if both go against us, the shares are worth about the bear value of $5.21. The price assumes a three-to-four-year holding period, and no dividend is paid while waiting. From $5.00 the base case implies roughly 27% a year over three years and about 21% over four (the base case value of $8.64 compounding at 6% while waiting); the bear case implies a gain of about 7% a year. Changes since the previous analysis: the term loan used to fund Spirent has been fully repaid with the share offering, so the company now carries far less net debt than before, which raises the bear case; the bull case is lower because we no longer credit margin expansion or cross-selling gains that have not yet been demonstrated. The base case is essentially unchanged. Greater China accounted for $258.8 million of fiscal 2026 revenue, about 17% of the total, so trade restrictions and tariffs are a real exposure; the company paid about $22.4 million of tariffs under emergency tariff authority and has begun receiving refunds.

Revenue rose to $1,518.3M from $1,084.3M (+$434.0M), but the increase is acquisition-driven (Spirent HSE/CE contributed $145.0M of partial-year revenue plus other smaller acquisitions), not organic capex-funded growth — capex itself barely moved (+$3.3M) — so applying the standard growth-capex formula would misattribute an M&A-driven revenue jump as call for growth capex; judgment call: full FY2026 capex is treated as maintenance capex ($31.1M) rather than splitting out a formulaic growth-capex amount. Historical growth strategy
Organic product refresh funded by heavy research spending as each new network generation arrives (4G to 5G, 100G to 400G/800G Ethernet), supplemented by bolt-on and occasionally large acquisitions of adjacent test and measurement businesses (Inertial Labs in fiscal 2025, Spirent's high-speed Ethernet and channel-emulation business in fiscal 2026, Direct Optical Research Company in July 2026), financed with convertible notes, term loans and, in 2026, a share offering.
Chart analysis
The only price evidence read in this run comes from the company's filings: the convertible-note conversion price of $13.79 was set at a 25% premium to the August 13, 2025 closing price, implying a close near $11; the stock closed above about $17.93 (130% of the conversion price) on at least 20 of the last 30 trading days of the quarter ended June 2026; and a share offering was priced at $45.00 on May 21, 2026. A chartist would describe this as a steep, sustained advance of roughly fourfold in under a year, a strong uptrend with no evidence in hand of a consolidation or reversal; volume and later price action were not reviewed.
