Lumentum makes the lasers and optical components that move data inside and between data centers and across telecom networks. In fiscal 2026 (year ended June 27, 2026) revenue rose 83% to $3,014.0 million. Components (laser chips, laser assemblies, line systems) brought in $2,005.6 million and Systems (cloud transceivers, plus the first optical circuit switches, which added more than $90 million) brought in $1,008.4 million. Gross margin rose to 41.7% from 28.0%. Two end customers made up 26.6% and 15.0% of revenue. How we measure earnings: we start with operating cash flow, remove swings in receivables, inventory and payables, subtract stock compensation as a real cost, and subtract only the capital spending needed to keep the business running (spending tied to revenue growth is treated as investment). On that basis the company earned about $550 million in fiscal 2026 ($7.37 per diluted share), about $565 million in fiscal 2021, but only about $45 million in fiscal 2023 and losses of about $226 million and $94 million in fiscal 2024 and 2025. Revenue fell 23% in fiscal 2024 and cash earnings were negative for two years, so this is a cyclical business. The reported fiscal 2026 net loss of $6.9 billion is not an operating loss. It is a $7.76 billion non-cash charge from exchanging convertible notes for about 10.6 million shares at prices far above the notes' conversion prices, and we treat it like any other non-cash item. About $138 million a year of acquired-technology amortization is also non-cash; only $326.9 million of those intangibles remain, amortizing over roughly 3.5 years, so we credit no growth from the acquired products. Baseline: we use the middle year of fiscal 2020 to 2026, a window that spans the fiscal 2021 peak, the fiscal 2024 to 2025 trough and the 2026 surge, since the business was reshaped by the Oclaro acquisition in fiscal 2019. That gives about $310 million a year. Last year's cash earnings were about $550 million against a loss the year before, so a growth rate is not meaningful; the base case starts at $310 million, below last year's actual, and needs no reversal of any slowdown. We did not lift the baseline to fiscal 2026 or to the fourth quarter (implied operating cash flow of about $363 million versus $388 million for the first nine months) because one quarter is not a run rate, and the filing gives no firm customer backlog we could count. It warns that backlog is not a reliable indicator of future revenue. The $2.4 billion of purchase obligations are what Lumentum owes suppliers, and open orders may be cancelled or rescheduled; they are not customer commitments. Share count: about 98 million shares. That is 88.6 million common shares plus 2.9 million convertible preferred shares held by NVIDIA (sold March 2026 at $695.31, converting one-for-one), plus about 6.5 million shares from the convertible notes, estimated at a share price of about $700 (recent exchanges priced near $840). Note principal of $1,554.3 million must be paid in cash, and holders had asked to convert $757.8 million as of August 14, 2026. We do not add cash ($2,738.4 million of cash and investments) or subtract debt ($1,647.1 million of notes and term loans); leverage is reflected in the bear case. Base case, about $30 per share: $310 million a year for ten years with no growth credited, then a straight-line fade to zero over the following ten years. Revenue has exceeded $1.0 billion every year for a decade and cash earnings were positive in seven of ten years, but nothing contracted extends past that, so the earning power is faded rather than assumed permanent. Bear case, about $1.60 per share: the 2023 to 2025 pattern repeats. Two customers are 41.6% of revenue, and the last downturn cut revenue 23% with negative cash earnings. We assume three years averaging a loss of about $92 million, then only $60 million a year (between fiscal 2023's $45 million and fiscal 2019's $81 million) for seven years, then a fade. Bull case, about $53 per share: the $550 million earned in fiscal 2026 holds for ten years, then fades. Support: capital spending of $451.3 million in fiscal 2026 (with $181.4 million still unpaid at year end) is building capacity, and optical circuit switch manufacturing expansion is described as on track. We credit no growth from AI demand, share gains, new products or margin expansion, since none is contracted. What would make this wrong: if the fourth-quarter pace continues for several more quarters, the baseline is too low; if either large customer cuts orders, or capital spending stays near $450 million while revenue softens, the bear case is closer. Our per-share values sit far below where the shares have recently changed hands, and we could not find contracted evidence to bridge that gap.
