Transcat (Rochester, New York) calibrates, repairs and certifies test and measurement instruments for customers in regulated industries - pharmaceutical, biotech and medical-device makers, aerospace and defense, energy and utilities - through calibration labs across the United States, Puerto Rico, Canada, Ireland and, since April 2026, Costa Rica. This Service business is about 65% of revenue ($331.9 million in the fiscal year ended March 28, 2026) and has grown year over year for 68 straight quarters. The rest is Distribution: sale and rental of professional handheld test instruments, including the Becnel rental-tool business bought in fiscal 2025. Calibration is recurring work customers must do to keep FDA, FAA and quality-system certifications, and no customer is as much as 3% of revenue. That is why the cash stream has been steady: owner cash flow per share dipped only about 5% in the 2020 shutdown year, even though first-quarter revenue that year fell 8% and quarterly net income fell by more than half. Owner earnings. We measure the cash the business produces after stock-based pay, working-capital swings and the capital spending needed to keep it running. Per diluted share this rose from $0.96 in fiscal 2017 to $2.20 in fiscal 2025 and $2.17 in fiscal 2026. Fiscal 2026 net income fell to $5.4 million mainly because of $13.8 million of amortization of acquired intangibles, stock pay that more than doubled to $7.5 million (partly awards to acquired-company staff and executive-transition costs as the CEO role changed hands), and $4.2 million of interest. The amortization is a non-cash write-down of past purchase prices and is added back; stock pay is treated as a real cost. Capital spending was split using the company's ten-year average of 4.3% of revenue: the part matching revenue growth (about $2.3 million in fiscal 2026) is treated as growth investment and the rest ($13.0 million) as upkeep. Because much recent revenue growth was bought rather than built, this split is a judgement that slightly flatters the latest year. Starting level. About $170 million of acquisitions in two years reshaped the company: Becnel and Martin in fiscal 2025, Essco (July 2025, about $83 million, funded on a new $150 million credit line) and SCM Metrology in Costa Rica (April 2026, about $13 million). We therefore measure from that point. We value the business before its lenders (owner earnings plus interest paid) using the median of fiscal 2025 and 2026, each restated as if Essco had been owned all year using the company's own pro forma revenue. That gives about $2.52 a share, or $23.6 million a year. SCM is counted at what was paid for it. In fiscal 2026 owner earnings per share after interest slipped about 1%, while cash flow before interest rose about 20% per share, almost all from acquisitions; organic service growth was 3.0% for the year, weak in the first half and high single digits in the second. First-quarter fiscal 2027 revenue was $92.9 million, up 22%, mostly from acquisitions. The base case's first-year growth of 2.5% sits below both the trailing before-interest rate and the 3.0% organic rate. Debt. At June 27, 2026 the company owed $110.4 million on its revolving credit line plus a small finance lease, against $6.7 million of cash: net debt of about $104 million, roughly $11 a share. The line is floating-rate (SOFR plus 1.00-1.75%), matures in July 2030, and carries a 3.0x debt-to-EBITDA covenant; the company reported 2.03x at March 2026. Interest runs about $6 million a year. Base case (about $41 a share). Cash flow before interest grows 2.5% a year for ten years, below the 3.0% organic service growth just reported, with Distribution roughly flat, then holds level, because calibration is a regulatory requirement that recurs for as long as customers run instruments. Organic growth is measured after customers lost from acquired businesses, so the wearing-away of acquired customer lists is already in that rate. No future acquisitions are credited: the recent deals were large and paid for with borrowing and new shares, not small self-funded steps that can be assumed to continue. The business is worth about $492 million, owes about $104 million, leaving about $388 million. Bear case (about $24 a share). Starts from the lower, unadjusted two-year level of $22.5 million, assumes no organic growth (parts of fiscal 2025 showed service revenue barely growing even with acquisitions), and adds an industrial recession in years two and three that cuts cash flow 25% and then 15% - deeper than the 2020 shutdown, since Distribution and the pharmaceutical customers the company itself warns may face funding pressure would both be hit. From year six it erodes 1% a year indefinitely as acquired customer bases wear away without replacement. Covenant pressure in the downturn makes refinancing the 2030 maturity about two points more expensive for five years, costing about $7 million. The business is worth about $338 million, owes about $112 million including that cost, leaving about $226 million. Even at the trough, cash flow of about $17 million covers interest about three times. Bull case (about $56 a share). Starts from the fiscal 2026 pro forma level of $25.1 million ($2.68 a share) and grows 5% a year for ten years, with Service sustaining the high-single-digit organic growth it showed in the second half of fiscal 2026 and Distribution flat, then holds level. The business is worth about $633 million, owes about $104 million, leaving about $528 million. The figures in our previous analysis were prepared on a different basis and are not comparable. What could make this wrong: the Essco, Becnel and Martin purchases earning less than was paid - after-interest owner earnings per share were flat in fiscal 2026 despite $83 million spent; organic growth stalling near zero as in parts of fiscal 2025; and a recession hitting Distribution and the leverage covenant at the same time. Ten years of filings reconcile cleanly; the only judgement of note is the growth-versus-upkeep split of capital spending. Margin-of-safety price. We are moderately sure of the earnings level: a decade of filings shows steady cash generation that barely dipped in 2020, but today's level leans on businesses owned a year or less, and stock pay has doubled. The worst plausible outcome - a recession while the acquisitions disappoint, pushing debt past the covenant and forcing a share sale at a low price - would hurt shareholders but not break the business: the work is required, spread across many customers with none at 3% of revenue, net debt is about four and a half years of cash flow before interest, and nothing matures until 2030. If we are wrong about both growth and the acquired earnings (no growth from the unadjusted level), the shares are worth about $30-32. There is no dividend, so the return comes from the business itself. At $22 a share the whole company, shares plus debt, is valued at about $312 million, about 13 times cash flow before interest. The business would earn about $1.83 a share a year after interest, roughly 8% of that price, retained to repay debt, plus organic growth; that compounds in the low teens on its own. The rest of a 20% yearly return depends on value being recognized within three to five years, and even the bear case is worth more than $22. The margin-of-safety price is $22.

Sales geography
Primarily the United States (Northeast, Midwest, South and West), plus Puerto Rico, Canada, Ireland and Costa Rica.
Historical growth strategy
Organic growth in calibration services by taking work from customers' in-house labs and equipment makers, combined with a long-running program of acquiring regional calibration labs and, more recently, larger calibration and rental businesses (Becnel, Martin, Essco, SCM), funded with its bank credit line and periodic share issuance.
Chart analysis
A chartist would describe a long, persistent uptrend from the mid-2010s, when the shares traded in the teens, through a brief sharp break in the March 2020 sell-off, to a peak around $140-150 in early-to-mid 2024. Since then the chart shows a clear trend reversal: a series of lower highs and lower lows, a break of the multi-year rising trend line, and price holding below its long-term moving averages for an extended period, which technicians read as a downtrend still in force. They would look for a base to form - a flattening of the 200-day average and a higher low - before calling the decline over, and would treat the prior consolidation zones from 2021-2022 as the main support area.
