Mistras Group provides non-destructive testing, inspection, monitoring and engineering services (plus some proprietary sensor and monitoring products) to oil and gas, aerospace and defense, power, chemicals and infrastructure customers. Revenue is recurring and repeat-driven but thin-margined, labor-heavy and capital-hungry: roughly $724M of 2025 revenue produced only about $22M of owner earnings after stock compensation and equipment spending. How we measured earnings. We start from operating cash flow, strip out the swing in receivables, payables and other working capital, subtract stock-based compensation as a real cost, and subtract the equipment spending needed just to keep the business running (growth-related capex is small because revenue has barely grown). This gives owner earnings per diluted share of about $0.72 (2018), $0.80, $0.65, $0.79, $0.86, $0.07 (2023), $0.74 and $0.67 (2025). We use the median of all eight years, about $0.73 a share, as the normal level. 2023 is kept in, not excluded: it was a genuine weak year (net loss, a $13.8M goodwill write-down that is non-cash, $12.3M of reorganization costs, and peak equipment spending), and reorganization costs of $12.7M in 2025 show such charges are not a one-off. 2025 cash flow was depressed by a $24.9M build in receivables; the first half of 2026 shows operating cash flow of $17.7M versus a $3.6M outflow a year earlier, which is consistent with that build unwinding, but it is only one half-year and does not move our normal level. Growth reconciliation. Owner earnings fell about 9% in 2025 (from $0.74 to $0.67). Our base case assumes year one at the $0.73 normal level, a return to the level reached in five of the last eight years, not growth; the receivable build and first-half 2026 cash flow are the dated reasons. No growth beyond that is credited: revenue was $749M in 2019 and $724M in 2025, so there is no multi-year record of expansion we can rely on, and acquisitions in 2017-2019 were large, debt-funded bets, not small steady steps. Expected market growth, new products and margin improvement were left out. Base case: about $9.30 per share. Owner earnings hold at about $0.73 for roughly 25 years, supported by long-standing customer relationships, regulatory inspection mandates and a repeat-service model, then nothing is credited beyond that. No debt is subtracted because owner earnings are already after interest. Bear case: about $3.00. Owner earnings drop to about $0.30 (between the weak 2023 result and 2025 results after higher stock compensation) and stay there for 15 years. Named risks: the company carries revolving-credit borrowings and finance leases whose interest absorbs cash; International goodwill was already impaired by $13.8M in 2023; reorganization charges recur; and cash conversion has swung with receivables (-$24.9M in 2025, -$18.0M in 2022). Bull case: about $14. Owner earnings start near $0.90 (the 2022 result) and grow 3% a year for ten years, in line with the roughly 4% annual revenue growth from 2020 to 2025 (partly a pandemic rebound), then hold flat for 15 more years. What could make this wrong: a further cash-flow miss in 2026 would show the 2025 receivable build was not timing; capital spending has been rising (about $29M in 2025 versus $13M in 2022) and, if it proves permanent, our normal level is too high. Conversely, sustained lower reorganization charges would raise it. Our estimates come from the annual filings; the stored 2018 figure uses total capex as maintenance because 2017 revenue was not retrieved.
