Business condition attached to the margin of safety Owner earnings after stock compensation turn positive on a sustained basis (at least two consecutive quarters of cash from operations, before working-capital swings, exceeding stock compensation plus capital spending), with active clients no longer declining.
Stitch Fix is an online personal-styling and apparel retailer. Clients receive curated boxes (Fixes) or shop individual items (Freestyle). It had about 2.31 million active clients at the end of fiscal 2025 (August 2, 2025), down 7.9% from 2.51 million a year earlier. Revenue was $1.27 billion, down from $2.10 billion in fiscal 2021. It closed its UK business in fiscal 2024, and the figures here are for the continuing US business. How we measure earnings. We start with cash from operations, remove the swings from inventory, payables and other working-capital items, then subtract stock-based compensation as a real cost and subtract the capital spending needed to keep the business running. On that basis owner earnings per share were about $0.50 in fiscal 2018 and $0.25 in fiscal 2019, then negative in every year since: -$0.39, -$0.03, -$1.56, -$1.10, -$0.71 and, in fiscal 2025, -$0.11 (about -$14.7 million). Reported cash from operations looks better than that ($25.6 million in fiscal 2025) mainly because $56.7 million of stock compensation is added back, and because inventory reductions and a tax refund in fiscal 2023 flattered earlier years. Weighted diluted shares rose from about 106 million in fiscal 2021 to about 129 million in fiscal 2025, which shows the dilution from paying staff in stock. Direction of travel. Owner earnings improved by roughly $70 million between fiscal 2024 and fiscal 2025, driven by lower stock compensation ($126 million in fiscal 2022 to $57 million) and lower capital spending. In the first nine months of fiscal 2026 the company's quarterly filing shows revenue of $1.02 billion versus $0.96 billion a year earlier (+7.1%), a net loss of $10.5 million versus $20.2 million, and stock compensation of $37.0 million versus $43.7 million. Annualizing that improvement puts the business at roughly break-even on our measure. We treat the fiscal 2025 year as the anchor and the nine-month results as confirmation that losses are shrinking, not as proof of profits. Because fiscal 2025 improved sharply, we do not assume the improvement continues in the base case. Base case: $0.00 per share. Owner earnings are about break-even at today's cost base. We credit no growth: revenue has only just resumed growing after three straight years of falling active clients (the filing itself blames an inability to attract and keep clients), and nothing contracted or repeatable supports rising profits. With no evidenced source of positive earnings, the value we can defend is zero. Bear case: -$0.85 per share. Active clients keep falling and revenue keeps declining, as it did in fiscal 2023, 2024 and 2025. Losses on our measure stay near the fiscal 2025 level (-$0.11 per share a year) for a decade and then the business winds down. On that path the shares are worth less than nothing: shareholders keep funding losses through dilution. The company also depends on a $50 million revolving credit facility that matures on December 4, 2026, and it would need to be renewed or replaced. Bull case: $0.90 per share. The business's own recent progress continues for one more year: losses that fell by about $10 million in nine months turn into owner earnings of roughly $10 million a year (about $0.08 per share) from fiscal 2027, with revenue growth continuing and stock compensation staying near its current lower level. We hold that for twenty years and then assume nothing further. We did not include new products, share gains or margin expansion beyond this. What could prove this wrong. If revenue growth continues and the cost cuts hold, owner earnings could grow well beyond the bull case, because fixed costs would be spread over more sales. If active clients resume falling, the bear case applies. Most of the merchandise is made by outside vendors, with most manufacturing in China, so tariffs or cost increases could hurt margins. We could not reconcile the discontinued UK operation's small remaining cash flows into the earlier years' figures, so fiscal 2017 to 2021 include it. The fiscal 2018 share count is distorted by the November 2017 IPO, and we did not calculate fiscal 2017.
