Business condition attached to the margin of safety A signed licensing or partnership agreement for IBIO-600, IBIO-610 or IBIO-800 with upfront cash paid to iBio that covers at least about two years of its current spending, or a board decision to hold spending to a level that preserves most of the cash on hand.
iBio is a pre-revenue biotechnology company in San Diego. After exiting contract manufacturing (its earlier business), it now develops antibody drugs for obesity and cardiometabolic disease using an AI-assisted discovery platform. Its lead molecule, IBIO-600 (a long-acting myostatin antibody), began a Phase 1 trial in Australia in June 2026; 31 participants have been dosed with no safety findings that would stop dose escalation. IBIO-610 (a long-acting Activin E antibody) is in IND-enabling studies, with first-in-human trials targeted for the first half of calendar 2027. IBIO-800 and an amylin-receptor antibody effort with AstralBio are earlier. Revenue is negligible ($0.1 million in fiscal 2026 versus $0.4 million in 2025). How we measure it: we take operating cash flow, remove working-capital swings and stock compensation, and deduct capital spending. On that basis the company has lost money in every year we can measure: about $(17) million in fiscal 2025 and about $(28) million in fiscal 2026 (a widening of roughly 60%, as spending on preclinical and clinical programs rose). Earlier years, when it ran a manufacturing business, were worse in dollar terms ($(35) to $(52) million). We use fiscal 2026 as the level because the business today is a drug developer, not the manufacturer of earlier years. We do not expect this to reverse: the filings point to more spending in fiscal 2027 as IBIO-600 moves into multiple-dose testing and IBIO-610 and IBIO-800 head toward human trials. Share counts here include pre-funded warrants (which cost almost nothing to exercise); the reported average of about 104 million shares understates the current total, so we use roughly 125 million for per-share values. Why the value is so low: a valuation must rest on things that are already true. Nothing here produces earnings today, there is no signed license, milestone or partnership that pays iBio, and drug candidates that have only completed early safety dosing or animal studies have not yet earned a value in our method. Those pipeline hopes are therefore worth $0 in every case. What remains is the cash. At June 30, 2026 iBio held about $88 million in cash and debt securities, after raising roughly $50 million in August 2025, $26 million in January 2026 and $33 million from warrant exercises. Our method normally does not add cash to a stream of earnings; for a company whose earnings are negative, that would give a meaningless negative number, so here we depart from that and value the shares as the portion of the cash likely to remain for shareholders after funding the burn that the company chooses to incur. At the current rate of about $28 million a year, the cash lasts a little over three years. Bear case (about $0.02 per share): management keeps spending at or above the current pace, as it has throughout its history (net losses of $65 million in fiscal 2023 and $25 million in 2024, a $5 million write-off of intangible assets this year, and a prior exit from manufacturing). The programs do not attract a partner, and the cash is essentially used up by 2029-2030, leaving almost nothing for current holders. Substantial doubt about continuing as a going concern was disclosed in earlier years and lifted only by the equity raises above; another raise would be needed, and further dilution is likely. Base case (about $0.12 per share): spending continues through the IBIO-600 multiple-dose study and the IBIO-610 IND filing, roughly $85 million to $105 million over three to four years, and a fraction of the cash is preserved if programs are slowed or wound down when data disappoint. No value is given for successful drugs. Bull case (about $0.45 per share): the identified milestones are met on schedule (IBIO-600 completes dose escalation, IBIO-610 starts human trials in 2027) and management responds to results by trimming spending rather than raising further, so roughly half the current cash is still available to shareholders. We did not add value for approval or licensing outcomes because none is contracted or otherwise secured. The margin-of-safety price is set far below the base value because the business consumes cash every quarter, is highly complex, and has a very wide range of outcomes. The value range is dominated by how much of the cash management chooses to spend, which we cannot see in advance. What would make this wrong: a licensing or partnership deal with real upfront cash, or clinical results strong enough to attract an acquirer, would be worth far more than we allow for. Conversely, an unexpected new equity raise at low prices, or a sharp rise in spending, would push value toward the bear case. Points we could not fully resolve: the exact number of pre-funded warrants outstanding at year end (the filing shows about 96 million issued in total) and the amount of cash that would be left after any wind-down; we have estimated both. Figures for fiscal 2026 come from the annual report filed August 28, 2026.
