Business condition attached to the margin of safety Regulatory approval (or a clearly defined FDA path to approval) for troriluzole in spinocerebellar ataxia, or positive pivotal results for opakalim in epilepsy, together with financing that covers the cash burn for at least two years without a distressed raise or breach of the senior secured note terms.
Biohaven is a clinical-stage biotechnology company based in New Haven, Connecticut. It has never had revenue and has no approved product. Its lead drug, troriluzole, was filed with the FDA for spinocerebellar ataxia (SCA) in late 2024 and received priority review, but in November 2025 the FDA issued a Complete Response Letter declining approval and recommended further discussion of the evidence needed for a new filing. The company has begun an appeal and continues to treat patients through an expanded access program, but nothing about a path to approval is secured. A Phase 3 trial of troriluzole in obsessive-compulsive disorder showed no efficacy signal and enrollment in that program was closed. The other programs (opakalim, a Kv7 ion-channel drug being studied in epilepsy and depression; the TYK2/JAK1 drug BHV-8000; and others) are earlier or still in trials, and none has a signed sales contract or a regulatory approval behind it. What the business earns: nothing. Cash used in operations was about $332M in 2023, $582M in 2024 and $609M in 2025, and $235M in the first half of 2026. After deducting stock compensation (a real cost, $112M in 2025), our owner-earnings figure per share was roughly -$5.45 in 2023, -$7.40 in 2024 and -$6.73 in 2025. Losses narrowed slightly in 2025 (about 9% per share), but there is no revenue or contracted income behind that, so we assume the business itself contributes zero value going forward rather than crediting any pipeline success. The company's history is short (spun out of its former parent in 2022), so we used 2023 to 2025 as the window; every year is a loss. Stock issued to pay for licences and the large one-time acquisition-related items were treated as non-cash and reconciled exactly to reported cash flow. How we value it: with no named, evidenced source of future profit, the operating business is worth $0 in every case. Shareholders are then left with what the company holds minus what it owes. At June 30, 2026 the company had about $268M of cash and marketable securities against roughly $116M of payables and accrued expenses (December 2025 balance) that must be paid whether or not development continues. It owes $250M of senior secured notes sold in April 2025 to Oberland-affiliated purchasers. The notes carry no fixed interest; the holders take a share of any troriluzole sales, and if that has not repaid the $250M by the end of 2030 a true-up payment brings it to the full amount. We valued that as $250M due end of 2030 discounted at 6%, about $192M. Base case: business worth $0, excess cash about $152M, notes about $192M, a shortfall of roughly $40M, or about -$0.27 per share (about 150.6M shares). The company appears to owe slightly more than its balance sheet supports on a stand-alone basis; any value above that rests on pipeline results we cannot evidence. Bull case: we could not name any evidenced lever that adds value (an appeal outcome, an epilepsy readout or a new financing are not yet in hand), so the bull case matches the base case at about -$0.27 per share. It is important to read this as 'no value we can defend', not as a forecast that the shares fall to that level: a successful trial or approval would be worth far more than this framework counts. Bear case: cash runs out. Half-year cash use of $235M against $268M on hand leaves well under a year of runway at the current pace, and the note agreement lets the holders accelerate the $250M plus a premium if audited statements carry a going-concern qualification. Business $0; cash $268M less $116M payables and roughly $45M of lease obligations leaves about $107M; notes at full $250M (before any premium) leave a shortfall of about $143M, or about -$0.95 per share. Shareholders would be left with nothing. What would make this wrong: an FDA path to approval for troriluzole in SCA, or a positive late-stage result for opakalim or the other programs, would create genuine value that we have deliberately not counted, and there is no way to price it from the filings. The company has repeatedly funded itself by issuing shares (a $188.7M offering in November 2025 at $7.50 per share), so existing owners are likely to be diluted again. We could not review the second-quarter 2026 quarterly report text, so balance sheet items other than cash were taken from the December 2025 annual report.

Chart analysis
Biohaven has been a public company only since its 2022 spin-off from its former parent, so its trading history is short. A chartist would note that the shares have been volatile and event-driven: large moves around clinical readouts and the November 2025 regulatory setback, with the stock falling sharply from the $40 to $47 range of the 2024 equity offerings to $7.50 in the November 2025 offering. A chartist would call that a long downtrend that has yet to show a base forming, and would watch for volume-confirmed stabilization before trusting any bounce.
