Business condition attached to the margin of safety The company's first-lien net leverage ratio stays comfortably under its bank covenant as that covenant steps down through the end of 2026 (actual ratio was 5.50x at year-end 2025 against a 6.50x limit at that time, but the limit itself falls to 5.50x by year-end 2026), without a lender waiver, amendment, or a dilutive equity raise, together with at least two to three more quarters of the operating-cash-flow improvement already visible in the first half of 2026.
Forward Air is built around three businesses: Expedited Freight, a time-critical less-than-truckload network that moves freight through a hub system using contracted trucking capacity rather than a company-owned fleet; Intermodal, which trucks containers between ports, rail yards and customers; and Omni Logistics, a global freight-forwarding business acquired in January 2024 for roughly $1.6 billion, funded mostly with new debt. That acquisition reshaped the company's economics. Before it, Forward Air was lean and consistently cash-generative, with owner earnings peaking at roughly $7.27 per share in 2022. To pay for Omni, the company took on about $1.7 billion of new debt (including $725 million of bonds at a 9.5% rate) and issued more shares, pushing annual interest costs above $180 million. The first combined year, 2024, was rough: a $1.03 billion non-cash write-down acknowledging the deal was overpaid, heavy integration costs, and the company's first-ever negative operating cash flow. 2025, the first cleaner year of combined operations, was still thin — underlying cash owner earnings came in at only about $0.18 per share, essentially break-even after the new interest burden. Since our last look, the company recorded a second goodwill write-down, about $244 million in the second quarter of 2026 — bringing total write-downs on the deal to roughly $1.27 billion, or nearly the entire original purchase price. At the same time, the six months of 2026 reported so far show real operating improvement: cash generated from operations nearly tripled versus the same period last year ($40.9 million versus $14.4 million), while stock-based compensation and capital spending both fell, on modest (about 2%) revenue growth. That is a genuine, filed improvement in the cash economics even as the accounting keeps confirming the deal cost too much. One thing tempers how much credit we give this: total debt was essentially flat over that same six months (it did not come down), so the improvement so far reflects cost and margin repair rather than the company paying down what it owes. We again used 2025 as the sole valuation anchor — the only full year that reflects the combined company's real, steady-state cost structure, since 2024 was distorted by acquisition accounting and 2023 and earlier describe a smaller, far less indebted business. Because last year's result moved from a loss to a small profit, there is no clean growth rate to extrapolate from; instead, the first year of our recovery path leans on the actual, already-reported first half of 2026 rather than an assumed acceleration. Our base case assumes the Expedited Freight network stabilizes at a healthy level, Omni's integration costs continue coming out at roughly the pace already shown in 2026, and owner earnings recover gradually to about $2.75-2.80 per share within a decade, then hold roughly flat — reflecting the thin-margin, competitive nature of freight brokerage rather than assuming further real growth. That produces a value of about $41.50 per share. Our bear case is built around the bank leverage covenant: the company's actual ratio was 5.50 times debt-to-earnings at the end of 2025, against a limit of 6.50 times, but that limit tightens every quarter through 2026 down to 5.50 times — precisely where the company already stands. If profitability doesn't keep improving, that cushion is gone by year-end. We model this squeeze forcing an unfavorable refinancing or a dilutive capital raise around 2027-2028, permanently capping what's left for shareholders at a very thin level of roughly $0.30 per share indefinitely. That produces a value of only about $3.75 per share — at this end of the range, nearly all of the business's earning power is committed to debt service and there is very little left for equity holders. Our bull case assumes the Expedited Freight network performs the way it demonstrably has before (its $7.27-per-share peak in 2022 shows what the core network can do), the cost discipline already visible in 2026 continues, and freight volumes recover in the kind of cyclical upswing the industry has shown before. That path supports owner earnings reaching roughly $4.50 per share within a decade, for a value of about $65.50 per share. We deliberately did not add faster debt paydown as a lever here, because the actual 2026 data shows debt held flat even as cash flow improved — any further upside has to come from running the business better, not from assuming the balance sheet fixes itself. A meaningful, non-cash cost in all three cases is roughly $90 million a year of amortization on customer relationships acquired in the Omni deal (amortized over 14 years). We add this back to get to cash owner earnings, but its eventual runoff is exactly why the growth path doesn't simply assume the old profitability returns — the business has to actually keep re-earning those customer relationships as that intangible value wears off. Given the deal has now disappointed twice, debt has not yet started coming down, and 2025 is still only a single clean year of combined results, the margin-of-safety price sits at a large discount to our base-case estimate, and the integration is not treated as having turned a genuine corner until there is continued cash-flow improvement and clear, comfortable compliance with the tightening bank covenant.

First full fiscal year of the combined Forward Air + Omni Logistics business. ANCHOR YEAR: used as the sole valuation anchor (median of a 1-year window). FY2024 is excluded as a distorted acquisition/transition year (huge WC swings from purchase accounting, $1.03B non-cash goodwill impairment, $52.5M of debt issuance costs); FY2025 is the first year reflecting the combined entity's steady-state cost structure, though still thin given ~$180.7M/yr of interest expense on ~$1.69B debt from the deal. A further $244.0M goodwill impairment was recorded in Q2 2026 (per 10-Q XBRL data, not in this 10-K) - this does not change owner earnings (non-cash) but corroborates continued integration/valuation problems and is reflected in the growth path and bear case rather than the anchor level.

Transformation year: Omni Logistics acquired for $1,576,219K, closed Jan-2024. Net loss from continuing ops $(1,124,841)K includes non-cash $1,028,397K goodwill impairment (added back, correctly not double-counted per methodology; decay from this failed portion of the deal is instead carried in the growth path/bear case, not the earnings level). Revenue jumped to $2,474,262K from $1,370,735K, but the increase was inorganic (acquisition-funded via the separate $1,576,219K purchase-price cash outflow, not capex-funded organic growth), so the mechanical capex-ratio growth-capex formula does not apply; judgment: growth capex=$0, maintenance capex=total capex=$37,060K. Excluded from the valuation anchor as a one-off, heavily distorted acquisition/integration year (see FY2025 methodology for anchor rationale).

Sales geography
Primarily the United States, nationwide across all four census regions (Northeast, Midwest, South, and West) via a coast-to-coast trucking, less-than-truckload, and port/rail drayage network — about 87% of FY2025 revenue ($2.17 billion of $2.50 billion). The remainder (about 13%, $330 million) is international freight-forwarding revenue booked across global trade lanes outside the U.S. through the Omni Logistics business.
