Business condition attached to the margin of safety The operating ratio improving from the 89.1% level posted in 2025 (vs. 85.0% in 2024), evidence that the cost drag from the 2021-2025 terminal network expansion is fading rather than persisting.
Saia is a less-than-truckload (LTL) freight trucking carrier that moves palletized freight for shippers across the 48 contiguous states, with LTL service to Canada and Mexico handled through third-party interline partners. Over the past several years the company has been in the middle of a major buildout of its physical network: the number of owned and leased terminals grew from 176 at the end of 2021 to 214 at the end of 2024, with the tractor fleet growing from about 5,600 to roughly 7,700 units over the same stretch. That expansion was funded by a sharp step-up in capital spending - total capital expenditures reached roughly $1.04 billion in 2024, close to half of it on land and new terminal buildings - before falling back to about $568 million in 2025 as the pace of new-terminal openings slowed (the network stood at 213 terminals at the end of 2025, essentially unchanged from 2024), and management has guided 2026 capital spending down further, to $350-400 million. That buildout shows up clearly in the 2025 results. Revenue was essentially flat versus 2024 (up about 0.8%), but operating income fell 27% and the operating ratio (expenses as a percent of revenue) worsened from 85.0% to 89.1%. Management attributes the deterioration to rising employee health-insurance costs, contractual wage increases, higher headcount tied to terminals opened mostly in the first quarter of 2025, and higher self-insurance claims costs - in other words, the newer locations were still adding fixed cost faster than they were adding volume in 2025, a normal pattern for a network in the early stage of ramping up. To value the business, we start from owner earnings - cash generated by operations after removing the swings caused by working-capital timing and non-cash stock compensation, and after setting aside what it costs just to keep the existing fleet and terminal network running, as opposed to spending that expands it. Saia's reported capital spending mix over the past several years has been split roughly evenly between 'normal replacement' of trucks, trailers and technology and new land and buildings for network expansion, and 2024's spending in particular was dominated by that expansion rather than by wear-and-tear replacement. Because of that, we treated depreciation and amortization as the more reliable measure of what it costs to simply maintain the current network, and treated capital spending above that level as the cost of growing it. On that basis, owner earnings per diluted share grew from about $2.45 in 2016 to a peak of roughly $16.16 in 2024, before falling to about $11.78 in 2025 alongside the margin pressure described above. We anchored the valuation on the median of the last five years (2021-2025), a period that reflects the company operating at roughly its current, larger scale rather than the smaller regional carrier it was earlier in the last decade. That median is about $13.74 per share. Bear case ($217/share): the cost pressure that showed up in 2025 - insurance inflation, wage growth, and terminals that take longer than expected to reach full productivity - persists for another year or two before stabilizing, with only slow, modest growth after that. This reflects a genuine, sustained freight-market downturn of the kind the industry has experienced before, not a hypothetical catastrophe. Leverage is not a significant additional risk here, since Saia carries relatively little debt ($163 million at the end of 2025 against roughly $3.2 billion of revenue). Base case ($285/share): 2026 is roughly a stabilization year for owner earnings, as the sharp step-up in new-terminal costs and depreciation from 2024-2025 laps itself and the lower guided capital budget takes hold, followed by several years of mid-single-digit growth as the now-largely-built 213-terminal network gains density and volume in the markets it has already entered - consistent with the company's own stated strategy of growing density in existing geography rather than continued rapid network expansion. Growth tapers to the low single digits in the back half of the ten-year forecast as that density opportunity is worked through, and from year ten forward we assume earning power holds at roughly that level, supported by the real barriers to entry in LTL trucking (the scale of technology and network density needed to serve shippers profitably), rather than assuming further growth we don't yet have evidence for. Bull case ($388/share): the network reaches full productivity faster and the margin recovery is stronger - something closer to the operating-ratio improvement Saia delivered between 2016 and 2022 - with mid-single-to-high-single-digit growth for the first five years before also tapering. What would make this wrong: the biggest swing factor is how quickly the newly-opened terminals become as efficient as the mature ones. If health-insurance and wage inflation keep outrunning the pricing Saia can pass through, or freight volumes stay soft for longer, the bear case is closer to the right answer. We could not find anything in the filings that cleanly separates how much of the 2025 cost increase is temporary (new-terminal ramp-up) versus more permanent (structural cost inflation), so that split is a judgment embedded in the case spread above rather than a fact we could verify directly. Given the capital intensity and demonstrated earnings volatility of this business - owner earnings per share have swung by more than 25% in either direction in some years - the margin-of-safety price carries a significant discount, at around $180 per share. That price sits below even our bear-case estimate. A reversal of the 2025 operating-ratio deterioration, rather than its continuation, would strengthen the case at that level.
