Business condition attached to the margin of safety NA LTL shipments-per-day/tonnage decline stabilizing or continuing to be offset by yield gains (as in 2025, where yield rose ~6% against a tonnage decline).
XPO is a North American less-than-truckload (LTL) trucking carrier — the largest part of its business — plus a European transportation business (dedicated truckload, LTL, brokerage, and logistics services), operating today after separating its two former divisions, GXO Logistics and RXO, into independent public companies in 2021 and 2022. What's left is a leaner, more focused freight network. Since late 2021, XPO has run a network-expansion program that has added more than 2,000 net-new service-center doors, including 28 former Yellow Corporation terminals (about 2,900 doors) acquired for $870 million in December 2023 when Yellow liquidated. That has left the network with more than 30% spare door capacity. At the same time, XPO has replaced third-party trucking capacity with its own drivers and equipment (insourcing), renewed its tractor and trailer fleet, and pushed pricing higher through service-quality improvements — even in 2025, when shipment volumes fell (shipments per day down about 4%, weight per shipment down slightly) amid a broader freight slowdown, the price XPO charged per shipment rose about 6%, and earnings still grew. XPO's North American drivers are non-union, which has given it more flexibility on cost and scheduling than some unionized competitors (including Yellow, whose failure created the acquisition opportunity XPO capitalized on). We build owner earnings from operating cash flow, after removing the swings caused by working-capital timing and stock-based compensation, and after separating capital spending into a "keep the business running" piece and a "grow the business" piece. On the capex split: XPO's own filings state that roughly 60–67% of its recent annual spending on trucks and trailers has gone toward adding capacity rather than replacing worn-out equipment; we used that disclosed split directly rather than a generic formula. The $870 million Yellow terminal purchase was treated entirely as a growth investment, since it added new locations rather than replacing existing ones. On this basis, the cash the business could return to owners after true maintenance spending has risen from about $2.30 per share in 2022 to about $5.81 per share in 2025 — a period covering the network build-out, the Yellow acquisition, and continued pricing gains. Base case (~$160/share): Revenue grows modestly (roughly matching the 1–4% seen in the past two years) while the network-efficiency and pricing gains continue but at a decelerating pace — consistent with the actual slowdown already visible (82% earnings growth in 2023, down to 30% in 2024, down to 7% in 2025). We carried this deceleration forward to roughly 3% annual growth by the back half of the ten-year window, then assumed earnings grow with the broader economy after that, reflecting LTL's role as difficult-to-replicate physical infrastructure. Bear case (~$81/share): The current freight downturn deepens or persists for several years, volumes keep shrinking, and some of the recent pricing gains give back as competitors chase volume. XPO's roughly $3.25 billion of fixed-rate debt (well spread out, maturing 2028–2034) becomes a heavier relative burden if earnings stall. Earnings decline for the first few years before stabilizing at a lower, roughly flat level. Bull case (~$225/share): XPO keeps executing the same insourcing and pricing playbook at a pace closer to its 2023–2024 experience, the already-built spare terminal capacity lets incremental volume flow through at high profitability, and the company's newly started share buyback program (initiated in 2025) further boosts the return per share. What would have to be true for this to be wrong: if the freight downturn is more structural than cyclical — if shippers permanently shift volume away from LTL, or new entrants successfully undercut pricing once industry capacity returns — the base case overstates value. XPO's own numbers already show it defending profitability through a real downturn via pricing rather than volume, which supports the base case, but a sustained failure of that pricing power in 2026–2027 would be the clearest signal the base case is too optimistic. One item we could not fully explain: 2024 showed an unusually large swing in "other assets" on the cash-flow statement (a $106 million use of cash) that the filing does not break out further; the total still reconciled exactly to reported operating cash flow, so we accepted it as reported without adjustment. Given the cyclicality here, the margin-of-safety price sits at a meaningful discount to the base-case estimate — around $105 per share.

OE = CFO(continuing ops) - working capital movement - SBC - maintenance capex. CFO=$808M. Working capital movement: Accounts receivable -$47M, Other assets -$106M, Accounts payable -$8M, Accrued expenses and other liabilities -$33M = -$194M net (a large cash use, mainly the $106M increase in 'other assets'; not separately itemized in the filing beyond this line, noted as an unreconciled granular item but the aggregate reconciles exactly to CFO so it is accepted as reported). SBC=$87M. Total capex=$789M (within management's guided $700-800M range). Per the FY2024 10-K, 'approximately two-thirds of our capital expenditures were deployed to increase the capacity of our fleet' (4,400 trailers and 2,300 tractors added): growth capex = 2/3 x $789M = $526M; maintenance capex = 1/3 x $789M = $263M. OE = $808M - (-$194M) - $87M - $263M = $652M. Diluted shares = 120M. OE/share = $5.43. OE = CFO(continuing ops) - working capital movement - SBC - maintenance capex. CFO=$694M. Working capital movement (from FY2025 10-K comparative cash-flow statement, which restates FY2023): Accounts receivable -$46M, Other assets -$9M, Accounts payable -$48M, Accrued expenses and other liabilities +$4M = -$99M net (a cash use). SBC=$78M. Total capex=$1,533M, which includes a one-time $870M cash payment for the Yellow Corporation Asset Acquisition (28 former Yellow LTL service centers, ~2,900 doors, closed Dec 20, 2023) - treated in full as growth/expansion capex since it was a discrete, opportunistic network-footprint acquisition, not replacement of existing assets. The remaining $663M of organic 2023 capex is split per the FY2023 10-K's own disclosure that, excluding the Yellow acquisition, 'more than two-thirds' of 2023 capex was deployed to increase fleet capacity: growth capex (organic) = 2/3 x $663M = $442M; maintenance capex (organic) = 1/3 x $663M = $221M. Total growth capex = $870M + $442M = $1,312M; total maintenance capex = $221M. OE = $694M - (-$99M) - $78M - $221M = $494M. Diluted shares = 118M. OE/share = $4.19. Reconciliation check: net income from continuing operations $192M + D&A $432M + stock comp $78M + accretion of debt $11M + deferred tax expense $31M - gains on sale of PP&E $5M + other $54M + working capital movement -$99M = $694M, matching CFO exactly. OE = CFO(continuing ops) - working capital movement - SBC - maintenance capex. CFO=$824M. Working capital movement (net cash effect as it entered CFO, from the FY2022 10-K cash-flow reconciliation): Accounts receivable -$100M, Other assets -$3M, Accounts payable +$62M, Accrued expenses and other liabilities +$42M = +$1M net. SBC=$77M. Total capex (purchases of PP&E)=$521M. Maintenance/growth capex split: management did not disclose a specific capacity-expansion fraction for FY2022 (that disclosure begins in the FY2023 10-K), so growth capex is estimated via capex_ratio (mean of organic capex/revenue for FY2022, FY2024, FY2025, excluding the FY2023 Yellow-acquisition-distorted year = 8.19%) x revenue growth ($7,718M-$7,202M=$516M) = $42M growth capex; maintenance capex = $521M-$42M = $479M. OE = $824M - $1M - $77M - $479M = $267M. Diluted shares = 116M. OE/share = $2.30. Reconciliation check: net income from continuing operations $184M + D&A $392M + stock comp $77M + accretion of debt $16M + deferred tax expense $80M + debt extinguishment loss $39M + goodwill impairment $64M - gains on sale of PP&E $60M + other $31M + working capital movement +$1M = $824M, matching CFO exactly (0% gap).
