Dropbox sells subscription file storage, sync, sharing and document-workflow software (Dropbox, Dropbox Sign, DocSend, Dash). About 18.1 million people and roughly 575,000 teams pay for it, almost all on self-serve monthly or annual plans, and the customer base has been remarkably steady for over a decade. Revenue peaked at $2.55 billion in 2024 and slipped to $2.52 billion in 2025; annual recurring revenue fell about 2% to $2.53 billion, driven by a deliberate wind-down of the FormSwift product (ending 2026) and a tough environment in team plans, partly offset by growth in individual plans. First-half 2026 revenue was roughly flat to slightly up year on year. How we measure earnings. We start from cash from operations and remove swings in working capital, then subtract stock compensation in full (it was $301 million in 2025, about a third of operating cash flow) and a maintenance level of equipment spending. Dropbox buys most of its data-centre servers through finance leases, so lease principal payments of roughly $125-130 million a year are treated as capital spending alongside the small ($21 million) cash capex line; without this, earnings would look about $130 million a year better than they are. On this basis owner earnings were about $365 million in 2023, $440 million in 2024 and $551 million in 2025 (about $2.02 per share on a share count that has fallen from 414 million in 2020 to about 273 million on a weighted basis, and about 241 million shares outstanding in early 2026). Growth in 2025 came from lower stock compensation after the late-2024 headcount reduction, not from revenue. What we used as the starting level. Owner earnings rose 25% in 2025, but we do not extend that pace: our base case starts at about 0% and then declines slightly, because revenue and ARR are shrinking and nothing in the filings shows the decline reversing. The starting level is set at $450 million a year, below 2025's $551 million. Reasons: the business only borrowed heavily from late 2024 (a $1.49 billion term loan, floating rate, drawn to fund buybacks; cash interest jumped from $15 million in 2024 to $106 million in 2025 and is still ramping), so the earlier years are overstated relative to today's balance sheet, while 2025 is a single year of lower stock compensation. First-half 2026 operating cash flow of $443 million (versus $414 million a year earlier) and unchanged stock compensation support the level holding. Base case ($24.50 per share). Owner earnings of $450 million shrink about 1% a year for ten years, in line with the recent slight revenue and ARR erosion, then about 2% a year thereafter as the paying-user base ages. We credit no growth: no new product (Dash, AI features) has yet shown up in revenue and is therefore left out. Value: about $5.9 billion, or $24.50 on about 241 million shares. We do not subtract debt separately because interest is already deducted in the cash flow. Bear case ($14.10). The team-plan weakness that cut ARR in 2025 deepens and the FormSwift-style attrition continues: owner earnings start at $380 million (full-year interest on the term loan and some price pressure) and decline 4% a year for a decade, then 6% a year. The company owes $1.49 billion on the term loan and $695 million of convertible notes due 2028, so refinancing on worse terms is a real risk here. Even so the business stays cash-generative. Bull case ($30.30). Individuals-plan growth offsets team losses (first-half 2026 revenue was up about 1%), stock compensation stays near $300 million, and owner earnings hold near $500 million for a decade before easing 1.5% a year. What could make this wrong. Stock compensation re-inflating toward $340 million would cut owner earnings by about $40 million. Faster paying-user losses to bundled competitors, or higher borrowing costs when the term loan (drawn December 2024, five-year) is refinanced, would push toward the bear case. Conversely, a stronger stabilisation of revenue would move toward the bull case. Buybacks (about $1.7 billion in 2025) raise per-share values only if done below value; we assume neutral. Change from prior view: no earlier analysis exists for this company. Some pre-2019 years (IPO-year stock compensation of $650 million in 2018) are excluded from the starting level as non-representative.
