Box sells subscription software that companies use to store, share, secure and automate their documents and other content. Its higher-tier Enterprise Plus and Enterprise Advanced plans bundle extra products such as AI features, e-signature and workflow automation. Revenue for the year ended January 31, 2026 was $1.18 billion, up 8%, and the company says favorable currency movements helped. Revenue for the first half of fiscal 2027 grew 10% to $627.1 million. - **Where sales come from:** Customers in the United States produced 62% of fiscal 2026 revenue and customers in Japan 25%, up from 21% two years earlier. - **Customer spending:** Existing customers' annual recurring spend was 104% of the year before, compared with 102% and 101% in the two prior years. - **Contracted revenue:** Revenue under contract but not yet recognized was $1.71 billion at January 31, 2026. - **Hosting:** Box now outsources most of its hosting to Google Cloud. Payments on equipment leases fell from $60.0 million in fiscal 2021 to zero in fiscal 2026, and hosting now shows up in operating costs instead. How we measure earnings. We start from operating cash flow. We subtract stock compensation, the capital spending needed to keep the business running, and the preferred dividend. We also remove the yearly swing in working capital. - **Stock pay** is the largest item: $233.7 million in fiscal 2026, about 20% of revenue. We treat it as a real cost. - **Capital spending** includes capitalized software and equipment lease payments. - **Customer prepayments:** we remove their yearly growth ($46.9 million in fiscal 2026), which makes cash flow look better while the business grows. On this basis Box lost money for owners every year through fiscal 2022. Per share, it then earned: - fiscal 2023: $0.16 - fiscal 2024: $0.27 - fiscal 2025: $0.37 - fiscal 2026: $0.35 For fiscal 2026 that is $67.5 million before the $15 million preferred dividend and $52.5 million after it. Our starting point is the fiscal 2024-2026 median of $0.35 per share. That window covers the years since the company became consistently profitable and finished moving to outsourced hosting. The earlier loss years reflect a different cost structure. Buybacks reduced diluted shares from 149.2 million to about 140 million by mid-2026, and we divide value by the lower count. Balance sheet. Two claims rank ahead of common shareholders: - **Convertible preferred stock:** $500 million, paying 3% ($15 million a year). It converts into common stock at $27 per share, and from May 12, 2028 its holders can demand repayment in cash. - **Convertible notes:** about $450 million at 1.50%, due 2029. In addition, the company's remaining U.S. federal tax-loss carryforward is down to $111.1 million, so cash taxes should rise toward full rates. We do not subtract these claims from value. Instead, we charge the future cost of refinancing them against earnings. Base case ($13.31 per share). Owner earnings fell 3% in fiscal 2026, partly because of $10.6 million of restructuring charges. We assume they rise to about $91.5 million before financing costs in fiscal 2027. The reason is in the half-year report filed in August 2026: - Operating income rose to $60.1 million from $26.9 million. - Operating cash flow rose to $211.0 million from $173.0 million. - Stock pay was nearly flat, at $117.7 million versus $115.7 million. The rest of the base case: - **Revenue:** growth of 6.5% in fiscal 2028, slowing to 4% a year from fiscal 2032. Retention above 100% and rising sales of the higher-tier plans support this. - **Margins:** owner earnings, after full cash taxes, rise from about 7% to 11% of revenue by fiscal 2033. That is slower than the roughly 3-point-a-year gain in operating margin from fiscal 2021 to 2025. - **Financing costs:** the $15 million preferred dividend grows to a total financing charge of $25 million in fiscal 2029 and $35 million a year from fiscal 2030. This reflects refinancing the preferred and the 2029 notes at market rates. - **Later years:** earnings to common reach about $176 million by fiscal 2036. We hold that level for 15 more years because enterprise customers find it costly to move a large store of content. We assign no value after that. Bear case ($2.91). This case uses risks already named in the filings: - **Growth:** tighter customer budgets put pressure on seat growth and raise churn. Retention falls back toward 101%, and revenue growth slows to 5% this year and 2-3% after that. - **Costs:** committed purchases of cloud hosting and software total $562.5 million and rise to $176.3 million a year in fiscal 2031. These keep margins at about 5.6-6%, slightly below the fiscal 2025-2026 range of 5.7-6.4%, and the first-half 2027 improvement fades. - **Financing:** refinancing the preferred and the 2029 notes at market rates raises total financing costs to about $45 million a year after tax. - **Result:** earnings to common are about $31-42 million a year from fiscal 2030 to 2036. They then fade to nothing over ten years under competition from Microsoft (SharePoint and OneDrive) and Google (Drive), which the company names as its main competitors. Bull case ($25.13). This case assumes the business's own levers work well: - **Growth:** the first-half 2027 operating gains continue, and higher-tier plans lift growth to 9-10% over the next two years and 6% by fiscal 2032. - **Margins:** reach 14% of revenue by fiscal 2033. - **Financing:** costs stay near $25 million a year. - **Result:** earnings to common reach about $300 million by fiscal 2036, hold for 20 years and then fade over ten. At the base value, the whole company would be worth about $1.9 billion. The three cases are far apart because owner earnings are only about 6% of revenue after stock pay, so small changes in growth or costs move value sharply. The preferred stock and convertible notes also create refinancing risk in 2028-2029. - **Upside risk:** we would be too low if stock pay keeps falling as a share of revenue while growth stays near 10%. - **Downside risk:** we would be too high if the fiscal 2027 margin gain proves temporary. The margin-of-safety price is $7.50, well under base value. The gap allows for the thin margin, the competition from larger rivals and the preferred holders' right to demand repayment in 2028.
