Business condition attached to the margin of safety A secondary market exists in which the shares change hands at or near the margin-of-safety price. The company itself issues and repurchases shares only at its reported net asset value (about $14.13 per Class I share at December 31, 2025), and repurchases are capped.
Blackstone Real Estate Income Trust (BREIT) is a non-listed real estate investment trust managed by an adviser that is a subsidiary of Blackstone. At December 31, 2025 it reported a net asset value of $54.3 billion, or $14.13 for a Class I share, on roughly $96 billion of consolidated real estate (mostly rental housing and industrial properties, plus data centers, hotels, self storage, retail and office) and $61.3 billion of debt. The portfolio is concentrated in the southern and western United States, especially Atlanta, Las Vegas and Dallas. Its reported net asset value is an appraisal-based figure. Our value is different: it asks what cash the business leaves for a shareholder after everything it must spend, discounted at 6% a year. What the shareholder actually keeps. In 2025 operations produced $2,286 million of cash, but three items reduce that to a much smaller number. First, the company spent $1,215 million on capital improvements to its properties. Revenue fell in 2025 to $7.96 billion from $8.53 billion in 2024, so we treated all of that spending as necessary upkeep rather than growth. Second, the adviser has always taken its 1.25%-of-net-asset-value management fee in shares and units rather than cash ($671 million in 2025, $714 million in 2024, $839 million in 2023). That is a real cost to shareholders that the cash flow statement adds back, so we subtract it. Third, the adviser earns a performance allocation equal to a share of returns above a 5% hurdle. It was $593 million in 2025 (a year in which the Class I total return was 8.1%), and nothing in 2024 or 2023. It is also paid in units, so we subtract it too. After these items, owner earnings per share were negative $0.05 in 2025, positive $0.07 in 2024, $0.18 in 2023 and $0.08 in 2022. For 2025, operating cash flow reconciles exactly to the net loss of $3.6 billion once non-cash items are added back: $3.2 billion of depreciation, a $631 million property write-down, $781 million of unrealized losses on financial instruments and $869 million of losses from unconsolidated entities, partly offset by $1.6 billion of gains on property sales. Which years we used. The portfolio was built mainly through acquisitions in 2021 and 2022, so earlier years describe a much smaller business. We measured from 2022 and used the middle of 2022 to 2025, about $0.07 per share. Two of those years carried the large performance allocation and two did not, which is why we used the middle rather than the best or worst year. The reported per-share figures use only common shares; about 8% of the equity is held as operating partnership units and about 10% of the consolidated equity value sits with partners in consolidated joint ventures. We reduced the anchor by about 17% (to $0.06) so that only the common shareholders' portion is valued. Growth. Owner earnings per share fell from $0.07 in 2024 to negative $0.05 in 2025, so there is no recent growth to build on. In the first half of 2026 revenue was $3.80 billion against $4.05 billion a year earlier, down 6.3%, while operating cash flow rose 2.7% to $1,214 million. We assumed no growth in any case. Rent increases, lower interest rates, and value gained from property improvements depend on markets rather than on anything locked in, so we left them out. Base case, about $1.00 per share: owner earnings hold at about $0.06 per share indefinitely and are worth about $1.00 at a 6% rate. The properties are valued by the earnings they leave after fees and upkeep, not by appraisal. Bear case, about $0.02 per share: owner earnings stay at the 2024 to 2025 level, close to zero, and $20.8 billion of fixed-rate loans that now cost 3.9% on average and mature around May 2030 are refinanced at about the 5.2% average cost of the company's current property loans. That adds roughly $270 million a year of interest, about $0.08 per share, which would erase the earnings. We treat everything after 2030 as worth nothing in this case. Interest rate swaps and caps currently lower the company's average property loan cost from 5.2% to 4.1%. Bull case, about $2.54 per share: owner earnings return to the 2023 level ($0.18 per share, adjusted to $0.15 for common shareholders) and stay there. That was a year in which no performance allocation was owed and the company's revenue was at its peak. We did not assume any recovery in property values or rents. Comparison with the net asset value. Even our bull case is far below the $14.13 net asset value because, after fees and upkeep, the business leaves only a few cents per share of cash each year. Distributions of about $2.4 billion in 2025 were more than the $2.29 billion of operating cash flow, while total debt fell from $65.2 billion to $61.3 billion. What could make this wrong. If the properties can be sold for close to their appraised values and the debt repaid, shareholders would receive far more than our earnings-based values. We do not credit that because it depends on sale prices we cannot verify. Shareholders also cannot count on the company repurchasing their shares, because the board may cap or suspend repurchases.
