Ark Restaurants operates 16 restaurants plus food-court concepts and catering: three in New York City (including Bryant Park Grill & Cafe and The Porch at Bryant Park), one in Washington D.C. (Sequoia), five in Las Vegas (including New York-New York), one in Atlantic City, four on Florida's east coast and two on the Alabama Gulf coast. The company owns real estate, including the Rustic Inn property (which carries a mortgage) and 11 unsold condominium units at the Island Beach Resort in Jensen Beach, Florida. Land and buildings are carried at $17.8 million of cost, a figure that does not reflect what they would sell for. HOW WE MEASURE EARNINGS. We use owner earnings: cash from operations, excluding swings in working capital, less stock compensation, the capital spending needed to stay in business, and the cash paid to minority partners in jointly owned restaurants. Per share this was $2.26 (fiscal 2016), $0.67 (2018), $1.77 (2019), $2.30 (2021), $2.93 (2022, a post-reopening surge), $1.01 (2023), $0.65 (2024) and -$0.67 (2025). Fiscal 2017 (-$1.65) carried $13.9 million of capital spending versus $2-5 million in neighbouring years, and fiscal 2020 (-$1.21) was the pandemic shutdown; both are set aside. Stock-compensation credits in 2024 were not counted as income. We value the restaurants before paying lenders and then subtract borrowings; on that basis the cash flow per share was $1.36 (2023), $0.77 (2024) and -$0.57 (2025). We use fiscal 2024-2025 as the starting level, about $0.10 a share or $0.4 million a year, because fiscal 2021-22 were reopening years and the cost and sales picture changed after them. Revenue fell from $184.8 million (2023) to $165.8 million (2025) and, over the first 39 weeks of fiscal 2026, to $118.2 million from $128.4 million. Fiscal 2025 same-store sales fell 10.8% in New York, 14.9% in Washington, 10.2% in Atlantic City, 3.7% in Las Vegas and 2.4% in Alabama, and rose 1.6% in Florida; company-wide they are down 7.2% for 39 weeks of fiscal 2026. The reported fiscal 2025 loss included non-cash charges (goodwill $3.4 million; lease and fixed-asset impairments $4.7 million) and a $5.2 million gain on ending the Tampa food-court lease (the $5.5 million payment arrived outside operating cash flow, and $1.7 million went to minority partners; we excluded that from the partner deduction). Stripping those out, operations produced only about $1.8 million of cash earnings (1.1% of revenue) against $3.2 million of capital spending, so the weakness is real rather than an accounting artefact. The 39-week fiscal 2026 net loss of $1.26 million tells the same story. BRYANT PARK IS THE LOAD-BEARING ISSUE. The Bryant Park Grill & Cafe and The Porch leases expired in 2025, and the landlord (Bryant Park Corporation) selected a new operator. The two sites produced $25.5 million (15.4%) of fiscal 2025 revenue and $17.1 million (14.5%) of 39-week fiscal 2026 revenue. Per the company's June 2026 filing, the court on June 18 granted Ark summary judgment that the landlord breached the Grill lease, with money damages to be set at trial, but granted the landlord summary judgment on ejectment for the Cafe and the Porch. Per the August 2026 results release, a judgment of ejectment was entered June 26, 2026, Ark appealed, and a court-ordered stay runs to about October 16, 2026; Ark plans to ask for an extension. Unless reversed or extended, the sites must be vacated. The filings do not break out profit by restaurant. Company-wide, restaurants earned about $13.8 million (8.3% of revenue) before $12.0 million of head-office costs in fiscal 2025; applying that average to about $22.8 million of annualised Bryant Park revenue puts the profit at risk near $1.9 million a year. As a cross-check, fiscal 2025 cash flow before capital spending fell about $4.0 million when revenue fell $17.8 million, so the loss could be larger. Any damages award is not counted because the amount cannot be established. The New Meadowlands Racetrack investment is also valued at zero: the company reports no casino referendum will occur in 2026 and says a future impairment could be material. CASES (per share; restaurants' value, less borrowings, plus cash and condominiums). Base ($0.00): Bryant Park is lost early in fiscal 2027, the judgment already entered and the Cafe and Porch rulings against Ark, and we judge reversal less likely than not. Cash flow in the first year is -$3.5 million (fiscal 2025's actual -$2.0 million, which is also the trailing level, less about three quarters of Bryant Park's $1.9 million contribution), and the same in year two while the company restructures; after that nothing we can name and evidence continues, so the story ends. Fiscal 2025 cash flow on our lender-neutral basis was -$0.57 a share and the base assumes -$0.97 in year one, lower rather than higher than the trailing figure; we credit no recovery. Worth: about -$6.4 million for the restaurants (present value); borrowings $7.1 million, of which a cost-of-debt adjustment adds $0.3 million because the Bank Hapoalim debt carried about 8% interest; cash $9.5 million; condominiums about $3.6 million (11 units at the $0.40 million each recent sales realised, less costs and selling time). The result is about -$0.7 million, or -$0.2 a share; shareholders' liability is limited to what they paid for their shares, so we show $0.00. Bear ($0.00): Bryant Park is lost for the full year and the loss follows the larger fiscal 2025 pattern (about 22% of lost revenue, roughly $5.1 million), taking cash flow to about -$7 million, and a pandemic-sized downturn of the kind the industry had in fiscal 2020 (revenue fell from $162.4 million to $106.5 million) arrives before the restructuring is done. Restaurant value is deeply negative; cash and condominiums do not cover it, while equity was $31.5 million on June 27, 2026 against a $28 million minimum tangible net worth requirement in the Bank Hapoalim credit agreement (a $20 million facility maturing June 1, 2028), leaving only about $3.5 million of room for losses. Equity is left with little or nothing on these named drivers. Bull ($7.40): The appeals court reverses the ejectment or the lease is retained, legal fees and the negative publicity that cut New York sales end, and Las Vegas and Alabama keep growing (the company reports rising cash flow in Las Vegas and strong growth in Alabama). Cash flow recovers to the fiscal 2024 level of $2.8 million ($0.77 a share) by year two and holds, fading to zero over years 11-15. Restaurants about $21.0 million, borrowings $7.1 million plus $0.3 million, cash $9.5 million, condominiums $3.6 million: about $26.6 million, or $7.40. Recovering to the fiscal 2024 level is not growth, but it does presume the 2025-26 sales decline stops. WHAT WOULD MAKE THIS WRONG. We tested the Bryant Park conclusion against the June rulings (adverse on the Cafe and Porch) and tested whether fiscal 2025 was a one-off (it was not: the 39-week fiscal 2026 net loss continues). Unresolved from the filings we could access: what the $4.5 million of 39-week fiscal 2026 capital spending is for (borrowings rose from $3.6 million to $7.1 million over the same period), how many condominium units were sold in fiscal 2026, and the actual profit of Bryant Park. If Bryant Park earns little, the base case improves by roughly $0.8 a share. Earlier estimates of this company are not comparable with these figures. WHY THE MARGIN-OF-SAFETY PRICE IS ABOUT $1.00. We are not sure of the earnings level: it was positive in seven of the last ten years but is currently negative and about 15% of sales is in court. The worst plausible outcome is Bryant Park lost, a downturn on top, and the covenant forcing a restructuring with the bank; the debt is small relative to cash, so this is a story of cash burn rather than insolvency, and the shares could be worth very little. If we are wrong on the three main things (the appeal, how profitable Bryant Park is, and what the 2026 capital spending bought), the shares range from nothing to about $7.40. The price assumes a holding period through the appeal and the damages trial (a pre-trial conference was set for September 22, 2026), and the business pays nothing meanwhile: no dividend was paid in fiscal 2025 versus $2.0 million in 2024. At about $1.00, the price is below the roughly $1.60 a share that net cash ($0.57) and the unsold condominiums ($1.00) add up to, with the owned land and buildings, the restaurants and the appeal outcome as extra rather than what the price includes.

Historical growth strategy
Acquiring or leasing individual full-service restaurants and food-court concepts, often inside casino-hotels in Las Vegas and Atlantic City and in high-traffic urban sites, frequently through jointly owned partnerships with minority partners; selectively buying existing restaurants (JB's on the Beach in 2018, The Blue Moon Fish Company in 2021), renovating flagship sites (Sequoia), and closing or exiting weak units. Growth has come from adding venues one at a time rather than building a chain, with a minority investment in the New Meadowlands Racetrack as a longer-dated option.
Chart analysis
In the roughly three months of daily prices we could see (May 6 to August 10, 2026) the stock slid from a $7.40 high on May 7 to the $5.60-$5.90 area, a series of lower highs and lower lows that a chartist would call a downtrend. The $5.60 level held on three tests (June 26, July 7 and August 5), so it is the obvious support; a close below it would be read as a breakdown, while a move back above the $6.30-$6.50 area (the late-May closes) would be the first sign the downtrend is easing. The $7.40 spike on May 7 is the overhead resistance. A jump of about 5% in early trading on August 10 after the quarterly results was a first bounce off support but, with trading volume not visible in our data, not yet a confirmed reversal. Longer-term history was not available to us.
