Business condition attached to the margin of safety Positive owner earnings excluding license revenue for at least three consecutive quarters (H1 2026 operating cash flow was -$9.4M).
Xtant Medical makes orthobiologics (bone-graft and biologic products used in spinal fusion, about $72.9M or 54% of 2025 revenue) and spinal implant hardware ($42.3M, 32%), sold mostly in the United States through independent distributors and commissioned agents. Competitors include Medtronic, Johnson & Johnson, Globus, Alphatec and Orthofix. What the reported profit hides: 2025 looks like a turnaround (net income $5.0M, operating cash flow $12.5M, our owner earnings about $10.7M or $0.07 per share). But $18.7M of that year's revenue was license revenue tied to the SimpliMax and SimpliGraft skin-substitute products, and the company itself says it likely will not repeat. A Medicare local coverage determination and a fixed $127.14 per square centimetre skin-substitute payment rate took effect January 1, 2026; the SimpliGraft supply agreement was terminated at year-end 2025 and the SimpliMax licence may follow. Excluding that revenue, 2025 would have been a loss of roughly $11M at the operating line. The first half of 2026 confirms it: revenue was $43.9M (vs $68.3M), net loss $12.5M, operating cash flow negative $9.4M. The Coflex/CoFix and international hardware businesses were also sold in 2025 for $21.4M, shrinking the base further. Owner earnings history (cash from operations, less working-capital swings, less stock compensation, less maintenance capex): about -$0.09, +$0.06, $0.00, -$0.05, -$0.07, -$0.07, -$0.11 and +$0.07 per share for 2018 through 2025. Only one year in eight was meaningfully positive, and that year is the licence-driven one. We therefore do not treat 2025 as a normal level; the recent operating years since the 2023 Surgalign acquisition (-$0.07, -$0.11) are the better guide to what the ongoing business earns today. Share count has grown from about 12M to about 150M over that period, largely to fund losses and acquisitions. Bear case ($0 per share): losses of roughly $15-20M a year continue, cash and the MidCap credit lines (about $14M drawn, with revenue covenants amended in March 2026 to depend only on orthobiologics) are consumed, and equity is worth little. Base case ($0): nothing we can point to as secured produces positive owner earnings. Orthobiologics volume grew about 10% in 2025 and operating expenses fell about $3M, which is encouraging, but the business has never converted growth into sustained owner earnings outside the licence year, so we credit no profit. Bull case ($0.40 per share): the company's own levers work. Orthobiologics keeps growing near its 2025 pace, cost cuts continue, losses close over about three years, and owner earnings build to roughly $14M a year for a further decade. We left out any repeat of licence income, new products, and a market recovery, none of which are evidenced. What would make this wrong: a durable new licensing or private-label deal, or a step-change in orthobiologics margins, would lift value. A further risk is that Nantahala Capital owns about 48.8% of the stock and could influence any sale or financing. Note that cash of $17.1M at year-end plus $10.7M received from the divestiture in February 2026 gives the company some runway, but that cash is being spent by the operating losses, not added to value here. The margin-of-safety price, given the wide gap between outcomes and the loss-making run rate, is $0.10 per share, and it assumes the underlying business demonstrates positive owner earnings without licence income.
