Bioventus sells treatments for pain and bone and tissue repair. In 2025 it had $568.1 million of sales in three groups: Pain Treatments ($279.1 million; including the hyaluronic acid injections Durolane, SUPARTZ FX and GELSYN-3), Surgical Solutions ($203.7 million; bone graft substitutes and ultrasonic bone cutting systems) and Restorative Therapies ($85.4 million; including the EXOGEN Bone Stimulation System). About 88% of sales are in the United States. The company sold its Advanced Rehabilitation Business on December 31, 2024, and its Wound Business in May 2023, so 2025 is the first full year of the business as it exists today. Sales excluding the divested business grew about 7.6% in 2025 (about $527.8 million in 2024 to $568.1 million). How we measured earnings. We start from cash generated by operations, remove the swings in receivables, inventory and payables, subtract stock compensation as a real cost, and subtract only the capital spending needed to keep the business running. Owner earnings were $73.3 million in 2025, $36.0 million in 2024 and $10.6 million in 2023 (2022 and earlier are not shown because the business then included units since sold and the share count could not be tied out). Per share, that is $0.87, $0.45 and $0.14. Per-share figures count both the Class A shares and the 15.8 million exchangeable units held by Smith & Nephew, because the consolidated cash flows belong to both. We use 2025 alone as the starting level: it is the only clean year after the divestitures, and 2024 was depressed by about $13.8 million of shareholder litigation costs and divestiture expenses, and included the divested business. Cash from operations in the first half of 2026 was $28.8 million against $6.6 million a year earlier, on sales up about 5%, which supports (but does not raise) that level. Amortization of acquired intangibles is large ($39.0 million in 2025) and is added back as a non-cash cost; we deal with the wearing-out of those assets in the growth path below, not in the starting level. Growth check. Owner earnings per share rose about 93% in 2025, but from a 2024 base that carried one-time cash costs and the divested business. We assume 0% growth in the first year of the base case, below that trailing figure, because that jump is not a repeatable rate. Base case: $10.54 per share. Owner earnings stay at $0.87 for ten years, then shrink 5% a year as today's products age. We credit no growth. Durolane and the surgical products have been growing, but continued growth depends on market expansion and share gains, which we do not count. We hold earnings flat rather than falling for the first ten years because US Pain Treatments sales rose 5.7% and US Surgical Solutions sales rose 7.6% in 2025, and the amortization of acquired intangibles is scheduled to ease only gradually ($34.5 million in 2026 to $30.3 million in 2029). Debt paydown that would lower interest is not credited either. Bear case: $4.58 per share. Medicare reimburses SUPARTZ FX, GELSYN-3 and Durolane through Part B, and the company discloses that in July 2022 CMS began using its reported pricing to adjust payments for Durolane and GELSYN-3, and that recent CMS changes to average-sales-price rules could eventually target hyaluronic acid products. We assume a 10% price cut across US Pain Treatments (about $24.8 million a year, or $0.29 per share), and cash taxes rising by about $5 million a year (about $0.06 per share) from the $2.8 million paid in 2025 as tax losses are used up. Both figures are our assumptions. That leaves $0.51 per share, drifting down 3% a year for ten years and then 10% a year. The company also carries a $296 million term loan with interest coverage and leverage covenants, and it recorded asset impairments of $135.0 million in 2022, $78.6 million in 2023 and $36.4 million in 2024, so past acquisitions have not held their value. Bull case: $15.90 per share. Owner earnings grow 5% a year for ten years, in line with US Pain Treatments (+5.7% in 2025) and first-half 2026 sales growth (+5.1%), and then shrink 3% a year. What the shares appear to be worth: our central estimate is about $10.54, with a range of $4.58 to $15.90. The margin-of-safety price is about $4.75, given the debt, the reliance on Medicare reimbursement and the company's small size. What could make this wrong: a change to Medicare payment for hyaluronic acid injections, a covenant problem on the debt, or 2025 cash flow proving flattered by low cash taxes. Amounts payable to Smith & Nephew under the tax receivable agreement (85% of tax savings the company realizes) are described as significant but could not be quantified from the filing and are not deducted. Net income of $33.4 million in the second quarter of 2026 is much higher than a year earlier, and the reason could not be determined from the data available, so it plays no part in this analysis.
