XMax Inc. (formerly Nova LifeStyle) distributes contemporary residential and commercial furniture (Diamond Sofa, Nova Living brands) from Commerce, California and Malaysia, using third-party manufacturers, many in China and Asia. As a furniture business it has not earned money for any year we can measure: cash from operations was negative in 2022 (-$5.4M), 2023 (-$1.6M), 2024 (-$1.4M) and 2025 (-$0.4M), and after removing working-capital swings and share-based pay (a large $3.4M in 2025) our owner-earnings figure was negative each year (about -$2.22, -$3.04, -$0.34 and -$0.05 per share, 2022-2025, on split-adjusted diluted shares). 2025 sales grew 73% to $16.7M, but gross profit was flat at $4.2M and the business still lost $1.9M from operations. We therefore credit the furniture operations with no earnings power and value them at zero; we also charge modest cash burn against them. The company's value today comes from a change in what it is. In the second half of 2025 it raised about $33M (a $9M public offering, about $19M of registered direct offerings, a $5M convertible note and private placements) and put $22.8M into Preamble-managed funds whose holdings are private SpaceX-related shares; a further $5.4M subscription closed in February 2026. Share count grew from 7.3M at end-2024 to 41.9M at end-2025 and 64.1M at June 30, 2026. By June 30, 2026 the balance sheet showed cash of $34.6M, fund investments of $73.8M, total liabilities of $14.8M and equity of $106.3M, or about $1.66 per share. Because there are no owner earnings to discount, we value the company as a pool of assets: cash and the funds at carrying value, furniture working assets at roughly half, liabilities in full, less a couple of years of operating losses. Base case (about $1.52 per share): the assets are worth what they are carried at, the furniture unit continues to lose roughly $1M a year for two more years, and no growth or appreciation is assumed. Bear case (about $1.05): the fund holdings, which are unlisted and were flagged by the auditor as a critical, judgement-heavy valuation, realise about 30% below carrying value (the company already absorbed $1.7M of non-operating costs around the 2025 investments), and losses continue for three years. Bull case (about $1.65): everything is realised at full carrying value including furniture working assets, with no further burn. We deliberately do not credit any rise in the value of the SpaceX-related shares, since nothing in the filings puts that in evidence. What could make this wrong: the fund marks are the company's own Level 3 estimates and the June 2026 marks could not be independently checked; the company keeps issuing shares (a further $65M of equity came in during the first half of 2026), so per-share value depends on the price of future issuance; and the convertible note and management incentives (heavy stock awards) transfer value to others. The company received Nasdaq deficiency notices in 2024 for equity and bid price, both since cured. Not reconcilable from the filings: the June 2026 quarterly report was not available in full text, so 2026 figures come from summary financial data only.
