Universal Logistics Holdings is a transportation and logistics company with three segments. Contract logistics is the largest. It covers value-added services run inside or next to customers' plants, dedicated trucking and, since the fourth-quarter 2024 purchase of Parsec, rail terminal services. In 2025 it earned $82.5 million of operating income on $1,049.5 million of revenue. Intermodal moves containers to and from rail and port terminals. It had $257.0 million of revenue and an operating loss of $162.1 million, which includes a $124.4 million write-down of goodwill and customer relationships. Trucking, mostly run through independent agents, earned $13.9 million on $251.4 million of revenue. Automotive customers were 45% of 2025 revenue. General Motors alone was about 25% and Ford about 6%, and the top ten customers together were 59%. About 96% of revenue is booked in the United States, and the rest in Mexico, Canada and Colombia. Trusts overseen by Chairman Matthew T. Moroun beneficially own about 72.9% of the shares, and the company does business with other companies the Moroun family owns or influences. How we measure earnings. We start from operating cash flow and remove swings in working capital. We then subtract stock-based pay and the capital spending needed to keep the business where it is. In years when revenue grew, we treat part of the spending as expansion: about 7.7 cents for every dollar of new revenue, which is the ten-year average spending rate. In years when revenue fell, we count all of it as upkeep. On that basis, owner earnings per share for 2016 through 2025 were -$0.85, $0.21, $2.53, $2.01, $1.49, $5.13, $6.68, -$2.10, $2.11 and -$2.42. The swings are real. Freight is cyclical: 2021-22 was a boom, and 2023-25 combined a freight downturn with an unusually heavy building program. Capital spending ran $224-252 million a year, against $39-117 million in 2020-22. In 2025 alone, land, buildings and construction in progress rose by about $99 million. Because revenue fell in 2023 and 2025, our method counts all of that spending as upkeep, which makes those years look worse than the underlying business probably was. We did not override the method. Instead we anchor on the median of 2018-2025, a full freight cycle, which is $2.01 per share. We left 2024 out of that median. It includes $228.0 million of revenue from a specialty development project in Stanton, Tennessee, completed that year. The company is collecting payment for it in 120 monthly installments, not in cash that year, and about $211.6 million was still owed at the end of 2025. In October 2025 the company borrowed about $195.9 million at a fixed 6.84%, due November 2034. The loan is non-recourse, secured by a sublease with Ford Motor Company and repaid from the rent. The filing does not tie the loan to the receivable line by line, so we treat the two as roughly offsetting and give them no separate value. Non-cash write-downs, including the 2025 intermodal impairment, do not reduce owner earnings. The damage they point to is carried in the cases below. Recent results. Underneath, the first half of 2026 was weak. Net income of $22.7 million included about $45.7 million of gains on asset sales, so without those gains the half would have shown a loss. It also included another $3.9 million impairment. Revenue fell to $746.9 million from $776.2 million, and operating cash flow fell to $73.9 million from $110.0 million. On the other hand, capital spending dropped to $22.9 million from $136.8 million, and long-term debt fell to $692.6 million from $797.6 million at year-end. Base case ($29.28 per share). Owner earnings are $1.25 per share in 2026. That is far above 2025's negative figure because the building program has largely stopped, but below the $2.01 anchor because recent operating profit has been weak. Earnings recover to $2.01 by 2028 and then grow 2% a year to 2035. Revenue grew from $1.07 billion in 2016 to $1.56 billion in 2025, about 4% a year including acquisitions, and we assume half that rate. After 2035, earnings hold flat for another twenty years and then stop. The contract logistics work is built into customers' production lines, and that has kept those relationships going through every cycle in the record. We do not assume it lasts forever. Bear case ($8.07). Owner earnings are $0.50 per share for three years, which is roughly 2025's level if capital spending only matched depreciation. They then run at $1.00 through 2035 and fade to nothing by 2045. This case reflects risks the company has disclosed: - intermodal losses continue on its fixed cost base - value-added programs keep shrinking, a decline the company noted in 2025 - heavy dependence on General Motors and the auto industry - debt: interest paid rose from $14.3 million in 2022 to $48.0 million in 2025, and the $500 million revolving credit line matures on September 30, 2027. Bull case ($53.65). The building program is finished. New terminals and the Parsec rail terminal network start earning, debt keeps falling, and contract logistics margins move back from 7.9% in 2025 toward the 15.4% of 2023. Owner earnings reach $2.25 per share in 2026 and $3.00 by 2028. They then grow 4% a year, in line with the company's own revenue record, to 2035, and hold flat for thirty years after that. What would make this wrong. If the 2023-25 spending turns out to be the normal cost of staying in business rather than one-time expansion, owner earnings sit near zero and even the bear case is too generous. If General Motors or another large automaker moves programs elsewhere, about a quarter of revenue is exposed. In the other direction, owner earnings reached $5-7 per share in the 2021-22 freight boom, and none of the cases assumes that repeats. Margin-of-safety price. The business is cyclical, depends on a few customers, carries meaningful debt and has started 2026 weakly, so the estimate calls for a wide margin of safety. The margin-of-safety price is $16 per share.
