TPG RE Finance Trust (TRTX) is an externally managed real estate lender. It owns 50 first mortgage loans on U.S. commercial properties: $4.3 billion of commitments and $4.1 billion of outstanding principal at December 31, 2025. 99.7% of the loans are floating rate, the average spread is 3.2%, the all-in yield is 7.1% and the average loan-to-value is 65.7%. Its earnings are the interest it collects on those loans less the interest it pays on the borrowing that funds them. The company also owns six properties taken over from defaulted borrowers (two office, four multifamily; carrying value $237.7 million), and one $41.0 million multifamily loan stopped accruing interest in late 2025. How we measured earnings. We start from operating cash flow, remove working-capital swings, subtract stock compensation, and subtract spending on the foreclosed properties. Per diluted share this gives $1.70 (2017), $1.72 (2018), $1.78 (2019), $1.75 (2020), $1.55 (2021), $1.29 (2022), $0.85 (2023), $1.15 (2024) and $0.94 (2025). We used 2023 to 2025 (median $0.94) because earlier years belong to a business with far more capital behind each share: book value per common share has fallen from $19.78 (2019) to $16.37 (2021), $14.48 (2022), $11.27 (2024) and $11.07 (2025), and the dividend from $1.72 to $0.96. One important judgement: this cash measure does not deduct loan losses, because those show up as lost principal rather than lost cash flow. The company added $173.0 million to its loss allowance in 2022 and $189.9 million in 2023. We did not cut the earnings level for this. We carried it in the declining earnings path in every case below. We also deduct the 6.25% Series C preferred stock ($201.25 million, about $12.6 million a year, about $0.16 per common share) because it is paid before common holders. That leaves about $0.78 per common share as the starting point for the base case. Growth check. Owner earnings per share fell 17.9% in 2025 ($1.15 to $0.94). We assume no further steep decline in the first year of the base case (3%) because the filings show stabilization: the loan balance rose 25% during 2025 (from $3.28 billion to $4.12 billion), and first-quarter 2026 net interest income was $25.7 million versus $24.9 million a year earlier (up 3%), with operating cash flow of $24.6 million versus $19.1 million. Net interest income was flat between the fourth quarter of 2025 ($25.4 million) and that quarter, so we credit no earnings growth from the larger loan book. Loan-book growth is not in the bag: it depends on new lending funded by new borrowing, and the company shrank its book through 2023 and 2024. Base case, about $7.0 per share. Earnings of about $0.78 per share shrink 3% a year for 20 years, then nothing is assumed. The lending machine has run since 2014 through the 2020 shock and the 2022-2023 office downturn, so it keeps earning, but every downturn has cost capital. Book value fell 1.8% in 2025 and about 9% a year on average over 2019 to 2025; 3% sits between. No growth is credited. Bear case, about $3.2 per share. Earnings start at the 2023 low ($0.69 per share after preferred dividends) and shrink 9.2% a year, the average annual decline in book value since 2019, for 10 years and then stop. It is built from evidence in the filings: six foreclosed properties, a new non-accrual loan, a loss allowance of $77.4 million (180 basis points of commitments), and 71.8% of the loan book originated since 2022 that has not been through a full cycle. The borrowing that funds the loans magnifies any loss. Bull case, about $10.4 per share. Earnings return to the 2024 level ($0.99 after preferred dividends) and erode only 1% a year for 20 years. This requires the credit losses to slow to well under the 1.8% book value decline of 2025, which is plausible with only one non-accrual loan today, but it is not assumed in the base case. Growth in the loan book and any decline in interest rates are left out of all cases. What could make this wrong. Upside: the preferred stock becomes callable on June 14, 2026 and could be refinanced; we do not credit it. Downside: repeated write-offs on the foreclosed offices, or losses on the $4.1 billion loan book, would reduce the earning base faster than any case assumes. A single-quarter improvement in 2026 has not moved our earnings level; that takes two or three more quarters. For reference, book value is $11.07 per common share, above even our bull case, because the company earns about 7% of book value on our measure while losing several percent of book value a year to credit costs. The margin-of-safety price is $4.5, 36% below the base case and above the bear case, a wide margin because the business is levered, cyclical and exposed to commercial real estate credit.
