Franklin BSP Realty Trust is a real estate investment trust that mainly lends money on commercial property, chiefly multifamily apartment buildings. At the end of 2025 it held 169 commercial mortgage loans for investment, financed largely with borrowed money (about 84% average leverage in 2025, much of it through securitised loan pools). On July 1, 2025 it acquired NewPoint, an agency multifamily lender and servicer with a $47.8 billion servicing portfolio, adding fee and gain-on-sale income that will be lumpier than interest income. The company is managed by an outside advisor and pays about $27 million a year in preferred dividends ahead of common shareholders. How we measure earnings. We start from operating cash flow, then remove swings in working capital, including the buying and selling of loans held for sale (for example, agency loans acquired with NewPoint), deduct stock compensation and capital spending, and finally deduct the preferred dividends, since those come out before common shareholders. Per share this gives roughly $1.74 in 2023, $1.14 in 2024 and $0.49 in 2025. Earlier years are on a slightly different footing because they predate the 2021 merger that created today's company and 2021 and 2022 were distorted by merger effects, so we do not rely on them. One judgement to note: non-cash credit-loss provisions ($34 million in 2023, $36 million in 2024, a $12 million benefit in 2025) are added back in this method; we reflect the risk of real credit losses in the growth path and the bear case instead of lowering the earnings level. What has changed. Net interest income fell from $186.4 million in 2024 to $138.1 million in 2025 as interest rates dropped and the loan book shrank (average real estate debt fell by $585.6 million). Net income for the first half of 2026 was $27.5 million versus $47.3 million a year earlier. Because the fall in the most recent year (about 57% in per-share owner earnings) is corroborated by both 2026 quarters, we do not use the 2023 to 2025 median of $1.14 as the starting point for the base case. Instead the base case starts near $0.70 per share, which reflects the lower earnings run rate, and grows at 0%: we credit no growth because the loan book is shrinking and nothing contracted or already under way offsets that. Base case, about $6.60 per share. Owner earnings of $0.70 per share held flat for ten years, then fading steadily to zero over the following ten years. The fade reflects that a leveraged lender managed by an outside advisor has no contract or licence that locks in earnings beyond its ability to keep lending; we credit its long lending record and the NewPoint servicing fees as reasons the earnings persist for a long time, but not as reasons for growth. Bear case, about $1.80 per share. Starting at $0.35, falling 10% a year for ten years and then nothing. This is built from disclosed facts: net interest income already fell 26% in 2025, leverage is high, and loans on multifamily properties in Pennsylvania, Texas and Arizona have been moved to non-accrual status (for example a Pennsylvania loan with $21.7 million amortised cost at the end of 2025). If more loans go bad, both earnings and the base of loans that earn interest shrink. Bull case, about $10.70 per share. Owner earnings return to the $1.14 average of 2023 to 2025 (which 2024 actually delivered) and hold for ten years before fading over the next ten. The named lever is the NewPoint business, which produced $37.3 million of gain on sale in the second half of 2025 and $23.1 million of servicing fees, and which the company will carry for a full year in 2026. What could make this wrong. Upside: NewPoint earnings could prove steadier and larger than a half year of results suggest. Downside: credit losses on the bridge-loan book could exceed our bear case. Points we could not fully reconcile: the filing does not cleanly separate the effect of the 8.4 million units issued to NewPoint's sellers from the share count, so per-share figures may be slightly overstated or understated. The margin-of-safety price of $3.30 is roughly half the base case, reflecting high leverage, credit exposure to commercial real estate, falling recent earnings and the outside management structure.
