Ladder Capital is an internally managed, investment-grade-rated real estate investment trust that lends against commercial property. It earns money three ways: senior first-mortgage loans (7.7% average yield at the end of 2025), rent from properties it owns, including net-leased sites, and a growing portfolio of investment-grade securities backed by commercial mortgages. It received investment-grade ratings from Moody's and Fitch in May 2025. How we measure earnings. We use the cash the business generates from operations, remove one-off swings in receivables and payables, subtract stock compensation as a real cost, and subtract the small spending on building improvements. That gives roughly $0.62 per share for 2025 ($77.7 million in total). Over the last five years the figure has ranged from $0.19 (2022) to $0.99 (2023); the middle value is $0.62, which is our starting level. We use the five years since the company converted to a REIT because earlier years, when a large loan-sale business dominated cash flow, describe a different company. Owner earnings fell about 34% in 2025 as loan balances and yields declined (interest income dropped from $358.6 million to $266.9 million). We assume no growth in the near term, in line with that decline. A note on credit costs: the cash-flow statement adds back provisions for loan losses because they are non-cash. Those provisions were $13.9 million in 2024 and roughly zero in 2025, and actual losses are captured in the cases below rather than by lowering the starting level. Base case, about $10.30 per share. Earnings stay at $0.62 per share indefinitely, with no growth credited. The company has run this lending platform through the pandemic and the commercial property downturn of 2022 to 2025 and stayed profitable in every year of the past decade except 2017, which supports treating it as an ongoing earner. We give no credit for growth. The portfolio grew during 2025 (loans up $627 million, securities up about $1.0 billion), but a full-year earnings effect has not yet shown up in results, and the first half of 2026 showed operating cash flow of $31.3 million against $15.3 million a year earlier, offset by high stock compensation, so we did not lift the level. Bear case, about $6.50 per share. Four loans with a combined $129.7 million carrying value (up from $76.9 million a year earlier) were on non-accrual at year-end 2025, including an office loan in Oakland, California and another in Portland, Oregon that already required charge-offs. Total debt was $3.5 billion against $1.48 billion of equity, with $653 million due in 2026 and $715 million in 2027. We assume three years of earnings at the 2022 low of $0.19 per share, then a permanently smaller level of $0.45 per share (the weakest of the other recent years, reduced for equity lost to credit problems and higher refinancing costs), plus a one-time hit of about $0.31 per share if the non-accrual loans lose roughly 30% of value. Bull case, about $15.00 per share. Earnings return to about $0.90 per share, close to the $0.99 and $0.94 the company actually earned in 2023 and 2024, held indefinitely. The named support is that balance-sheet growth in 2025 was already funded and completed, and the company now has investment-grade unsecured borrowing capacity. We do not assume any market recovery. What we did not credit: further balance-sheet growth, market recovery, and lower funding costs, since none of these is secured. Book value was about $11.66 per share at year-end 2025, close to our base value, and dividends paid in 2025 ($117.4 million) exceeded owner earnings, which is a reason not to treat the dividend as permanently safe. What would make this estimate wrong: larger-than-assumed losses on the office and other non-accrual loans, difficulty refinancing the 2026 and 2027 maturities, or a lasting compression in lending spreads. The most recent filing is the 2025 annual report, supplemented by first-half 2026 quarterly figures; the full second-quarter narrative was not reviewed.
