TriMas is now essentially a specialty packaging company. In the first quarter of 2026 it completed the sale of its aerospace fastener business to an affiliate of Tinicum and funds managed by Blackstone for about $1.45 billion in cash. What remains is a Packaging segment (pumps, sprayers, closures, dispensers and flexible spouts for beauty and personal care, food and beverage, home care, industrial and life-sciences customers; $536 million of 2025 sales and $68 million of segment profit) and a much smaller Specialty Products segment, chiefly Norris high-pressure steel cylinders ($110 million of sales and only $4 million of profit in 2025, down from $36 million in 2023). At 30 June 2026 the company held $1.24 billion of cash against $400 million of 4.125% senior notes due April 2029. Earnings record. We measure owner earnings as operating cash flow, stripped of working-capital swings, less stock compensation and the capital spending needed to keep the business as it is. Across 2016-2025 the as-reported group (which still includes the businesses since sold) produced between $1.02 and $2.57 a share, with a median of about $1.35; the last five years ran $1.96, $1.36, $1.13, $1.09 and $1.74. Those totals include Aerospace, which in 2025 earned about $67 million of operating profit, so they overstate what the remaining company earns. We therefore built the continuing business separately from the 2025 segment figures: packaging and cylinder segment profit of about $72 million plus roughly $38 million of depreciation and amortisation, less about $36 million of capital spending, around $20 million of ongoing corporate cost (2025 corporate cost was $31 million but included restructuring, system and environmental items, while the $28 million asbestos credit we exclude), about $11 million of stock compensation and cash tax near 25%. That gives roughly $34 million of cash a year before interest, about $0.95 a share on 36 million shares. Because the cash pile now earns interest and the notes cost interest, we value the operating business before financing and then add the net cash. Growth reconciliation. Owner earnings rose about 59% in 2025 over 2024, but that jump reflects a recovery from heavy inventory and receivables build in 2022-2024 and a strong Aerospace year that has now left; it is not a rate we can project. We start the base case at about 1% a year, below anything recent, because the only growth we treat as in the bag is the modest pricing pass-through the packaging business has shown; acquisition-driven growth is not credited because it depends on deals not yet made. Base case: about $34 million a year growing 1% for ten years and holding thereafter, worth roughly $613 million. Packaging margins stay near 2025 levels, cylinders stay weak, and the announced corporate cost savings deliver roughly what restructuring has already removed. Net cash: $1,242 million less about $50 million kept for operations, the $400 million of notes (reduced by about $21 million because their 4.125% coupon runs below market until 2029), roughly $175 million of remaining tax on the sale (management estimated about $200 million in total) and $1 million of finance leases, leaving about $638 million. Business $613 million plus $638 million of net cash gives about $1.25 billion, or $34.54 a share. Bear case: the packaging customers in beauty and personal care destock again as they did in 2023-2024, when owner earnings fell to about $1.09 a share and continuing operations lost money, and the cylinder business has a downturn like 2024. Business cash flow falls to about $10 million a year for two years, recovers to $20 million in year three and settles at $26 million, below our base level, because acquired customer relationships (about $17 million a year of amortisation) slowly wear away. That is worth about $399 million. We also charge $125 million for capital that is redeployed into acquisitions that earn nothing on it, consistent with the record: over ten years the company spent about $475 million on acquisitions and took repeated goodwill write-downs ($74 million in 2015, $60 million in 2016, $127 million in 2020). Add a $35 million shortfall on the asbestos liability, where reserves of $35.5 million rest partly on an insurance recovery that only began paying in 2025. Net cash in this case is about $478 million, for a total of $24.21 a share. Even here the business comfortably covers the roughly $16.5 million a year of note interest from its cash pile. Bull case: the cost programme lands, packaging margins hold at the upper end of recent years, the cylinder business returns toward its 2023 profit, and cash flow reaches about $44 million a year, growing 2.5% for a decade on demonstrated price increases. That business is worth about $892 million; with $638 million of net cash, $42.24 a share. What could make the estimate wrong. More than half of every case is cash. The 10-K states plainly that management intends to use a portion of the proceeds for acquisitions through a newly formed Strategic Investment Committee, and that the indenture restricts how sale proceeds may be used. A large, expensive acquisition could convert that cash into a business earning far less, while a large buyback or special distribution would make the cash value concrete. Second, the operating business's own cash conversion has been poor: between 2022 and 2024 working capital absorbed close to $100 million, and continuing operations' reported profit barely covered corporate costs in 2024. Third, the cylinder business has proved highly cyclical. Two judgements matter here: we excluded the 2025 asbestos insurance credit and the 2025 deferred-tax benefit as non-recurring, and we treated acquired intangible amortisation as a real, slowly wasting cost in the bear case rather than adjusting the earnings level. Margin-of-safety price. We are reasonably sure of the cash and the notes; we are only moderately sure of the operating earnings, because the remaining company has never reported a standalone cash flow statement and our $34 million estimate is built from segment data. The worst plausible outcome is not insolvency, since the cash far exceeds the debt, but a costly acquisition that spends much of the cash at a poor return while the core business slips back to its 2024 level; the shares would then be worth something in the low $20s. If we are wrong about the earnings level and the use of cash at the same time, value falls toward the $17-18 a share of net cash plus a small value for the business. The company pays only about $0.16 a share in dividends, so little is paid out while waiting, and the price assumes value is recognised within roughly two to three years. The margin-of-safety price is $18.50, about what the net cash is worth per share, with a business that earns roughly $1 a share attached; from that price, reaching the base case within three years implies well over 20% a year, and the bear case implies a gain. Above that price, the return depends on capital-allocation decisions that have not yet been made.

Sales geography
United States (Midwest, South, Northeast, West), Europe (Netherlands, Germany, Italy, United Kingdom), Mexico, India, China, Canada
Historical growth strategy
Serial bolt-on acquisitions of niche packaging and industrial manufacturers (Aarts Packaging, Omega, Rapak, Intertech, etc.) funded from operating cash and the revolver, combined with periodic portfolio pruning (Arrow Engine 2025, Aerospace 2026) and share repurchases; organic growth has been modest.
Chart analysis
A chartist would see a long sideways range: the shares spent most of 2018-2025 oscillating between the mid-$20s and high-$30s with no durable uptrend, punctuated by sharp sell-offs in 2020 and the 2024 trough. The November 2025 announcement of the Aerospace sale produced a gap higher on heavy volume, and the stock has since consolidated near the upper end of its multi-year range; a sustained break above that ceiling would be read as a breakout, while a fall back into the range would mark the deal-driven move as a failed breakout.
