Crown Holdings makes metal beverage cans and industrial packaging - steel and aluminum cans sold across the Americas, Europe and Asia Pacific, plus a global industrial strapping and protective-packaging business (Transit Packaging, built around the 2018 Signode acquisition). In 2021 the company also exited its European food/tinplate-can business, so today's Crown is a narrower, more beverage-and-industrial-focused company than it was five years ago. Owner earnings - the cash the business throws off after covering the reinvestment needed to keep running, before growth spending - have swung with the packaging industry's post-pandemic cycle. Companies including Crown built up inventory heavily in 2021-2022 amid supply-shortage worries, then spent 2023 working that inventory back down. On a per-share basis, that shows up as owner earnings ranging from about $3.25 in the 2023 trough to roughly $9.70 in 2025, when a large favorable swing in working capital and the completion of a multi-year capacity-expansion program (annual capital spending fell from roughly $800-840 million in 2021-2023 to about $400-410 million in 2024-2025) both flattered the number. Rather than anchor on the most recent, best year, we used the median of the last five years - about $4.78 per share - as the normalized starting point, since a single strong year is exactly the kind of print that can mislead a valuation. From that base, the case for growth rests on two concrete, currently visible levers. First, Crown has repurchased stock consistently for years - shares outstanding are down about 17% since 2016, including $505 million bought back in 2025 alone. Second, the company has disclosed $224 million of new capital commitments, mostly tied to expanding Americas Beverage can capacity, with total 2026 capital spending guided up to about $550 million. We built the growth path on those two levers rather than on any general expectation that the market recovers or margins expand, which we have no company-specific evidence for. Base case (about $109/share): mid-single-digit annual growth in per-share owner earnings for the first few years as the new capacity comes online and buybacks continue, tapering to a low-single-digit rate further out. Bull case (about $170/share): the capacity investment and buyback pace both execute at the strong end. Bear case (about $50/share): a repeat of the kind of destocking trough Crown actually lived through in 2023 - real evidence, not a hypothetical - combined with a pause in buybacks to protect the balance sheet during a downturn. We specifically checked whether Crown's leverage would justify a harsher scenario: net debt was about 2.4 times cash flow at the end of 2025 and interest expense has been falling, and the company remains comfortably inside its debt covenants. That's a moderate, improving position, not a distress signal, so the bear case reflects a cyclical earnings dip with reduced capital return rather than a leverage crisis. One accounting note: a meaningful part of Crown's reported depreciation and amortization is amortization of intangible assets from the 2018 Signode acquisition ($148 million in 2025), not spending on physical plant. We add that back in computing owner earnings, as is standard, but the growth assumptions above deliberately don't assume this acquired intangible value keeps compounding forever - the growth case rests on the newer, more concrete capacity and buyback evidence instead. Crown also carries a long-running legacy asbestos liability from a business it acquired decades ago, costing roughly $19-21 million a year in claim payments. This is known, disclosed and currently modest, and we've treated it as an ordinary part of cash flow rather than a one-time item. The margin-of-safety price of $70 per share sits meaningfully below our base-case estimate while still remaining above where the bear case lands. The margin of safety reflects real, demonstrated cyclicality in this business (the 2021-2023 inventory swing) plus its leveraged balance sheet, even though that leverage is not currently a distress risk.
