Business condition attached to the margin of safety The continuing business (without the wiring-harness unit) shows two consecutive quarters of operating cash flow roughly in line with its net income.
What the company is. Aptiv supplies vehicle makers with the electrical and electronic content of a car: safety and driver-assistance electronics, infotainment and software (Advanced Safety and User Experience), connectors, sensors and power components (Engineered Components Group), and, until this year, the wiring harnesses of the Electrical Distribution Systems unit. Its own filings show no fixed long-term supply agreements; revenue comes from purchase orders tied to vehicle programs, so we cannot count future sales as locked in. A big change we have adjusted for. Aptiv planned to spin off the Electrical Distribution Systems unit into a separate company, Versigent, by April 1, 2026, and its second-quarter 2026 quarterly report now shows that unit as a discontinued operation. That unit was about 43% of 2025 sales (about $8.8 billion of $20.4 billion) but a lower-margin business: its adjusted segment operating income was $674 million against $1,787 million for the other two segments. Shareholders own the remaining Aptiv, so we value what is left. We could not read the second-quarter filing text, only its reported figures, so the split of past cash flow between the two pieces is our estimate. Earnings power. We measure what an owner could take out each year: operating cash flow, minus the swings from receivables, inventory and payables, minus stock compensation (a real cost), minus the part of capital spending needed just to stand still. On that basis the whole company earned about $614 million in the 2020 downturn, $821 million to $1,123 million in 2021 and 2022 during the chip shortage, and $1,335 million, $1,435 million and $1,614 million in 2023 to 2025. We take the middle of 2020 to 2025, which spans both a downturn and the recovery, at about $1,230 million. Roughly 68% of that belongs to the continuing business (in the first half of 2025 the continuing operations produced $531 million of the company's $783 million operating cash flow, and the segment profit less capital spending gives about 71%), leaving about $830 million a year, or about $3.90 per share on the 212 million diluted shares of mid-2026. The $2025 per-share jump in the historical series comes partly from buybacks that cut the share count from 283 million in 2023 to 221 million in 2025. Growth. Last year the whole company's owner earnings grew about 12.5%; our base case assumes 0% in year one and beyond. Nothing we can name puts growth in the bag: there are no long-term supply contracts, the company's revenue growth over recent years came partly from acquisitions, and margin recovery is not something we credit. Buybacks are not credited either. Domestic Chinese automakers are also taking share in China, where Aptiv gets part of its Asia Pacific sales. Base case: about $52 per share. Earnings hold at about $830 million for ten years, then fade by about 3% a year as today's vehicle programs and technology generations are replaced. The record that supports keeping value beyond ten years is eight straight years of positive owner earnings, including the 2020 shock, across a customer base that includes the 25 largest automakers. Discounted at 6%. Bear case: about $28 per share. Earnings stay near $480 million, close to what the business earned in weak years (2020 and 2022 scaled to the continuing business), and fade 4% a year after year ten. The company carried $7.55 billion of debt at the end of 2025, and Aptiv is the party that kept most of it; leverage makes a weak stretch more damaging. Also, the first-half 2026 operating cash flow of continuing operations was only $82 million versus $531 million a year earlier, which we could not explain from the available figures. Bull case: about $70 per share. Earnings stay near $1,050 million, close to the 2024 and 2025 level scaled to the continuing business, for ten years, then fade about 2% a year. Accounting judgements. Goodwill impairment of $648 million in 2025 and amortization of acquired intangibles are non-cash and are not deducted; because acquired intangibles wear out, we do not let earnings grow in any case. The $178 million of separation costs in 2025 reduced cash flow and are left in. No cash or debt is added or subtracted; debt is reflected only in the bear case. What would make this wrong. If the continuing business earns closer to the whole-company results of 2024 and 2025 without the wiring unit's drag, value would be higher; if the first-half 2026 cash-flow shortfall proves permanent rather than tied to the separation, the bear case is closer to the base. The estimate of the continuing business's share of past earnings is approximate, which is the largest unreconciled item.
