BorgWarner makes powertrain components for light and commercial vehicles in four segments. Turbos & Thermal Technologies ($5.77 billion of 2025 sales, 15.2% segment margin) and Drivetrain & Morse Systems ($5.65 billion, 18.4%) supply turbochargers, emissions and thermal systems, timing systems, transfer cases and transmission components for combustion and hybrid vehicles; these two segments produce essentially all of the profit. PowerDrive Systems ($2.35 billion, a 3.5% segment loss) makes electric motors and inverters, and Battery & Charging Systems ($590 million, a 6.6% loss) makes battery packs; in 2025 the company exited its charging business. Volkswagen and Ford were about 13% and 12% of 2025 sales. Sales are spread across China, the United States, Mexico, Germany, Poland, South Korea and Hungary. The fuel-systems and aftermarket business was spun off as PHINIA in 2023, and the 2020 Delphi Technologies acquisition reshaped the company, so we measure the business only from 2021 onward, on continuing-operations figures as restated. How we measure earnings. We start from cash from operations, remove working-capital swings, subtract stock compensation as a real cost, and subtract the capital spending needed to keep the business where it is (a small portion of capex in growth years is treated as growth investment). On that basis owner earnings per share were $3.47 (2021), $2.89 (2022), $2.87 (2023), $3.81 (2024) and $5.35 (2025). Goodwill write-downs of $577 million in 2024 and $423 million in 2025, both in the electric-vehicle units and both attributed by the company to slower electric-vehicle adoption, are non-cash and do not reduce these figures; the money was already spent, and we carry the lesson in the cases rather than double-counting it. Intangible amortization is only about $66 million a year, so wasting acquired intangibles are not a large factor here. 2025 was helped by capital spending falling to $469 million (3.3% of sales) from $832 million in 2023, which the 10-K attributes to lower eProduct investment, and by lower pension contributions. Because we cannot yet tell how much of that capex reduction is permanent, we anchor on the 2021-2025 median rather than the 2025 peak. Adding back cash interest (about $133 million a year) to value the business before its lenders, that median is about $3.99 per share, or roughly $824 million a year. Owner earnings grew about 40% in 2025; our base case assumes no growth in year one, well below that trailing rate. First-half 2026 results (operating cash flow $738 million versus $661 million a year earlier, sales flat at $7.18 billion) are consistent with that level holding. Base case. Business cash flow stays at about $824 million a year for ten years, with no growth credited: industry production was roughly flat in 2025, eProduct growth has so far come with segment losses, and none of it is contracted in a way the filings let us count. After year ten the combustion and hybrid content that earns the profits fades about 3% a year through year 30, because the company's own disclosures describe a shift of vehicle content toward electric propulsion where its businesses are still unprofitable. The business is worth about $10.18 billion; after subtracting about $717 million for outside owners' share of partly owned subsidiaries and net debt of about $2.01 billion, the shares are worth about $36.13. Bear case. Combustion content erodes 3% a year from the start, restructuring continues at about $100 million a year for three years (2025 restructuring expense was $101 million), and in years three and four a vehicle-production downturn cuts business cash flow by about a third, the same depth as the 2020 shutdown when this measure fell from $3.41 to $2.24 per share. After year ten, the remaining earnings fall 8% a year and the story ends at year 20, assuming the electric-vehicle units never earn a profit. Even at the trough, business cash flow of about $396 million covers the interest bill roughly three times. The business is worth about $6.23 billion; less about $439 million for outside owners and $2.01 billion of net debt, the shares are worth about $18.33. Bull case. PowerDrive Systems continues the improvement it showed in 2025 (its segment loss narrowed by $61 million on 21% higher sales) and capital spending stays near the lower 2025 level, holding business cash flow at about $1.15 billion a year for ten years, still below the roughly $1.29 billion of 2025, and then fading 2% a year through year 35. The business is worth about $15.22 billion; less about $1.07 billion for outside owners and $2.01 billion of net debt, the shares are worth about $58.84. Debt. At December 31, 2025 the company had $3.90 billion of debt and $2.31 billion of cash; we treat $800 million of cash as needed to run the business. Most of the debt carries low fixed coupons (a $1.1 billion 2.65% note due July 2027, a euro 1.0% note due May 2031, and notes at 4.95%, 5.40% and 4.375% due 2029, 2034 and 2045), which we estimate is worth about $373 million to owners compared with borrowing at long-bond rates; that reduces the debt figure. The July 2027 maturity is the largest near-term refinancing and is likely to reprice higher, which our estimate already accounts for. Margin-of-safety price. We are moderately confident in the earnings level: five years of post-transformation results range from $2.87 to $5.35 per share and the median sits in the middle. The worst plausible outcome is a faster-than-expected decline in combustion and hybrid volumes while the electric-vehicle units continue to lose money, possibly combined with a production downturn or a loss of business at Volkswagen or Ford. The structure would survive it: debt is modest relative to cash flow, maturities are staggered, and the bear case still covers interest comfortably, but shareholders would be left with a business worth roughly $18 a share. The things we are most likely to be wrong about are how fast combustion content fades and whether the 2025 capex level is sustainable; if the fade starts now and capex returns to 2023 levels, value falls toward the bear case. While waiting, the business pays a dividend of $0.68 a year ($0.17 quarterly in 2026) and has been reducing its share count, which fell from 239.5 million diluted shares in 2021 to about 206 million in mid-2026. We set the margin-of-safety price at $19. The price assumes a five-year holding period; counting the cash the business earns for its owners, from $19 the base case implies roughly 24% a year and the bear case roughly 5% a year. Previous figures from our earlier analysis were prepared on a different basis and are not comparable.

Historical growth strategy
Grows by adding engineered powertrain content per vehicle through new customer program wins, supplemented by large acquisitions (Remy in 2015, Delphi Technologies in 2020) and portfolio reshaping through divestitures and spin-offs (PHINIA in 2023, exit of the charging business in 2025), while returning cash through dividends and share repurchases.
