SONIDA SENIOR LIVING, INC. (SNDA) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$5.50 Updated
-$1.75 $22.50
bear -$1.75 base $10.95 bull $22.50 margin of safety $5.50 market price* $35.29
Business condition attached to the margin of safety At least two consecutive quarters of positive combined owner earnings (operating cash flow after working-capital swings, stock-based pay, and real maintenance spending), plus stable or improving occupancy at the newly acquired CNL Healthcare Properties communities.
Sonida Senior Living owns, operates and manages independent living, assisted living and memory care communities for older adults across the United States. Over the past several years the company worked through a period of severe financial strain coming out of the pandemic, then shifted its strategy toward buying senior housing communities outright rather than just managing them for others. That shift accelerated sharply in 2024 with a large stock offering used to fund acquisitions, and then, in March 2026, the company took a much bigger step: a merger with CNL Healthcare Properties that more than doubled the number of communities it owns, adding 69 properties (including 15 under long-term, contracted triple-net leases running to 2030, where the tenant rather than Sonida pays for upkeep) and roughly $945 million of new borrowing to fund the deal. Looking at the years before this merger, the underlying cash economics of the business were consistently weak. After properly accounting for stock-based compensation, working-capital swings, and the real capital spending needed to maintain its buildings, owner earnings were negative in every year from 2022 through 2025 - improving from roughly negative $5.50 per share in 2022 to roughly negative $1.60 per share in 2025 as occupancy and same-store rents recovered, but never turning positive. We treated essentially all of the company's routine capital spending as necessary upkeep rather than discretionary growth spending, because growth in this business happens through separate, whole-community acquisitions rather than expansion spending on existing buildings. The CHP merger changes the picture substantially, but it also makes the near future harder to see clearly, because it closed only a few months before this analysis and the company has not yet reported a full year of combined results. Our base case assumes results stay under pressure for the first two to three years - the new debt's interest cost lands immediately, while integrating the newly acquired, currently third-party-managed communities takes time - before the company works through the transition, captures cost savings, and lets the contracted long-term leases and improving occupancy carry it to a sustainably profitable level within five to ten years. Our bear case assumes the integration goes poorly: occupancy at the newly acquired communities disappoints, borrowing costs stay elevated on debt that is largely tied to floating interest rates, and the company's already thin equity cushion (book equity of only about $5 million against roughly $845 million of assets at the end of 2025, before the new debt was added) comes under real strain. In that case, our math says the business could be worth less than what it owes - by roughly $1 to $2 per share - which is why our bear-case number is negative. Our bull case assumes the newly acquired communities are successfully brought under Sonida's own operating platform, occupancy across the combined portfolio climbs toward the high 80s or low 90s percent, and free cash flow plus selective sales of non-core properties pay down debt faster than assumed. A meaningful share of the estimated value in both our base and bull cases comes from what we expect the business to be earning a decade from now, once the merger has been fully digested - more than two-thirds of the value in each of those cases rests on that long-run assumption rather than on the next ten years of cash flow. That means the value of the shares depends heavily on the integration succeeding as described. Given how differently the bear and base cases turn out, the margin-of-safety price carries a large discount to our base-case estimate, and it applies only once there is early, tangible evidence that the integration is on track. We were not able to reconstruct the newly combined company's earnings power precisely from the filings, since a combined pro forma financial statement for the enlarged company has not yet been disclosed; our estimates of the acquired portfolio's contribution and of the added interest cost are informed judgments grounded in the disclosed size and financing of the transaction, not figures taken directly from a reported income statement.

Maintenance capex = full reported capex $33,284K ($38,188K of community acquisitions this year booked as a separate, excluded investing line). OE = 24,364 - 14,820 - 5,049 - 33,284 = $(28,789)K. The CFO improvement over 2024 was driven mainly by a ~$22M favorable working-capital swing that this formula removes; true owner earnings actually worsened slightly year over year as maintenance capex rose with the larger owned portfolio. Diluted shares = 18,087K. OE/sh = $(1.59). Subsequent to this fiscal year, on March 11, 2026 the Company completed a transformational merger with CNL Healthcare Properties (the 'CHP Merger'), more than doubling owned units to ~14,700 and adding ~$945M of new debt; FY2022-2025 figures pre-date this transformation and describe the pre-merger business.

OE = (1,782) - (7,219) - 4,369 - 25,170 = $(24,102)K. Diluted shares = 14,109K, up sharply due to a ~$190.5M common stock offering during 2024 funding community acquisitions and debt paydown. OE = CFO - working-capital movement - SBC - maintenance capex, sourced from the audited FY2023 10-K comparative cash flow statement (accession 0001628280-24-013376), verified line-by-line against XBRL. CFO=$(2,578)K. Reconciliation (exact, 0% gap): NI $(54,401)K + D&A $38,448K + amort. deferred loan costs $1,281K + loss/(gain) on derivative $(19)K + write-off of other assets $535K + loss on sale of assets $43K + long-lived asset impairment $1,588K + casualty impairment $1,100K + (gain)/loss on debt extinguishment $641K + provision for bad debt $1,159K + SBC $4,327K + other non-cash $(498)K + working-capital change $3,218K [AR $(2,354)K, prepaid/other $8,303K, other assets $(141)K, AP&accrued $(2,245)K, taxes $(601)K, deferred income $257K, customer deposits $(1)K] = CFO $(2,578)K exactly. Judgment call: because portfolio growth occurs via a separate 'Acquisition of new communities' investing-activity line (excluded from owner earnings), the entire reported 'Capital expenditures' line ($24,562K) is treated as maintenance capex (no growth-capex netting). OE = -2,578 - 3,218 - 4,327 - 24,562 = $(34,685)K. Diluted shares (XBRL WeightedAverageNumberOfDilutedSharesOutstanding) = 6,359K. OE/sh = $(5.46). This period reflects the company pre-2024 equity raise and pre-2026 CHP merger; describes a smaller, differently-financed business.
