Welltower owns more than 2,500 senior housing and wellness communities, outpatient medical buildings and net-leased healthcare properties in the United States, the United Kingdom and Canada. In 2025, senior housing that Welltower operates through managers such as Cogir, Care UK and Sunrise produced 57% of property income (45% in 2023), net-leased properties 29% and outpatient medical buildings 14%. The United Kingdom was 15% of property income, Texas 11%, California 10% and Canada 7%; the largest operator relationship is 8%. Resident agreements in operated senior housing can generally be cancelled by the resident on 30 days' notice, so that income moves with occupancy and pricing; 96.9% of the net-leased properties sit under master leases. What we measure. We value the cash the properties generate before interest, after the spending needed to keep existing buildings competitive, after share-based pay, and with year-to-year swings in receivables and payables removed; then we subtract what Welltower owes. Per diluted share, that cash after interest was $3.95 in 2016, $2.25 in 2022, $2.40 in 2024 and $3.19 in 2025. The 2025 figure sets aside one item: Welltower recorded $1.41 billion of expense for ten-year LTIP units granted to executives and key employees (total reported share-based pay was $1.56 billion; with it, 2025 shows $1.11 a share). The form of executive letter filed with the 10-K cuts base salary to $110,000 for 2026-2035 with no new equity awards or short-term incentive participation during that term, so we treat the charge as a one-time cost covering the decade, and still charge about $0.09 a share a year (roughly $65 million, our estimate) against the $269.5 million of expense the company says remains to be recognized through 2035. The share count roughly doubled, from 349 million weighted diluted shares in 2015 to 680 million in 2025; Welltower acquired $13.9 billion of properties in 2025 alone, including UK care-home portfolios from Barchester and HC-One, and has an at-the-market stock program with $5.78 billion of capacity left at year-end. Starting level. We start from $3.62 a share of cash before interest: the average of 2024 ($3.37) and 2025 ($4.04, one-time award set aside), less the $0.09 above. We use 2024-2025 because 2022-2023 predate the 2025 same-store gains and the large 2024-2025 acquisitions ($3.5 billion in 2024, $13.9 billion in 2025). Same-store income rose 15.1% in 2025: senior housing operations +21.0%, net-leased +2.8%, outpatient medical +2.5%. The first quarter of 2026 does not yet show a further per-share step-up: operating cash flow was $670.0 million against $599.0 million a year earlier (+11.9%) while the diluted share count rose 11.1% (726.3 million against 653.8 million), leaving $0.92 a share in both quarters. Growth check: cash per share before interest grew 19.7% in 2025 ($3.37 to $4.04); the base case assumes 1% in year one, below that, consistent with the flat first quarter. Base case, about $56 a share. Cash before interest grows 1% in year one and 3% a year in years two through ten, reaching $4.77 a share, then stays flat. The 3% is close to the 2.5%-2.8% the net-leased and medical properties delivered in 2025 and far below the 15.1% same-store growth of 2025 overall. Left out: further occupancy and rate gains, acquisitions and development (per-share cash earnings fell from $3.95 in 2016 to $2.27 in 2023 while the company grew, so the record does not show that growth reaching shareholders), the C$4.6 billion purchase of 38 Amica communities announced in March 2025 and expected to close in early 2026 (neither its cost nor its earnings are included; we do not know from the 10-K whether it has closed), and any savings from the executive pay change. Business worth $74.74 a share, owes $18.27, leaving $56.47. Bear case, about $29 a share. Named episode: the 2020-2022 senior housing downturn. Welltower's own cash before interest fell from $4.65 a share in 2019 to $3.39 in 2022, down 27%, and in 2025 ($4.04) was still below the 2019 level. The bear case holds $3.62 for two years, falls 27% over the next three to $2.64, holds two more years, then grows 2% a year to $2.80 by year ten with no growth after. Senior housing operations are now 57% of property income against 45% in 2023, so a decline could be deeper than the 27% in Welltower's record; we did not scale it beyond that record. At the $2.64 trough the business would produce about $1.9 billion a year against roughly $0.7 billion of interest (our estimate: 3.97% on $17.9 billion of debt), about 2.7 times. The roughly $7.2 billion of debt maturing 2028-2030 is given no credit for today's low rates in this case. Business worth $48.23, owes $18.87, leaving $29.36. Bull case, about $76 a share. From the 2025 level ($3.95 after the executive program cost), senior housing same-store income grows about 8% a year for three years (against 21% in 2025) while net-leased and medical grow about 2.8%, roughly 6.5% overall at their 2025 weights (senior housing was 71% of same-store income); then 3.5% a year to year ten, reaching $6.07, then flat. Business worth $93.95, owes $18.27, leaving $75.68. What Welltower owes. At March 31, 2026: debt of $17.9 billion less cash of $4.7 billion ($13.2 billion net), finance leases of $0.52 billion, and $1.2 billion for outside owners' interests in partly owned entities ($939 million at March 31 plus $263 million of redeemable interests at December 31, 2025), $14.95 billion in all. Operating lease rent ($1.5 billion of liabilities) is already paid from operating cash flow and is not subtracted again. Because the notes and secured debt carry weighted rates of about 3.95% and 4.06% (note rates range from 2.05% to 6.50%), we reduce the debt figure by the present value of that interest saving relative to a market-level cost: $1.68 billion in the base and bull cases, $1.25 billion in the bear case. Per-share figures use 726.3 million diluted shares. At year-end 2025 the credit facility was undrawn, notes and secured debt totaled $19.2 billion, and principal maturities were $2.95 billion in 2026, $2.26 billion in 2027, $2.73 billion in 2028, $2.58 billion in 2029, $1.91 billion in 2030 and $6.92 billion after; cash of $4.7 billion at March 31, 2026 exceeds the $2.95 billion that was due in 2026. The debt agreements contain financial-ratio and minimum net worth covenants (certain note indentures require interest coverage of at least 150%); the company reported compliance in all material respects at December 31, 2025, and none of its debt agreements accelerate on a ratings change, though the primary credit facility's pricing depends on the ratings. Operating cash flow before interest was about 6.0 times cash interest paid in 2025 and 3.5 times in 2023. Testing the case. We challenged two judgments with specific figures. Removing receivable and payable swings adds $281 million to 2025 and $42 million to 2024; if those were real costs rather than timing, the base case falls to about $51. We treat only part of capital improvements as upkeep, the rest tied to revenue growth; if all 2024 and 2025 capital improvements ($858 million and $1.05 billion) were upkeep, the base case would be about $52. If both went against us, the three cases would be about $23, $47 and $59. Margin-of-safety price. Confidence in the earnings level is moderate: cash earnings per share are below their 2016 level, the last two years are strong, and one quarter of 2026 shows no further per-share gain. The worst plausible outcome is a repeat of the 2020-2022 senior housing downturn, with operated senior housing now 57% of property income, UK care homes at 15%, and about $7.2 billion of debt maturing 2028-2030; outcomes no case models include a large acquisition (the C$4.6 billion Amica purchase) or continued stock issuance at poor prices. The structure should absorb the modeled downturn: no operator relationship is above 8% of property income, net real property is $53.4 billion, the credit facility was undrawn at year-end, and bear-case trough cash flow is about 2.7 times estimated interest. If we are wrong on the two judgments above, the base falls to about $47. The price assumes a three-to-five-year holding period, over which the business pays dividends: dividends were $2.82 a share in 2025, and the quarterly rate rose to $0.74 in the first quarter of 2026 from $0.67 (about $2.96 a year, above the roughly $2.70 a share of cash earnings after interest we normalize to, the average of 2024 and 2025 less the executive program cost). At $32, if the current dividend is paid each year and the shares are worth what our base case implies in five years (about $60), the base case implies about 21% a year; if they are worth only what the bear case implies (about $27) with the same dividend, about 7% a year. At $34 the base case would imply about 19%. Our earlier estimates (about $10, $45 and $91) were built on a different basis and are not comparable. Not reconciled from the filings: the Amica transaction's status after the 10-K; the first-quarter 2026 debt detail beyond headline totals (we assumed the $1.27 billion fall in principal came from 2026 maturities); and the differing dates of the noncontrolling-interest figures.

NON-RECURRING ITEM: SBC includes $1,408.7M recognized in 2025 for LTIP units granted under the Ten Year Program to executives and key employees (FY2025 10-K stock compensation note); the form of executive letter (Exhibit 10.30) cuts base salary to $110,000 for 2026-2035 and provides no new equity awards or short-term incentive participation during that term, so this is treated as a one-time charge.
