CareTrust REIT owns 407 skilled nursing facilities, senior housing communities and related properties (37,628 beds and units) in 32 U.S. states and the United Kingdom, and leases them to independent operators on triple-net terms, meaning the tenant pays property taxes, insurance and maintenance. Its largest tenant relationship is The Ensign Group (18% of 2025 revenue, down from 26% in 2024 as the portfolio grew). California was 21% of rental revenue in 2025 and the U.K. 12%, following the 2025 acquisition of Care REIT plc and its care homes. It also holds about $899 million of preferred equity and real estate loans plus a $92 million financing receivable, and began a senior housing operating platform with its first acquisition in December 2025. How we measure earnings: owner earnings are operating cash flow, less working-capital swings, less stock compensation, less maintenance capital spending. Because tenants pay for upkeep, capital spending is small ($15 million in 2025 against $476 million of revenue), and most of it is treated as maintenance. On that basis, owner earnings per diluted share were $1.23 in 2017, $1.29 in 2019, $1.36 in 2020, $1.40 in 2021, $1.29 in 2023, $1.38 in 2024 and $1.70 in 2025. Per-share growth has been modest over the long run (about 4% a year) even though the company more than quadrupled in revenue, because growth was largely funded by issuing new shares. That is why we do not credit acquisitions as future growth: the per-share benefit depends on prices at which shares can be issued, which is not something already secured. Starting level: we use about $1.80 per share. The 2025 figure of $1.70 is the first full year of the larger business, and the first half of 2026 (about $0.94 per share for six months, against roughly $0.83 in the same period of 2025) supports a level near $1.80 to $1.90 on the shares now outstanding (about 236 million). We did not use a longer median, because earlier years describe a business a fraction of today's size. Actual owner-earnings growth in 2025 was about 24%, driven by acquisitions; we assume far less going forward (2% in year one) because only contractual growth is counted. What is counted as growth: yearly rent escalators written into the leases. Ensign leases escalate each June by the lesser of inflation or 2.5%; the PMG lease (15-year term from December 2016, with two five-year renewal options) by the lesser of inflation or 3.0%; the U.K. leases are linked to the Retail Price Index. Escalators never go below zero. Not counted: further acquisitions, new senior-housing operating results, loan-book growth and margin changes, since none is contracted or funded from the company's own cash. Base case (about $35 per share): owner earnings start at $1.80 and grow 2% a year for ten years from escalators, then stay flat at that level, since the properties stay leased under long terms with renewal options and tenants bear upkeep, but nothing we can evidence adds growth beyond that. Bear case (about $24): the loan and preferred-equity book, which contributes a meaningful share of income, is repaid and the proceeds earn little, cutting the starting level to about $1.45. Inflation stays low so escalators average 1%, and a large master lease renews at a rent about 15% lower once the ten-year period ends. The concentration in California (21%) and one operator's credit (Ensign, 18%) are the named exposures. Bull case (about $38): the 2025 acquisitions run at the level the first half of 2026 already shows ($1.90), and escalators run at their caps (2.5%) for ten years, then flat. What we could not fully reconcile: capital spending in some early years was tagged inconsistently, and a few working-capital lines are not separately tagged, so small working-capital movements may sit inside cash flow. Debt (about $1.2 billion at June 2026) is modest relative to earnings and is reflected in cash flow through interest paid, so no separate deduction is made. What would make our view wrong: a tenant failing to pay or a master lease being cut at renewal, loan defaults, or a weaker pound. The margin-of-safety price is about $22, well below the bear case, given the operator concentration and the fact that growth has been financed by issuing shares.
