Business condition attached to the margin of safety Full-year 2026 annual results show a second straight year of positive owner earnings: operating cash flow, after removing working-capital swings, is more than stock compensation plus all capital spending. Weighted average occupancy must also keep rising from 2025's 80.9%.
Brookdale Senior Living runs the largest group of senior living communities in the United States. At the end of 2025 it ran 584 communities in 41 states with room for about 51,000 residents. It owned 370 of them, leased 178 and managed 36 for other owners. Residents pay monthly fees for independent living, assisted living, memory care and continuing-care communities. Texas, Florida, California, Colorado and North Carolina are its largest states. The business depends on three things: how full the buildings are, the monthly rate each resident pays, and the cost of the staff who provide care. Two heavy fixed costs sit on top of that: about $4.3 billion of debt, which took about $238 million of cash interest in 2025, and rent on its leased buildings. We value the business on the cash it generates for its owners. We start from operating cash flow and remove working-capital timing swings, the cost of stock pay and the capital spending needed to keep the buildings competitive. Brookdale's buildings average about 28 years old, so almost all of its roughly $200 million of yearly capital spending is upkeep, not growth. Some of that spending is repaid by landlords, and we count those repayments. On this measure the record is poor. Owner earnings were negative every year from 2018 to 2024, with a low of about -$1.13 per share in 2021. They turned positive in 2025 at about $0.13 per share, roughly $30 million. The company says the improvement came mainly from higher resident fees and $34.8 million less cash rent. It sold its home health and hospice business in 2021, and it reshaped its portfolio heavily in 2024 and 2025, so older years describe a different company. We treat 2024-2025 as the starting point, which puts the normal level near zero, about -$0.02 per share. What value there is comes from the path of improvement, and that path has evidence behind it. The evidence for improvement is specific. In 2025 Brookdale bought 41 communities it had been leasing: 11 from a Welltower joint venture, 25 from Diversified Healthcare Trust and 5 from Welltower. That removed about $46 million a year of rent, partly offset by new mortgage interest. It left 58 leased communities, including 55 under the Ventas master lease that ended from September 2025. It kept 65 Ventas communities on a lease running to 2035 at $64 million a year of minimum rent. It also sold 12 owned communities. Average occupancy rose from 78.6% in 2024 to 80.9% in 2025, reaching 82.2% in December, and same-community rates rose 2.3%. In the first half of 2026, owner earnings on our measure were about $31 million, against about $8.5 million a year earlier, even though revenue fell about 9% because of the exited communities. That half-year figure is approximate, because one working-capital line was not available for the period. Base case, $6.76 per share. Owner earnings reach about $55 million in 2026. That is a $25 million gain, less than 2025's $69 million improvement, because the company expects 2026 capital spending of $175-195 million after landlord repayments, up from $171 million. Occupancy then rises about one point a year to around 85.5% by 2029. That is below the 85-87% Brookdale reached in 2015-2017. In 2025, 2.1 points of same-community occupancy gain were worth about $16 million of owner earnings per point once lower rent is set aside, and we use that figure. Owner earnings settle near $103 million a year and hold there. We assume rate increases keep pace with wage costs and 3% rent escalators, as they did in 2025. We carry that level beyond ten years because the company owns most of its buildings and the upkeep spending is already deducted. Everything is discounted at 6%. Bull case, $9.28 per share. Occupancy returns to about 87%, the 2015 level. Interest falls after the planned 2026 sale of 29 owned communities for about $200 million. Owner earnings reach about $145 million by 2030. At that value, holders of the $369 million of convertible notes due 2029 would likely convert them into about 41 million new shares, and this figure allows for that dilution. Bear case, $0.24 per share. Occupancy stalls in the low 80s, as it did in 2016-2019. Then it fell from 86.0% to 83.9%, which the company blamed on new competition. Upkeep costs keep rising, and refinancing the debt due in 2027 and later costs more. Owner earnings slide from about $40 million in 2026 to slightly negative after 2030, repeating the 2018-2024 pattern, with nothing of value after year ten. Leverage makes this case severe. Book shareholders' equity was already slightly negative at the end of 2025. The Welltower leases require at least $2.0 billion of tangible net worth. In this case the shares are worth almost nothing, although the business is not worth less than its debt. One point on the accounting: the large depreciation charges and the 2025 asset write-downs of $71 million do not reduce owner earnings. Instead, the full cost of keeping aging buildings competitive is charged through capital spending. Share figures use about 241 million diluted shares. The spread between the cases is very wide because the whole value rests on a turnaround that has only one full positive year behind it. Our base case is wrong if occupancy gains stall before about 85%, or if refinancing $4.3 billion of debt costs materially more than today.
